2차 전자계약예비협약초안에 관한 연구 (A Study on the revised preliminary draft convention on[Int'l] contracts concluded or evidenced by data message)

  • On the above, a comparison between preliminary draft conventions and comments by the Int'l Chamber of Commerce, contents of preliminary draft convention, problems and alternative are discussed. The conclusions are as follows thereof : The laws of MLEC and MLES made preparation for electronic era of CISG. But electronic circumstances are more changed than the time of regulation of them. Therefore the business world needs a stand-alone convention dealing broadly with the issues of contract formation in electronic commerce. At last, preliminary draft convention delivered a second round. But the base of the instrument was also MLEC and MLES. The revised preliminary draft convention is much amended beyond preliminary draft convention. At its forty-one sessions, the working group reviewed articles 1-11 of the revised preliminary draft convention presented by the secretariat. The remainder was pending until the time of its forty-two sessions. Therefore, on the base of deliberations and decisions of that sessions and them of thirty-six sessions of UNCITRAL, which will be held on comming november, the draft convention which will be prepared by the secretariate, be re-revised preliminary draft convention. According to review of working group on them, preliminary draft convention will officially be draft convention or revise by secretariate. Under these situations, my points of view on draft convention are as follows : As though e-UCP is used carring out side by side with UCP, after e-CISG making in order to adjust CISG to "on" transaction, it is very easy and prompt for business worked to use CISG with e-CISG. This will facilitate ratification of the CISG. For this case, I already presented contents of e-CISG. It is very important for the preliminary draft convention to deal specially with issues related to electronic contracting or to electronic transaction, because according to which way, its contents and scope of application will be different. But the revised draft convention is regretably compromising both them. Consequently, its contents are very confusing and we could not expect its success. If e-CISG will regulate, it is desirable that, if possible, working group has to make the general rule, and the making of useful, practical, affordable rule for electronic commerce, for example Uniform Customs and Practices for Electronic Commerce(e-UEC) in order to solve the specific practical problems, if any, which business currently faces regarding electronic contracting, has to entrust ICC. If working group want to make e-CISG, it is important not to hesitate and take a significant amount of time.

미국(美國) 계약법(契約法)하에서 소위 "쉬링크랩라이센스" 계약(契約)에 관한 일고찰(一考察) (A Study on the enforceability of Shrink-wrap License under the Contract Law of USA)

  • Software license agreements, to be useful in the mass market, could not be individually negotiated, and had to be standardized and concise. The software license agreement needs to be presented to the licensee-users in a fashion that would allow for mass distribution of software, also for it to enforceable, that would draw the users' attention to the terms and conditions under which the publisher allowed the use of the software. These needs have been accomplished, with or without fail, through so called the "shrink-wrap licenses" Shrink-wrap licenses purpose to transfer computer softwares to their users by defining the terms and conditions of use of the software without implicating the "first sale doctrine" of the Copyright Act. These shrink-wrap licenses have become essential to the software industry. However, in USA, the law applicable to these licenses has been unclear and unsettled. Courts have struggled to develop a coherent framework governing their enforceability. Meanwhile, the National Conference of Commissioners on Uniform State Laws ("NCCUSL") in USA promulgated the Uniform Computer Information Transaction Act ("UCITA") governing contracts for computer information transaction on July 29, 1999. One clear objective of UCITA was to settle the law governing the enforceability of shrink-wrap licenses. In these respects, this paper first introduces the various forms that shrink-wrap licenses take(at Part II. Section 1.), and explains the main advantages of them(at Part II. Section 2.) Here it shows how shrink-wrap licenses value themselves for both software publishers and users, including that shrink-wrap licenses are a valuable contracting tool because they provide vital information and rights to software users and because they permit the contracting flexibility that is essential for today's software products. Next, this paper describes the current legal framework applicable to shrink-wrap licenses in USA(at Part III). Here it shows that in USA the development of case law governing shrink-wrap licenses occurred in two distinct stages. At first stage, judicial hostility toward shrink-wrap licenses marked such that they were not enforced pursuant to Article 2 of the Uniform Commercial Code. At second stage, courts began to recognize the pervasiveness of shrink-wrap licenses, their indispensability to the rapidly expanding information technology industry, and the urgent need to enforce such licenses in order to maintain low prices for consumers of computer hardware or software, resulting in the recognition of shrink-wrap licenses. Finally, in view of the importance of UCITA, this paper examines how it will affect the enforceability of shrink-wrap licenses(at Part IV). The drafters of UCITA, as well as the scholars and practitioners who have criticized it, agree that it validates shrink-wrap licenses, provided certain procedural protections are afforded to purchasers. These procedural protections include the licensee end-user must (i) manifest his assent to the shrink-wrap license, (ii) have an opportunity to review the shrink-wrap license, (iii) have a right to return the product without costs.

  • 항공기 운항의 가장 기본이 되는 규정은 ICAO Annex 6. Operations of Aircraft(항공기 운항)이다. 이 중 Part I은 상업항공운송용 항공기에 대한 것이며, 민간항공의 대부분을 차지하고 있다. ICAO에서는 항공기 운항에 관한 표준과 권고사항(SARPs: Standards and Recommended Practices)을 제정하여 체약국(Contracting States)이 어느 정도 국내규정에 반영하여 적용하고 있는지를 평가하고 있는데 이를 항공안전평가(USOAP)라고 한다. 기존의 ICAO 항공안전평가는 순간포착(Snap-shop) 방식으로 평가하였으나, 2013년부터 항공안전상시평가(USOAP-CMA) 방식으로 바뀌게 되어 시행된다. ICAO 항공안전평가 결과는 국적사의 노선, 보험료, 항공사간 제휴 등 국가항공산업 전반에 큰 영향을 미친다. 낮은 등급으로 판정 시, 국제사회에서 집중 주목이 되고 우리나라 국적사들이 운항정지, 노선제한, 항공사간 제휴 제한, 보험료 등 직/간접적으로 영향을 받을 수 있다. 따라서 우리나라 항공산업의 글로벌 경쟁력을 위해서는 ICAO 항공안전평가에서 '우수국가' 지위를 유지하여 높은 신인도를 이어나가는 것이 매우 중요하다. 우리나라는 2008년 실시된 ICAO 항공안전평가에서 종합 평점 98.89점을 획득, 세계 1위를 차지한 바 있으나, 2008년 이후 개정된 사항이 제대로 반영되지 못하고 있는 실정이다. 이에 따라 본 논문에서는 가장 최신의 개정판을 이용하여 ICAO Annex 6 Part I의 국내 항공법규 반영정도를 파악해보고자 한다. 아울러 미반영된 부분과 부분반영된 부분에 대한 반영방안도 같이 제시하고자 한다.

  • In a seminal judgment of November 2002 (Case C-476/98) relating to the compatibility with Community laws of the 'nationality clause' in the 1996 amending protocol to the 1955 U.S.-German Air Services Agreement, the European Court of Justice(ECJ) decided that the provision constituted a measure of an intrinsically discriminatory nature and was thus contrary to the principle of national treatment established under Art. 52 of the EC Treaty. The Court, rejecting bluntly the German government' submissions relying on public policy grounds(Art. 56, EC Treaty), seemed content to declare and rule that the protocol provision requiring a contracting state party to ensure substantial ownership and effective control by its nationals of its designated airlines had violated the requirement of national treatment reserved for other Community Members under the salient Treaty provision. The German counterclaims against the Commission, although tantalizing not only from the perusal of the judgment but from the perspective of international air law, were nonetheless invariably correct and to the point. For such a clause has been justified to defend the 'fundamental interests of society from a serious threat' that may result from granting operating licenses or necessary technical authorizations to an airline company of a third country. Indeed, the nationality clause has been inserted in most of the liberal bilaterals to allow the parties to enforce their own national laws and regulations governing aviation safety and security. Such a clause is not targeted as a device for discriminating against the nationals of any third State. It simply acts as the minimum legal safeguards against aviation risk empowering a party to take legal control of the designated airlines. Unfortunately, the German call for the review of such a foremost objective and rationale underlying the nationality clause landed on the deaf ears of the Court which appeared quite happy not to take stock of the potential implications and consequences in its absence and of the legality under international law of the 'national treatment' requirement of Community laws. Again, while US law limits foreign shareholders to 24.9% of its airlines, the European Community limits non-EC ownership to 49%, precluding any ownership and effective control by foreign nationals of EC airlines, let alone any foreign takeover and merger. Given this, it appears inconsistent and unreasonable for the EC to demand, $vis-{\grave{a}}-vis$ a non-EC third State, national treatment for all of its Member States. The ECJ's decision was also wrongly premised on the precedence of Community laws over international law, and in particular, international air law. It simply is another form of asserting and enforcing de facto extraterritorial application of Community laws to a non-EC third country. Again, the ruling runs counter to an established rule of international law that a treaty does not, as a matter of principle, create either obligations or rights for a third State. Aside from the legal problems, the 'national treatment' may not be economically justified either, in light of the free-rider problem and resulting externalities or inefficiency. On the strength of international law and economics, therefore, airlines of Community Members other than the designated German and U.S. air carriers are neither eligible for traffic rights, nor entitled to operate between or 'free-ride' on the U.S. and German points. All in all and in all fairness, the European Court's ruling was nothing short of an outright condemnation of established rules and principles of international law and international air law. Nor is the national treatment requirement justified by the economic logic of deregulation or liberalization of aviation markets. Nor has the requirement much to do with fair competition and increased efficiency.

중재계약의 한계에 관한 소고 (A STUDY ON THE LIMITS OF ARBITRATION AGREEMENT)

  • Though the arbitration agreement is a means to resolve disputes autonomously in essence, the Principle of Parties Autonomy and the Principle of Free Contracting can not be applied infinitely without any limitations but subject to the Public Policy and the Compulsory Provisions as established by an interested country. Such principle of law is applied to international arbitration agreements as well, but their validity should be determined by different standards from those in domestic arbitration agreements, in consideration of their internationality. The essential effect of arbitration agreement is to exclude from the jurisdiction of State courts. Depending upon definition of the legal nature of arbitration agreement, the range and contents of the effect of such agreement will vary. Whether State courts can intervene in claims related to Compulsory Provisions is an issue at the level of legislation policy which can not be easily concluded. But, the applicability of Compulsory Provisions can not serve as an imperative ground to deny the eligibility of claims for arbitration, so far as such claims can be disposed of by the parties. On the other hand, it is reasonable to view the arbitration agreement as a substantive contract in its legal nature enabling the authority for dispute resolution to be delegated to arbitrator, so that the Principle of Parties Autonomy can be widely applied throughout the arbitration procedure as well as with other legal acts on private laws. With this, the parties can enjoy an arbitration award appropriate for characteristics of a specific arbitration agreement, thus resulting in facilitating the use of arbitration procedure for international trade activities. To conclude, the Public Policy and the Compulsory Provisions as limitations on arbitration agreement should be applied to such an extent that they can protect States basic moral faith and social order.

기초자치단체의 사회복지시설 민간위탁 자치법규 내용에 관한 분석 : 서울특별시 자치구를 중심으로 (Analysis of Self-Regulations Relating to Delegation of Social Welfare Facilities to Private Sector by Local Governments: Focused on Seoul Autonomous Region)

  • 본 연구는 사회복지시설 민간위탁과 관련하여 최근 학계와 현장에서 활발한 논의가 지속적으로 이루어지고 있는 시점에서 서울특별시 자치구의 사회복지시설 민간위탁에 관한 자치법규를 비교 분석하여 향후 타 기초자치단체에 제 개정될 자치법규의 발전적 방안을 모색하고자 하였다. 분석자료는 2015년 5월 1일을 기준으로 자치법규정보시스템을 활용하여 서울특별시 자치구에서 제정한 자치법규를 수집하였으며, 최항순(2003)이 제시한 민간위탁 단계에 따라 조항의 존재여부와 내용구성 등에 관하여 분석하였다. 분석 결과를 토대로, 첫째, 수탁자 모집단계에서 모집공고나 적용시설 유형의 명확성, 위탁기간의 이원화, 둘째, 수탁자 선정단계에서 수탁자 선정기준과 위원회의 위원장 선출방식의 개선, 셋째, 행정기관의 관리감독에 관한 조항, 넷째, 재위탁 단계에서 위탁사무에 관한 평가와 심의에 관한 조항의 전반적 보완과 더불어 투명한 평가가 이루어질 수 있는 제도적 장치가 마련되어야 함을 제안하였다.

  • 단일지역 국내 최대규모의 대형복합건설공사인 인천국제공항 건설사업은 환경 및 특성상 태동단계에서부터 사업관리체계 도입의 필요성이 제기되었고 94년 12원 사업관리용역계약이 체결됨과 더불어 본격적인 사업관리체계 구축 및 운영에 착수할 수 있었다. 사업관리용역계약이 체결될 시점에서는 국내의 건설관련법규가 이를 뒷받침하지 않은 상태여서 도입효과에 대한 논란이 많았으며 또한 CM에 대한 인식 및 인프라가 매우 미흡했기 때문에 실제 사업에 적용시켜 운영하는 과정에서는 적지 않은 문제점이 발견되는 등 매우 어려운 여건이었다. 그럼에도 불구하고 사업목표를 성공적으로 달성할 수 있었던 것은 학계와 산업계의 지대한 관심과 더불어 종사자들의 헌신적인 노력이 있었기에 가능했다. 본 고에서는 인천국제공항의 사업관리체계 적용과정에서 나타난 제반 문제점을 분석하여 보다 현실적이고 바람직한 사업관리체계의 정착방안을 제시함으로써 국내에서 CM제도가 보다 다른 시일 내에 올바르게 정착될 수 있는 환경 조성에 일조 하고자 한다.

국가시험 보안업무의 발전적 방안연구 (A Study on Development of National Examination Security Service)

  • 본 연구는 국가시험 보안업무 관련분야 학위소지자와 국가시험 보안업무현장에서 출입관리 및 보안검색 등의 종합적인 보안업무를 수행하고 있는 현장전문가들이 현재 인지하고 있는 문제점들을 바탕으로 국가시험 보안업무 운영의 발전적인 방안을 모색하는 목적을 두고 있다. 이러한 연구의 목적을 위해서 관련분야 학위 소지자 5인과 경력 6년 이상의 현장전문가 7인에게 면담조사를 실시하여 자료를 분석하였다. 이들은 국가시험 보안업무운영의 발전적인 방안을 다음과 같이 제시하였다. 첫째, 국가시험 보안업무에 적합한 교육프로그램이 시행되어져야 한다. 둘째, 재난 및 응급상황 대처교육이 추가적으로 이루어져야 한다. 셋째, 국가시험 보안업무에 투입되어지는 요원들은 정신교육과 검색장비 및 첨단장비 관련 교육이 필요시 된다. 넷째, 경비업법에 국가시험 보안업무를 명시하여, 법규와 제도가 적극적으로 대응할 수 있도록 하여야 한다. 다섯째, 관계기관(계약상대방)은 용역비용을 재 산정 후 현실에 맞게 인상하여야 한다. 여섯째, 국가시험 보안업무에 경비원 신임교육을 이수한 경비원들이 투입되어질 수 있도록 하여야 한다.

ICSID의 투자분쟁 해결구조에 관한 고찰 (A Study on Settlement of Investment Disputes under ICSID Mechanism)

  • Settlement of investment disputes is quite different from that of commercial disputes arising from ordinary commercial transactions in view of disputing parties, applicable laws and rules, etc.. Therefore, it is very important to consider the Convention on the Settlement of Investment Disputes between States and Nationals of Other States(Washington Convention) of 1965. The creation of the International Centre for Settlement of Investment Disputes(ICSID), which was established under the Washington Convention, was the belief that an institution specially designed to facilitate the settlement of investment disputes between governments and foreign investors could help to promote increased flows of international investment. Pursuant to the Washington Convention, ICSID provides facilities for the conciliation and arbitration of disputes between member countries and investors who qualify as nationals of other member countries. Recourse to ICSID conciliation and arbitration is entirely voluntary. However, once the parties have consented to arbitration under the Washington Convention, neither can unilaterally withdraw its consent. Moreover, all Contracting States of the Washington Convention are required by the Convention to recognize and enforce ICSID arbitral awards. Provisions on ICSID arbitration are commonly found in investment contracts between governments of member countries and investors from other member countries. Advance consents by governments to submit investment disputes to ICSID arbitration can also be found in many bilateral investment treaties including the Korea-China Agreement on the Encouragement and Reciprocal Protection of Investments(1992), the Korea-Japan Agreement for the Liberalization, Promotion and Protection of Investment(2003) and the Korea-Chile FTA, the latter was signed as of February 15, 2003 and is still pending in the National Assembly for its ratification. Arbitration under the auspices of ICSID is similarly one of the main mechanism for the settlement of investment disputes under the bilateral treaties on investment. Therefore, it is a problem of vital importance that Korean parties interested in investment to foreign countries should understand and cope with the settlement mechanism of investment disputes under the Washington Convention and bilateral investment treaties.

화재피해자의 긴급복구를 위한 민·관 융합형 지원시스템 방안 (Globalization Development Plans of the Convergence Systems and Policies for Domestic Fire Industry)

  • 본 연구는 국내 화재피해자의 긴급복구를 위한 민 관 융합형 지원시스템 방안에 대한 것으로, 화재피해자의 긴급복구활동에 대한 현황과 문제점 분석을 통하여 정부와 민간 협력기반의 통합적 지원시스템 구축방안을 제시하였다. 전체적으로 국가는 시스템 운영의 관리 감독기관의 기능을 담당하고 민간에서 실질적 긴급복구 전담기관의 기능을 담당하는 시스템을 의미한다. 결과적으로, 화재피해 긴급복구 지원을 위한 법제도 정비, 지원사업의 민간위탁 시스템 구축, 소요재원의 안정적 조달 및 민 관 긴급복구의 융합기능 강화를 위한 지원시스템 방안을 도출하였다. 특히, 긴급복구 소요재원의 안정적 조달 방안은 긴급복구를 위한 기금의 신설 및 민간 수탁법인의 자체 재원 조성의 세부방안을 논의하였다. 본 연구결과는 향후 국가 소방안전복지와 사회안전망의 강화에 기여할 것이다.
