우리나라 기업의 CISG 적용사례에 관한 고찰 (A Study on the CISG Cases of Korean Firms)

  • The parties in International Sale of Goods including Korean Firms Should note ; The buyer must pay the price for the goods and take delivery of them as required by the contract and CISG. The obligations mentioned in Article 53 are primary obligations which are to be fulfilled in the normal performance of the contract. The buyer has to take delivery at the respective place within a reasonable period after this communication since he cannot be required to take delivery immediately. Refusing to take delivery in case of delay not constituting a ground for avoiding the contract makes no sense, since this would lead to even later delivery. The buyer's obligation to pay the price includes taking such steps and complying with such formalities as may be required under the contract or any laws and regulations to enable payment to be made. International sales contracts frequently prescribe that the buyer has to act in advance, that is before the seller starts the process of delivery. Such acts may be either advance payments or the procurement of securities for payment as letters of credit guarantees. On the other hand, The seller deliver the goods hand over any documents relating to them and transfer the property in the goods, as required by the contract and CISG. The seller must deliver goods which are of the quantity, quality and description required by the contract and which are contained or packaged in the manner required by the contract. Except where the parties have agreed otherwise, the goods do not conform with the contract unless they are fit for the purposes for which goods of the same description would ordinarily be used are fit for any particular purpose expressly or impliedly made known to the seller at the time of the conclusion of the contract, except where the circumstances show that the buyer did not rely, or that it was unreasonable for him to rely, on the seller's skill and judgement. The buyer may declare the contract avoided if the failure by the seller to perform any of his obligations under the contract or CISG amounts to a fundamental breach of contract. IPA Matrix 분석을 이용한 배드민턴 생활체육 동호인의 용품구매 및 시설 이용에 관한 연구 (A Study on Goods Purchase and Facility Use in Badminton Club Members Using the IPA Matrix Analysis)

  • 본 연구는 배드민턴 생활체육 동호인의 용품구매와 시설 이용 시 생각하고 느낀 중요도와 만족도를 알아보고 이를 기초자료로 활용하여 생활체육 배드민턴 동호인을 확대하고 활성화 방안을 제안하고자 용품, 가격, 프로그램, 시설, 직원, 홍보에 대한 설문조사를 진행하였다. 설문조사 후 중요도와 만족도를 알아보기 위하여 IPA Matrix방법을 적용하여 자료처리를 실시하였으며, 다음과 같은 결론을 얻었다. 첫째, 배드민턴 생활체육 동호인의 중요도와 만족도 순위 분석결과 중요도는 1위 직원요인의 강사 및 지도자의 전문성, 2위 시설요인의 시설의 안전성, 3위는 프로그램의 프로그램 내용 및 효과 만족도는 1위 시설요인의 시설의 청결 및 관리, 2위 직원요인의 강사 및 지도자의 전문성, 3위는 직원요인의 직원의 친절성 순으로 나타났다. 둘째, 중요도와 만족도 IPAMatrix 결과 I사분면은 프로그램요인의 강습시간 적절성과 프로그램 내용 및 효과, 시설요인의 주차 공간 규모와 시설의 청결 및 관리, 직원요인의 강사 및 지도자의 전문성, 직원서비스 태도, 직원친절성, 홍보요인의 소비자와의 상담 및 불편사항 해결, II사분면은 가격요인의 가격의 적절성, 가격대비 가치, 할인제도, 용품요인의 소재 및 디자인, III사분면은 용품요인의 용품 A/S 우수성, 프로그램요인의 프로그램 구성의 다양성, 시설요인의 배드민턴 구장 위치 및 접근성, 다양한 편의시설, 홍보요인의 다양한 홍보 및 이벤트 구성과 홈페이지 구성 등 홍보 전략, IV사분면은 용품요인의 용품 브랜드 가치 및 인지도와 용품 브랜드 전문성이 나타났다.

  • 도시물류개선을 위해서는 물류시설정비나 화물차관리 등이 필요하다. 이를 위해서는 도시내 공간상에서 화물물동량과 화물차의 유동특성을 파악하고 특성의 도출이 필요하다. 따라서 본 연구에서는 도시물류정비를 효율적으로 수행하기위한 기초자료로서 활용하기위해 도시내의 화물물동량과 화물차 유동특성을 파악하여 특성을 이해하는 것에 그 목적이 있다. 이를 위해서 인천시의 화물물동량과 화물차 유동 파악, 영향인자 고려 등으로 물동량 및 화물차 운행특성을 심층 분석하였다. 본 연구대상인 인천시는 항만과 공항의 소재지이면서 서울과 인접지역 도시로서 다양한 도시물류활동을 내포하고 있는 지역임을 감안하여 선정하였다. 그 결과 화물물동량 및 화물차의 유통패턴에 대한 파악과 특성을 상세히 분석할 수 있었다. 이러한 결과가 인천시내 화물물동량과 화물차 운행현황의 이해하고 나아가 도시물류개선을 위한 기초자료로서 활용 될 수 있고 화물차 관리정책 등에 일부나마 기여할 수 있을 것으로 기대한다.

리테일테인먼트에 따라 구매특성과 구매효용이 구매의도에 미치는 영향 (The Impact of Nature of Purchase and Purchase Utility on Purchase Intention According to Retailtainment)

  • Purpose - The development of technologies lead the volume of sale on online market increase but an off-line shopping center is still a core component in the omni-channel strategy. It is generally thought that high-level retailtainment on brick and mortar store affects purchase intentions positively, but some previous studies dispute that and have reported that retailtainment does not affect purchase intentions. So we have studied the additional factors' effect - the nature of purchase and utility - with retailtainment. Research design, data, and methodology - There are 8 treatment groups which were assigned by the method of retailtainment (high vs. low), nature of purchase (essential vs. non-essential), and utility (acquisition vs. transaction). A total of 240 subjects (office workers = 163, 68%; undergraduates = 77, 32%; average age = 30s; female = 39%) were divided into groups and exposed to one of the eight scenarios. Participant's purchase intention was the dependent, and ANOVA and L-matrix were used to analyze for main and interactive effects between factors. Results - First, the main effect and interactive effect between retailtainment and the nature of purchase are significant. We also found that the contrast between essential and non-essential at low-level retailtainment is higher than that of high-level retailtainment. Second, in the case of retailtainment and utility, transaction utility under high-level retailtainment affects purchase intentions positively. Third, between the nature of the purchase and utility, the main effect of the nature of purchase and the interactive effect is significant, but the main effect of utility is not significant. In the case of non-essential goods, the purchase intention was high when transaction utility was provided but in the case of essential goods, acquisition utility increased purchase intentions. Finally, when transaction utility is given, purchase intentions of essential goods increase under low retailtainment, and the purchase intentions of non-essential goods increase under high retailtainment. Conclusions - When customers buy essential goods, discounts decrease purchase intentions. During the season for bargain sales, purchase intentions increase when retailtainment of essential goods is low, and retailtainment of non-essential goods is high.

  • The international transactions of capital goods such as industrial plant exports, overseas constructions, and shipbuilding exports, are so huge that tremendous amount of funds are required, and that most of the loans are long-term credits of over five years. In the export of huge capital goods, financing is more crucial than technology itself. Some of the importing countries are developing ones that are politically and economically unstable. Therefore the financing mechanism for these transactions is conclusive in winning these projects. Global financial market instability caused by US sub-prime mortgage financial crisis expanded all over the world, and the international transactions have been decreased due to global credit crisis. This indicates how much influential the financing market is in international transactions. The financing schemes are classified into supplier credit and buyer credit by who provides the financing. A supplier credit is a credit extended by an exporter(seller) to an importer(buyer) as part of an export contract. Cover for this transaction may be extended by an export credit agency('ECA') to the exporter. In a sales contract a seller shall provide fund required to manufacture goods, and in a construction contract a contractor shall provide fund required to complete a construction. A buyer credit is an arrangement in which an exporter enters into a contract with an importer, which is financed by means of a loan agreement A Comparative Study on a Supplier Credit and a Buyer Credit in International Transactions of Capital Goods 155 where the borrower is the importer. In a sales contract a buyer shall provide fund required to manufacture and procure the goods, and in a construction contract an owner shall provide fund required to complete a construction. Therefore an exporter is paid on progressive payment method. A supplier credit and a buyer credit have their own advantages and disadvantages in the respect of the parties respectively. These two financing methods are selectively used considering financing conditions such as funding cost, importer's and/or exporter's financial conditions, importing country's political risk.

조선전기 조일간의 교역품을 통하여 본 복식문화 (II) -조선에서의 수출품을 중심으로- (Costume Culture in View of the Trading Goods Between Chosun and Japan in the Early Chosun Dynasty -Focused on the Exporting Goods of Chosun-)

  • This study is to research the changing trends in the trading goods and the cause of the change in the early Chosun dynasty and to find out the influence that the export goods had on the Chosun society. This research demonstrated the costume culture of the early Chosun was affected by the trading trends. The export items of Chosun showed differences in chronological order. They changed from hemp cloth to cotton cloth. The cause of such change in the export items was due to the change in the amount of demand and supply, to products of Chosun. and to social factors. Looking at the amount and items of the export goods to Japan, the amount was huge and the number of trade was a lot. There were several influences that the exporting cotton cloth to Japan had on Chosun's costume culture. First, the export caused the growth of cotton industry through the reinforcement policy. Next, it made the amount of national deposit of cotton cloth exhausted as a result of the increase in the amount of the exporting cotton. It also made worse the dual distribution structure of cotton cloth and the leaning toward bad cotton cloth. And in consequence of the connection between rich merchants and politicians, these social phenomena became worse and worse. And these facts demonstrate that the costume culture of the early Chosun dynasty was affected by the trade between Chosun and Japan. Therefore, to better understand the costume culture of the early Chosun dynasty, I propose to consider the consequences resulted from the trade with Japan.

主婦의 TV廣告에 대한 態度 및 그에 따른 購買行動 (Attitude of the TV Advertising and Purchasing Behavior of Housewives)

  • The purpose of this study is to analyze what attitude housewives hove to the TV advertisement and how their purchasing behavior is proceeding by information acquisition. Questionaire survey method was used in this research. The sample was taken from 437 housewives living is Seoul, form 4th of Feb. to 13th of Feb, in 1991. Used statistical methods were Frequency, Percentage, Crosstabs, One-way Anova, Duncan-test, and Regression Analysis. The major findings are summarized as follows : 1) The attitude to the TV advertisement according to the socio-demographic variables : TV advertisement seeing and hearing, the necessity of TV advertisement, and the attitude to the new advertisement are all found significant difference by age and education. The feeling to the false of TV advertisement is found significant difference by age, education, and income. 2) The purchasing behavior with TV advertisement information is most influenced by utilization of TV advertisement for all four goods(home medicine, milk product, detergent, durable goods). 3) The interest to the TV advertisement according to the TV advertisement information acquired: The degree to the utilization of TV advertisement and the necessity of TV advertisement when they buy goods were most influenced by conversation about the TV advertisement. 4) The purchasing behavior to the TV advertisement information acquired : The degree of influence was more affected by conversation about the TV advertisement for four goods, The degree of confidence was influenced by conversation about the TV advertisement for four goods. The degree of confidence was influenced by conversation about the TV advertisement for house medicine and detergent. The degree of satisfaction was not significant for all four goods, and the comparative appraisement was influenced by conversation about the TV advertisement for detergent and durable goods.

무역계약(貿易契約)에서의 매도인(賣渡人)의 의무위반(義務違反)에 따른 매수인(買受人)의 구제(救濟)에 관한 연구(硏究) - UNCCIS 1980을 중심(中心)으로 - (A Study on the Buyer's Remedy resulting from the Breach of Seller's Duty in Contracts for the International Sale of Goods focusing on UNCCIS, 1980)

  • This study is focused on the review of buyer's remedy resulting from the breach of seller's duty in contracts for the international sale of goods focusing on UNCCIS, 1980 and the problems and suggestions of proper ideas for solving the problems. First problem on the buyer's remedy is related to the breach of seller's duty on del ivory of the contracted goods. When seller has failed to deliver the contracted goods to buyer within the stipulated periods, buyer can treat the contract as avoided and claim damages from seller. By the way, since UNCCIS does not provide any stipulation on the time of buyer's avoidance of the contract, buyer can delay the time of avoidance when the price of contracted goods is rising rapidly and enlarge the amount of damages, Since this stipulation is clearly unreasonable, proper solutions are required for UNCCIS. Second problem is related to the breach of seller's duty on deliver of goods which are of the quantity, quality and description required by the contract and which are contained or packged in the manner required by the contract. When seller has failed to deliver goods which are confirm with the contract, buyer may have one of the two rights of damages and the price reduction according to UNCCIS provided that he does not choose the avoidance. But, since the character and position of the price reduction as a buyer's remedy are not sufficient solutions, more detailed review on this point is required. Third, Seller's duty to provide documents is very important for overseas trade, but UNCCIS does not provide any specific buyer's remedy in comparison with the other remedy and also does not provide any stipulation on the Letter of Credit which have important roles for a device of setting payment in overseas trade. This means that trade customs and practice have not sufficiently reflected in UNCCIS. As the problems mentioned above may decrease the evaluation of buyer's remedy in UNCCIS and, furthermore, that of UNCCIS itself, proper solutions on these points are needed.

UCC상 소유권유보에 관한 연구 (A Study on the Retention of Title under UCC)

  • This study describes the retention of title under UCC. UCC ${\S}$ 2-401 prescribes that any retention or reservation by the seller of the title (property) in goods shipped or delivered to the buyer is limited in effect to a reservation of a security interest. It means that the retention of title generates a security interest in the same way like a charge. To be effective, a security interest must be attached or perfected. Once attachment occurs, a security interest is enforceable against the buyer. Once a security interest is perfected, a security interest is enforceable against third parties. Under UCC, a simple retention of title clause is valid as long as it is incorporated into the contract of sale. If the seller acquires a perfected security interest, he as a secured party can enjoy a priority against other creditors. But if a security interest is not perfected but PMSI is afforded, the seller has a special priority. Secondly, under UCC ${\S}$ 9-335 and 9-336, if a security interest under an enlarged retention of title clause is perfected, the seller as the secured party has a valid security interest in the product or mass into which his goods have been mixed or commingled. But in terms of assession of goods, as the seller has a security interest only in his goods, if the seller wants to enlarge his security interest in the whole, a security agreement should cover its intention. Thirdly, under UCC ${\S}$ 9-315, a security interest in proceeds of subsale of goods supplied by the seller is a perfected security interest if the security interest in the original collateral was perfected. But if the proceeds are cash proceeds, it should be identifiable from other funds of the buyer.

  • 현대 소비재의 조형 이미지를 한국과 일본의 양국 젊은 세대를 놓고 비교 분석하였다. 그 결과로 한국 젊은 남성과 여성들은 $\ulcorner$정치(精緻)-단순(單純)$\lrcorner$$\ulcorner$실질(實質)-비실질(非實質)$\lrcorner$$\ulcorner$경(輕)-중(重)$\lrcorner$$\ulcorner$화려-수수$\lrcorner$$\ulcorner$우미(優美)-투박$\lrcorner$의 3인자의 이미지로 설명할 수 있다. 현대 소비재에 대하여 한국의 남녀는 동일한 이미지 구조를 갖고 있으며 그에 반해 일본의 남.녀는 이미지 구조에 차이가 있다. 이것은 성별에 따라 중시하는 조형요소가 다르기 때문이라고 본다. 한국의 젊은 남녀는 현대 소비재에 있어 소비재 표면에 처리되어 있는 문양, 장식, 색상의 조형요소에 민감하게 반응하며, 일본의 젊은 여성들도 소비재의 조형의 이미지를 파악할 때 한국의 젊은 남녀와 동일하게 소비재 표면에 처리되어 있는 요소에 민감하게 반응한다. 한편 일본 젊은 남성들은 소비재 표면의 요소보다는 소비재의 가치에 의미를 두고 조형이미지를 파악하고 있다.
