기업지배구조의 변화 모색

  • 우리 나라 기업의 지배구조의 문제점은 대체로 이사회와 감사의 경영감시기능 부족, 기업인수시장의 활성화 미흡, 채권자로서의 은행의 경영감시역할 미흡 등이 지적되고 있다. 그러나 우리 나라의 기업지배체제는 오너체제로 대표되며, 여러 가지 폐해에도 불구하고 신속한 의사결정과 과감한 투자가 가능하다는 장점도 갖고 있다. 따라서 본 고에서는 우리 나라에서 바람직한 지배구조를 모색해 보기 위해 미국과 일본의 지배구조를 참고하여 다음과 같은 몇 가지를 제시하고자 한다. 첫째, 이사회와 감사의 기능을 활성화하는 것이다. 둘째, 기업인수시장의 활성화가 필요하다. 한편 차입경영이라는 특징을 가진 우리 나라 기업의 현실에서 은행이 적극 개입함으로서 경영감시의 효율성이 높아질 수 있다고도 한다. 그러나 금융기관의 소유구조와 자율성 및 독립성이 선결과제로 해결되어야 할 것이다. 기업의 지배구조에 대한 논의는 기업의 효율성을 높일 수 있고, 기업의 경쟁력을 높일 수 있는 방향으로 이루어져야 한다. 기업지배의 개념은 소유와 경영의 분리를 전제로 정의된 것이기 때문에 소유자경영이 보편화되어 있는 우리 나라의 기업 현실에 외국의 기업지배제도를 그대로 적용하는 것은 바람직하지 않다. 따라서 지배구조의 개선 노력은 점진적으로 그리고 전반적으로 추진되어야겠지만 선택은 기업의 자율에 맡기는 것이 바람직하다.

Balancedness of generalized fractional domination games (일반화된 분수 지배게임에 대한 균형성)

  • A cooperative game often arises from domination problem on graphs and the core in a cooperative game could be the optimal solution of a linear programming of a given game. In this paper, we define a {k}-fractional domination game which is a specific type of fractional domination games and find the core of a {k}-fractional domination game. Moreover, we may investigate the balancedness of a {k}-fractional domination game using a concept of a linear programming and duality. We also conjecture the concavity for {k}-fractional dominations game which is important problem to find the elements of the core.

  • This study was to examine the relationship between golf participation level(frequency, duration, intensity) and sub-factors of social development, which are activity, stability, control, sociality, and autonomy. The population for the study were citizens who participated in golf at Daejeon city. 281 golf participants were selected through random sampling. The collected data were analyzed by t-test, One-way ANOVA, and post-hoc analysis. The results were as follows; First, there were differences in stability and sociality according to frequency of golf participation. Second, there were differences in activity, stability, and control according to duration of golf participation. Third, there were differences in activity, control, and sociality according to intensity of golf participation.

Interdependence of Corporate Governance Mechanisms and Managers' incentive-compensation system (기업 지배구조 통제장치와경영자 유인보상제도의 상호관련성)

  • This study confirms that there is a correlation between managers' incentive-compensation system(introduction of the compensation committee) and corporate governance mechanisms (ownership structure, proportion of outside directors, debt ratio, competitive strength), and analyzes whether firm value is affected by corporate governance mechanisms. The purpose of this paper are empirically tested using 318 firm-year data listed on the KRX from 2001 to 2010 and 2SLS(two-stage least square method) were used for the analysis of the hypotheses. The results of empirical tests are as follows. Firstly, there is no correlation between introduction of the compensation committee and corporate governance mechanisms. In addition, the results show that there is a causal relationship between some variables. Secondly, results from the analysis of the impact of corporate governance mechanisms on firm value, only introduction of the compensation committee and foreign investors ownership were analyzed as a positive impact on the firm value. This result means that most domestic firm don't actively used for managers' incentive-compensation system as a useful control device for improving corporate governance.

The Effect of Psychological Entitlement on Controlling behavior in dating relationships: Focusing on the Social Dominance Orientation and Social Comparison Orientation (특권의식이 데이트 관계에서의 통제행동에 미치는 영향: 사회지배경향성과 사회비교경향성을 중심으로)

  • Recently, dating violence has emerged as a serious social problem, but there is not enough research on controlling behavior among the subtypes of dating violence. Thise study explored the relationship between psychological entitlement and controlling behavior, and the mediation effect of social dominance orientation and social comparison orientation. Furthermore, the study examined if the mediation effect of social dominance orientation between psychological entitlement and controlling behavior differed by gender. As a result, the higher the level of psychological entitlement, the stronger the level of social dominance orientation, social comparison orientation, and the controlling behavior. In addition, the stronger the level of social dominance orientation and social comparison orientation, the more frequently was the occurance of the controlling behavior committed. The level of social dominance orientation mediated the relationship between psychological entitlement and controlling behavior. The level of ability comparison orientation mediated the relationship between psychological entitlement and controlling behavior. The mediation effect of social dominance orientation between psychological entitlement and controlling behavior was moderated by gender. In other words, the mediation effect of social dominance orientation between psychological entitlement and controlling behavior was significant for the male, but not for the female. The limitations of the study and suggestions for further research were discussed.

  • 우리나라는 1997년 IMF 경제위기 이후 기업의 지배구조와 관련한 상법과 증권거래법 등이 수차례에 걸쳐 개정을 통한 정비가 되었다. 기업지배구조에 대한 문제는 우리나라 경우에만 한정되는 것이 아니라 미국을 비롯한 유럽 등 많은 선진국에서 중요한 문제점으로 대두되고 있는 것이 사실이다. 특히 우리나라에서 기업지배구조와 관련하여 많은 문제가 발생되고 있는 것은 지배주주와 경영진의 기업경영에 대한 감독 등이 제대로 이루어지지 않았을 뿐만 아니라 지배주주와 기업 경영진들에게 그에 책임을 제대로 묻지 않았기 때문이다. 그리고 아직도 우리나라 대부분의 기업들에 있어서 오너 경영자의 소유주식 비중이 높은 관계로 의사결정권을 독선적으로 행사하는 등 사실상 경영의 건전성을 확보할 수 없었던 것이다. 따라서 본 연구에서는 이사회가 본연의 기능을 회복하고 바람직한 지배구조를 개선하는데 있어서 걸림돌이 되는 부분을 검토하고 그에 대한 효율적인 개선안을 제시하고자 함이 연구의 목적이다.

An Empirical Analysis on Market Power and Productivity in the Korean Medical Service Industry (한국 의료서비스산업의 시장지배력과 생산성에 관한 실증분석)

  • This paper establishes the empirical model based on Hall's(1990) and Basu' s(1996) models, estimates the five types of productivity in the medical service industry over the period 1975:1-2010:4, and analyzes the cyclicality of measured productivities and their correlations with the industrial real wage. The empirical results are summarized as the followings. First, there proved to be substantial market power in pricing and returns to scale in production for the medical service industry. Second, the three types of productivity among 5 types showed to be procyclical. Third, the average labor productivity, the original Solow residual, and the cost-based Solow residual are expected to provide reasonable indexes in analyzing the relationship between productivity and real wage.

  • The governance structure of public broadcasters is the hottest topic in domestic media policy. This study examines the flow of discussions by period by synthesizing the research literature on the governance structure of domestic public broadcasting since 2000. As a result, active discussion on the governance structure of public broadcasting was confirmed to have appeared following the conservative governments after 2008, derived from the "crisis theory of public broadcasting." In addition, the discussion was conducted centered on the public values of public broadcasting and direction of system improvement, political independence of public broadcasting, composition of the board of directors, and presidential election system. This study suggested that future discussions on the governance structure of public broadcasting should expand the existing discussion of political independence to encompass the values, responsibilities, and systems of public broadcasting that presuppose citizen participation.

R&D Investment and Corporate Governance Systems for the Performance of Chinese Firms (중국기업들의 성과를 위한 연구개발투자와 기업지배구조의 활용방안에 대한 연구)

  • This study aims to examine the impact of corporate governance systems on the relationship between R&D investment and the performance of Chinese firms. The sample firms were obtained from the statistical yearbook of Chinese high-tech firms. We implement a multiple-regression analysis for an empirical examination. The findings of showed that the separation of the board chair with CEO strengthen the R&D investment-performance relationship of Chinese firms. However, the outsider ratio of the board was found to negatively moderate that relationship. This study provides practical guidelines for Chinese firms undertaking R&D management and corporate governance systems. It also encourages future study on the effects of corporate governance as the means for R&D investment management.

Hegemonic Masculinity in Disney Animated Films (디즈니 애니메이션에 나타난 헤게모니적 남성성)

  • The purpose of this paper is to explore the hegemonic masculinity in Disney animated feature films in terms of Antonio Gramsci's hegemony and R. W. Connell's hegemonic masculinity. According to Gramsci, hegemony refers to the predominance of a dominant group over other groups. By the same token, Connell uses the term hegemony as the configuration of gender practice which embodies the domination of men and the subordination of women. He describes four masculinities to explore male hierarchy in male groups: hegemonic masculinity, subordinated masculinity, complicit masculinity, and marginalized masculinity. Through Connell's terms, this study investigates masculinities in Disney films, especially Beauty and the Beast (1991) in relation to hegemonic masculinity. As a result, Disney describes repeatedly hegemonic masculinity as hard body defined by Susan Jeffords and supports tacitly the domination of a specific male group.
