A Study on Determinants of Venture Capital Investments During Economic Booms and Busts (경제 호황과 후퇴의 시기에 벤처캐피탈 투자 의사결정요인 비교연구)

  • Recently, venture capital investment has been shrinking globally due to high interest rates and economic slowdown. Korea is no exception. Due to the downturn in the M&A and public markets, increasing economic uncertainty, and the aftermath of corporate bankruptcies, venture capitalists are facing many difficulties in raising funds. In the changed economic environment, the investment decision factors of venture capitalists have also changed. However, studies on VCs' investment decisions have focused on the general economic environment. This study examines how VCs' investment decision-making factors change during economic recessions and booms. To this end, we interviewed active investors who have experienced both economic recessions and booms to compare how VCs' investment decision factors change: 1) personal characteristics of founders, 2) experience of founders, 3) product/service, 4) market, 5) financial situation, 6) contract terms and 7) venture capital co-investment. The results showed that founder's personal characteristics, experience, and product/service were more important during the economic recession. Market is slightly more important during economic booms. The importance of financial situation and investment conditions increased sharply during the recession compared to the boom. Finally, venture capital co-investment did not differ significantly between recessions and booms. By understanding the investment decision-making factors of venture capitalists in the recent difficult venture investment environment, this study aims to help startups raise funds and survive in a difficult market.

스타트업의 벤처캐피탈 선택에 미치는 요인 연구

  • 지금까지의 투자 의사결정 요인에 관한 연구는 벤처캐피탈 관점에서 이루어져 왔다. 벤처캐피탈이 투자할 만한 가치가 있는 스타트업을 선정하는 요인이 무엇인가 하는 것이 기존의 연구의 핵심이었다. 하지만, 최근 우수한 스타트업의 경우, 많은 벤처캐피탈이 투자를 하기를 원하면서, 오히려 능력 있는 스타트업들은 벤처캐피탈을 선별해서 투자를 받고 있는 현상이 나타나고 있다. 따라서 우수한 스타트업이 벤처캐피탈을 선택하는 결정 요인을 알아봐야 하는 시기가 된 것이다. 본 연구는 창업 초기단계(Series A) 창업가 4명, 중기단계(Series B/C) 창업가 3명을 인터뷰하여 스타트업이 벤처캐피탈을 선정하는 요인을 탐색하고자 한다. 연구 결과, 스타트업이 벤처캐피탈을 선정하는 주요 요인으로는 1) 계약내용, 2) 벤처캐피탈 명성(reputation), 3) 투자 심사역인 것으로 나타났다. 먼저, 초기 및 중기 단계의 스타트업 모두가 중요하게 생각하는 요인은 계약내용으로, 구체적으로는 가치평가 (valuation)와 우호적인 투자조건으로 나타났다. 다음으로, 벤처캐피탈의 명성 (reputation)의 경우, 벤처캐피탈이 지금까지 투자해 왔던 회사들의 면면 (portfolio)과 투자한 후, 후속 투자를 하는 경향 (Follow-on)을 중요시 하는 것으로 나타났다. 마지막으로, 벤처캐피탈을 선정할 때, 창업 초기 단계에서는 상대적으로 투자심사역의 영향이 컸고, 창업 중기 단계 이후로 갈수록 투자심사역 개인보다는 회사 차원의 벤처캐피탈의 영향력이 커짐을 발견하였다.

The Certification Role by the Types of Venture Capitalists in KOSDAQ (벤처캐피탈회사의 유형과 보증역할에 대한 연구)

  • This study investigates the certification role by the types of venture capitalists in KOSDAQ IPOs. The sample covers 88 venture companies listed on KOSDAQ from January, 1997 to December, 2001. The major results are as follows. Firstly, IPOs of firms backed by New Technology Business Investment Companies are less underpriced than those of firms backed by Small Business Investment Companies. The underpricing difference between two groups is statistically significant. This sheds light on the evidence of the certification role of venture capitalist in KOSDAQ IPOs market. Secondly, our result also attests the certification role by the types of venture capitalists among Small Business Investment Company. IPOs backed by yen拉re capitalists of financial institutions are less underpriced than those backed by venture capitalists of individual wealthy investors. The underpricing difference between two groups is statistically significant. Finally, underpricing of New Technology Business Investment Company-backed IPOs is less than that of Small Business Investment Company-backed IPOs. In addition, we found that the size of underpricing is affected by business history, sub-scription ratio, and total assets prior to registration.

  • 4차 산업혁명의 핵심 엔진인 AI 기술이 인류의 희망과 우려 속에 전 지구적인 열풍에 휩싸여 있다. 이 와중에 거대 IT 업체들이 AI 기술 확보를 위한 치열한 경쟁에 나서서, 유망한 AI startup들의 인수합병에 몰두하고 있다. 또한, VC(Venture Capitalist)들도 AI startup에 대한 적극적인 투자에 나서고 있다. 본고에서는 이러한 글로벌 AI startup들에 대한 인수합병 현황 및 투자 트랜드를 살펴보고, AI startup 들이 집중하고 있는 연구개발 분야를 분석함으로써, 국내 AI 기술 경쟁력 확보를 위한 방향 설정에 도움을 줄 수 있도록 시사점을 제시 하고자한다.

  • 미국의 벤처캐피탈 산업은 벤처캐피탈 분야에 진입하고 있는 많은 나라들에게 본보기가 되고 있다. 그러나 서로 다른 문화, 정치 경제적 상황 및 각국의 벤처캐피탈 산업의 고유한 역사 등은 벤처캐피탈의 경영 방식에 영향을 미칠 수 있다. 본 연구는 한국의 벤처캐피탈리스트의 투자의사결정이 미국의 벤처캐피탈리스트와 어떻게 다른가에 초점을 두었다. 연구 결과는 한국의 벤처캐피탈리스트는 투자의사결정의 과정에서 미국과는 다른 기준을 사용하며, 그 예측의 정확성은 미국에 비해 떨어지는 것으로 나타났다. 한국 벤처캐피탈리스트와 미국 벤처캐피탈리스트 모두 경쟁력은 매우 중요한 투자의사결정 기준으로 나타났다. 그러나 미국의 벤처캐피탈리스트가 시장규모와 성장성을 중요하게 고려한데 비해 한국의 벤처캐피탈리스트는 소유권 보호에 중점을 두었다. 그렇지만, 한국과 미국의 벤처캐피탈리스트 사이에는 기대 이상으로 유사점이 많은 것으로 나타났다. 이러한 유사점이 존재하는 현상은 많은 한국의 벤처캐피탈리스트들이 미국에서 교육을 받았거나 미국식의 모형에 의한 교육을 받아왔다는 점에서 찾을 수 있을 것이다. 또한 한국의 벤처캐피탈리스트는 이미 성공적인 미국식 벤처캐피탈 모형을 표준으로 삼고 모방하려고 노력하고 있다는 점을 들 수 있을 것이다.

An Exploratory Study on the Success Factors of Project Management After Content Investment (콘텐츠 투자 후 관리 성공요인에 관한 탐색적 연구)

  • This study explores the success factors of post-investment management in content projects, which have recently seen increasing quantitative and qualitative status. The dependence on investment is huge in projects in the domestic content industry. As a result, unlike other industries, the content industry has a large role and contribution of investors in terms of project management. This study is conducted on 15 venture capitalists who have a key function in domestic content investment, and draws on their successful experience, what factors are successful in management(project management). To this end, 10 representative project management areas at the research and practice level are manipulated to suit content projects, and success factors by management area are derived in a qualitative manner for films and games with genre and industrial representation. For each area of management, a total of 38 success factors were derived, ranging from as little as three to as many as five. Given the theoretical and practical implications of research and the limitations of research, we present future research directions.

  • The purpose of this paper is to investigate upon a diversification strategy through market creation of CJ Group, which has contributed in positioning of the firm as one of the leading conglomerates in South Korea. With such objective, the background of CJ Group, followed by its business diversification strategies were explored, with reference to several case studies. The history of CJ Group began with establishment of CheilJedang Industrial Corporation in 1953, as the first domestic sugar producer and exporter of South Korea. The corporation gradually expanded its business ever since at both national and global level, to include the fields of food production, pharmaceutical, biotechnology, and life chemicals. Later, CheilJedang (CJ) Group was established as an affiliate of CheilJedang Industrial Corporation. With such independence, extension of business has been witnessed across the industries of media, entertainment, finance, information technology and distribution. Thus, the current CJ Group pursues to define itself as a progressive global living culture company with four major business categories from food and food service, biotechnology, entertainment and media, and logistics. Despite its success in today's market, CJ Group underwent hardships in its business diversification in 1990s due to indiscreet management, along with the Asian financial crisis. Here, many firms overcame the financial difficulties by taking advantage of the exchange rate for overseas expansion. Though, CJ Group tried to differentiate itself by focusing on the domestic market by creating something out of nothing. Hence, CJ Group takes a unique position among many cases of business diversification and their categorization. In an effort to identify and classify the types of growth experienced by the top 30 companies in South Korea, the firms were categorized into four groups according to their diversification strategies adapted after the Asian financial crisis. Based on the mode and time of entry, corporations were identified either as the 'Explorer', 'Invader', 'Venture Capitalist', or 'Assimilator'. Here, the majority of the firms showed the qualities of Invader, entering mature markets through large-scaled mergers and acquisitions. However, CJ Group was the only firm that was categorized as an Explorer, for its focus on the newly emerging service sector in culture-contents industry. This diversification strategy through market creation is worth examining, due to its contribution in generating simultaneous growth between the market and the company itself. Diverse brands of CJ Group have been referred to as case studies in this regard, from 'Hatban', 'Cine de Chef', 'VIPS' to 'CJ GLS'. These four businesses, each to represent processed food, film, restaurant service, and logistics industries respectively, show CJ Group's effectiveness in creating a whole new category of goods and services that are innovative. In fact, such businesses not only contributed in advancement of consumers' wellbeing, but toward generating additional value and employment. It is true that the diversification strategy of CJ Group requires long-term capital investment with high risk, compared to the other strategies mentioned in the paper. However, this model does create high employment and additional values that are positive to both the society and the firm itself. Therefore, the paper comes to a conclusion that the diversification strategy through market creation conveys the most positive impact relative to the others.

  • The source of value-added creation in modern times has been transformed from material to man's value-added generating power, and ownership of the means of production has been converted from a particular landlord, capitalist to a person with value-added capacity, and a system of capital participation is needed beyond the profit-sharing system or performance incentive system in which workers of an enterprise participate in simple profits if they significantly increase the added value of the company. It is also necessary to introduce our private stock system as a means of addressing the problem of capital bias and for the stable development of capitalism. The purpose of Employee Stock Ownership Plans is to improve the economic and social status of workers and promote labor-management cooperation by allowing workers to acquire and hold shares of the stock company in which the employee ownership association is established through the employee ownership association, but the reality is that our stock ownership system has failed to achieve its purpose due to insufficient protection against the employee. In terms of welfare, the acquisition of our company shares should include active government support for the welfare of workers' ownership on a social welfare level rather than on the logic of the capital market, and in terms of investment, it would not be appropriate to apply the regulation for investor protection to see workers' acquisition of our company shares as 'investment' in the view of workers' willingness to own shares on the stock market. Therefore, as a way to support and deregulate employee's stock acquisition, 1. Expanding direct support, such as tax support, 2. As employee's stock ownership association is being discussed as a division's nature, it is less effective in terms of various management, not investment, and 3. Those who own stocks with 1% of the company's shares and 300 million won in face value will be classified as major shareholders. As a way to reduce the risk of management of our company owners and cooperative funds, As a measure to reduce the risk of management of our company owners and cooperative funds, only our employee shareholders' association shall manage the fund in a long-term deposit, and even though our employee's stock is managed by the association or company after the end of the deposit period, the management of each employee shall be allowed and In terms of improving the utilization of our company's stock and fund, 1. Employee's stockholders are prohibited from lending during the deposit period, but it is necessary to improve profitability by allowing them to borrow under strict restrictions, 2. It is necessary to make the use of the employee's welfare funds available for the preservation of losses, and to stipulate the redemption obligations of unlisted companies in order to improve the redemption system of our company.

A Study on the Improvement of Flexible Working Hours (유연근로시간제 개선에 대한 연구)

  • Labor contracts appear in form as an exchange relationship between labor products and wages, but since they transcend the level of simple barter, they can be economically identified as "trading" and can be identified as "rental." From a legal point of view, a legal device that legally supports and imposes binding force on commodity exchange relations is a contract. Such a labor contract led to a relationship in which wages were received and a certain amount of time was placed under the direction and supervision of the employer as a counter benefit to the receipt of wages. Since working hours are subordinate hours with one's labor under the disposition authority of the employer, long hours of work can be done for the health and safety of workers and furthermore, it can be an act that violates the value to enjoy as a human being. The reduction of working hours needs to be shortened in terms of productivity and enjoyment of workers' culture so that they can expand and reproduce, but users' corporate management labor and production activities should also be compatible compared to those pursued by capitalist countries. Working hours can be seen as individual time and time in society as a whole, and long hours of work at the individual level are reduced, which is undesirable at the individual level, but an increase in products due to an increase in production time at the social level can help social development. It is necessary to consider working hours in terms of finding the balance between these individual and social levels. If the regulation method of working hours was to regulate the total amount of working hours, flexibility and elasticity of working hours are a qualitative regulation method that allows companies to flexibly allocate and organize working hours within a certain range of up to 52 hours per week. Accordingly, it is necessary to shorten working hours, but expand and implement the flexible working hours system according to the situation of the company. To this end, it is necessary to flexibly operate the flexible working hours system, which is currently limited to six months, handle the selective working hours by agreement between employers and workers, and expand the target work of discretionary working hours according to the development of information and communication technology and new types based on the 4th industrial revolution.

  • To promote the commercialization of high technology based start-up company, it is essential to activate technology trading for the Innovative Small & Medium companies which eager to acquire technology competitiveness through technology trading and facilitate financial system which provide Small & Medium companies with technology commercialization money. This study focus on enhancing credibility of technology valuation solutions through the improvement of the existing technology valuation solutions. The existing technology valuation solutions in practice have deficiency in reasonable valuation because of subjective technology factor's calculation. And the commercialization risk of high technology based start-up companies cannot be fully reflected in the existing valuation solutions. The high risk of technology commercialization acts as a hurdle in the facilitation of providing money for the start-up companies. The improved new model will have more acceptable objectivity and reasonably reflect the commercialization risk of start-up companies. The new model has two distinctive features compared to existing solutions. The new model newly adopts commercialization success factor which reflects the risk of high technology based start-up company. And the new model excludes technology factor which is controversial among interested parties. The exclusion of technology factor will improve the objectivity of technology valuation and the adoption of commercialization success factor will solicit investor and capitalist who concern the high risk of technology based start-up companies. In conclusion, the improved new model is expected to activate technology trading and facilitate the money market through which high technology based start-up companies raise commercialization money.
