Purpose: Research on spin-off and treasury stock is necessary because the market has realized that this can be utilized for major shareholder private interest. Considering the unique characteristic of a spin-off and treasury stock in the Korean stock market, this study contributes to the literature by examining the effects on shareholder value in the Korean distribution industry. Research design, data, and methodology: The present study investigates literature, analyst reports, and news articles to examine the spin-off process and analyze how treasury stock magic happens. Results: Setting the exchange ratio favoring Spin-Co in the spin-off is the leading cause for reducing the minor shareholders' value. Moreover, treating treasury stock as an asset is also problematic, allowing the allocation of Spin-Co shares. This leads to an increase in the major shareholder controls of Spin-Co without any contribution from the major shareholders. Therefore, the exchange ratio should be calculated reasonably, and treasury stock from the stock repurchase should be treated as stock retirement. Conclusion: By analyzing the spin-off and how treasury stock magic occurs, this study provides recommendations to improve shareholder value. Moreover, it contributes to the maturation of the Korean capital market by promoting a discussion on the revision of spin-off and treasury stock.

과학집약형 속성을 지닌 첨단산업(IT산업이나 바이오산업)의 경우, 기존의 전통적 산업계에서 쉽게 접근 못하기 때문에, 대학 발 벤처의 출현 그 자체는 무엇보다도 중요한 척도라고 하겠다. 본 연구 에서는 정부의 정책적 요인에 영향을 준 산학제휴촉진시책 요인과 그 배경을 중심으로 접근하려고 한다. 정부의 정책적요인은 그 나라의 사회적 요인의 특성과 깊은 관계가 있으므로 일본의 대학 발 벤처를 발전시킨 특성과 일본정부와 기업의 의사결정과정과 그리고 과학 집약적 특성을 가진 대학 발 벤처의 일본적 특징을 중심으로 분석하기로 한다.

본 연구는 물적분할에 대한 법인세 과세제도가 개정된 2010년 7월을 전후해서 다수의 물적분할을 진행한 동부그룹의 구체적인 사례를 바탕으로 모든 거래당사자들의 관점에서 물적분할의 당사자인 분할법인과 분할신설법인의 법인세 부담이 최소화되도록 물적분할의 유형을 선택하는 거래를 구성했는지에 대하여 분석하였다. 2010년 6월 이전에 적용된 제1기 과세제도에서는 과세이연요건을 만족하는 적격물적 분할의 경우에 분할법인의 자산양도차익에 대한 과세이연을 통해 비적격물적분할에 비해 법인세 부담이 작아지는 것을 확인할 수 있다. 이에 반해 2010년 7월 이후부터 2011년 말까지 적용된 제2기 과세제도에서는 적격물적분할의 경우에 양도차익에 대해 분할법인과 분할신설법인에게 각각 장래의 주식처분시점과 자산의 처분 및 상각시점에서 과세함으로써 현재가치를 고려하면 비적격물적분할에 비해 상대적으로 세금부담이 커질 수도 있다. 본 연구에서 분석한 동부그룹의 4건의 분할 사례 중에서 1건((주)동부한농 사례)은 제1기 과세제도에서 이루어진 것이고, 3건((주)동부케미칼, (주)동부익스프레스 및 동부특수강(주) 사례)은 제2기 과세제도에서 이루어진 것인데, 조세비용의 측면에서 분석하면 (주)동부한농 분할사례는 적격분할일 것으로 예상되고, 나머지 3건의 분할사례는 구체적인 할인율 및 처분기간 등을 적용하면 비적격분할일 것으로 예상된다. 그러나, 해당 기업들의 합병 관련 공시 내용을 분석하면 이들 분할사례에서는 양도차익이 발생하지 않아서 분할방식의 선택을 통한 절세효과를 얻을 수 없었던 것을 확인할 수 있다. 이와 같이 조세비용의 측면에서는 전혀 유인이 없는 상황에서 동부그룹이 단기간에 4건의 물적분할을 한 것은 조세비용에 비해 비조세비용이 분할의사결정에 더욱 중요했던 것으로 추정할 수 있다. 즉, 이들 물적분할에 대하여 실무계에서는 악화된 그룹의 재무 구조를 개선하기 위한 것이라는 분석이 제기되었고, 실제로 물적분할을 통해 취득한 분할신설법인의 주식을 단기간에 매각한 사실도 확인할 수 있으므로 이러한 추론이 타당하다고 할 수 있을 것이다. 따라서, 본 연구의 분석을 통해 물적분할의 과정에서 분할법인과 분할신설법인의 세금부담을 동시에 고려하는 모든 거래당사자들(all parties)의 관점과 함께 조세비용과 비조세비용을 동시에 고려하는 모든 비용(all costs)의 관점도 중요하게 고려되어야 한다는 점을 확인할 수 있다. 또한, 이들은 효과적인 세무계획(effective tax planning)을 수립하기 위해 반드시 고려해야 하는 관점들이기 때문에 기업들이 중요한 의사결정에서 효과적인 세무계획을 실행하기 위해 다양한 측면에서 사전적으로 검토하는 사실도 간접적으로 확인할 수 있다.

The spin-off where the principal technology developers take the lead in the active and initiative pursuit of the commercialization of technologies is increasingly drawing attention, breaking away from the traditional means through the technology transfer or licensing of the public technologies created by the developers. This study aimed to determine the reasons for such differences from the perspective of the institutional theory. The results show that only the start-up support system, profit distribution system for researchers, degree of participation in the technology marketing, entrepreneurship of researchers, the use of start-up systems affected the number of start-ups of spin-off companies. Furthermore, an analysis of success factors and a study on the exploration of success paths for the RSOs will also be required

We have investigated the effect of temperature and bias current on the stability of the inverse spin-switch effect in Permalloy(Py)/Nb/Permalloy pseudo spin-valves. The inverse spin-switch operates between two orientations of the ferromagnetic moments of Py layers; parallel (ON) and antiparallel-domain (OFF) state. Measuring time scans of the resistance changes between the ON and OFF state, ${\Delta}R_{ON-OFF}$, while alternating magnetic fields between the two states at various temperatures and bias currents, revealed that enhancement of ${\Delta}R_{ON-OFF}$ is a key factor to achieve successful operation of superconducting spin switch.

This study was conducted on characters who play the main character of the spin-off work based on the image in the original. Through the analysis of the original and spin-off works, the role type and characteristics according to the characters' roles were analyzed. It was analyzed that Rex, Bo Peep, and Forky, the main characters of the Toy Story spin-off works, had characteristics described in the original, which were not the main characters, and changed when they appeared in the spin-off works. First, it shows a tendency to add a new personality to play the role of the main character who solves problems and leads the story development while maintaining the existing personality characteristics in the original. Second, in order to play the main character in the spin-off work, these main characters are strongly revealed in the characteristics of the faithful type 6, and the achiever type 3, respectively. The reason why the characters' personality in the existing original have continuity is that if the personality of the existing characters change rapidly, they may contradict the audience's existing perception, preventing them from being immersed in the spin-off protagonist itself and the story development. However, the main characteristics of personality type 6 and personality type 3 are described only by considering the character's role as a helper to solve the problem and the characters' characteristics, but in order to solve the problem in spin-off, the animation producers are determined to achieve the goal. An understanding of this result will greatly help animation producers plan the character in consideration.

본 연구는 공공연구기관에서 개발한 기술을 기반으로 창업된 연구기반스핀오프벤처기업의 성장과정과 성장과정에서 나타난 어려움을 극복하고 성공할 수 있었던 요인들에 대해 살펴본 사례연구이다. 사례기업은 연구기반스핀오프벤처기업의 한 형태인 교수벤처기업 (주)아이센스이다. (주)아이센스는 광운대학교 화학과에 재직 중이던 차근식 교수와 남학현 교수가 연구실 대학원생들과 창업한 벤처기업으로 자가 혈당측정기틀 생산하는 신기술벤처기업이다. 두 교수는 광운대학교 내에 화학센서 연구센터를 운영하면서 바이오센서와 관련된 많은 기초연구 성과를 도출하였으며, 연구개발 전문회사를 설립하여 용역과제를 수행하면서 연구자금을 마련하고, 추후 하고 싶은 연구를 수행할 목적으로 (주)아이센스를 설립하였다. 그러나 창업자들의 초기의도와는 달리 (주)아이센스는 자가혈당측정기를 생산하여 판매하는 제조회사로 성장하였으며, 2008년 코스닥 상장 예정이다. 본 연구는 성공적인 연구기반스핀오프벤처기업인 (주)아이센스의 창업과 성장과정을 분석하고 성장과정에서의 어려움을 극복하고 성공할 수 있었던 요인을 규명하여, 연구기반스핀오프벤처기업이 성공할 수 있는 정책적 실무적 시사점을 제공하고자 한다.

This study aims to analyze the role of TST for regional development in terms of university-research institutes-industry interaction. In particular, it focuses on the spin-off activities from research institutes and universities and their support mechanisms. This study consists of following three sections. This study consists of following three sections. Firstly, we describe the role and characteristics of research institutes and universities as the foundation of high technology business spin-off activities in the region. Secondly, the mechanisms for active technology transfer and business incubation are identified in terms of university-research institute and industry interaction in TST. Thirdly, important lessons for the development of technopolis are suggested from the view point of experiences of TST.

This paper presents the experimental results to verify the environmental consciousness with economic balances due to cutting fluid behaviors, effectiveness in machining process. Even though cutting fluid improves the Productivity through the cooling, lubricating effects, its environmental impact is also increased according to the cutting fluid usage. The primary mechanism considered in this study is the spin-off motion of fluids away from rotating workpiece. In this study some parameters arc adopted to analyze the productivity(tool wear), environmental impact(mist diffusion rate). The results present talc criteria for the resonable cutting fluid usage quantitative1y to develop the environmentally conscious machining process.
