Spin-off and Treasure Shares Magic: Focusing on the Korean Distribution Industry

  • Purpose: Research on spin-off and treasury stock is necessary because the market has realized that this can be utilized for major shareholder private interest. Considering the unique characteristic of a spin-off and treasury stock in the Korean stock market, this study contributes to the literature by examining the effects on shareholder value in the Korean distribution industry. Research design, data, and methodology: The present study investigates literature, analyst reports, and news articles to examine the spin-off process and analyze how treasury stock magic happens. Results: Setting the exchange ratio favoring Spin-Co in the spin-off is the leading cause for reducing the minor shareholders' value. Moreover, treating treasury stock as an asset is also problematic, allowing the allocation of Spin-Co shares. This leads to an increase in the major shareholder controls of Spin-Co without any contribution from the major shareholders. Therefore, the exchange ratio should be calculated reasonably, and treasury stock from the stock repurchase should be treated as stock retirement. Conclusion: By analyzing the spin-off and how treasury stock magic occurs, this study provides recommendations to improve shareholder value. Moreover, it contributes to the maturation of the Korean capital market by promoting a discussion on the revision of spin-off and treasury stock.

Treasury Stock Sales and Management Rights Protection: Conflicts of Interest between an Owner-manager and Small Shareholders

  • This paper investigates the sales process of treasury stocks, while most previous research studies treasury stock repurchases. The sales of treasury stocks are an important measure to protect management rights only in Korea, as Korea's laws and systems allow treasury stock sales according to the board's resolution and not by the decisions made at the general shareholders' meetings. The board's resolution, which considers the owner-manager's interest on management rights, can cause damages to small shareholders. Considering (i) the economic characteristics of treasury stocks, (ii) other countries' institutions and experiences, (iii) a theoretical assessment of the possibility of small shareholder losses, and (iv) lessons from Korea's actual instances, Korea's present system should be corrected at least in the mid and long term. Even in the short-term, rules pertaining to sales enacted by the board's resolution inducing small shareholder losses should be overhauled. The autonomous discipline by various stakeholders could be an ideal measure by which to monitor ownermanager's decisions. In addition, temporary intervention measures, such as government examinations, could be implemented to protect small shareholders.

Dynamic Interaction between Conditional Stock Market Volatility and Macroeconomic Uncertainty of Bangladesh

  • Purpose: The aim of this study is to explore the dynamic linkage between conditional stock market volatility and macroeconomic uncertainty of Bangladesh. Research design, data, and methodology: This study uses monthly data covering the time period from January 2005 to December 2018. A comprehensive set of macroeconomic variables, namely industrial production index (IP), consumer price index (CPI), broad money supply (M2), 91-day treasury bill rate (TB), treasury bond yield (GB), exchange rate (EX), inflow of foreign remittance (RT) and stock market index of DSEX are used for analysis. Symmetric and asymmetric univariate GARCH family of models and multivariate VAR model, along with block exogeneity and impulse response functions, are implemented on conditional volatility series to discover the possible interactions and causal relations between macroeconomic forces and stock return. Results: The analysis of the study exhibits time-varying volatility and volatility persistence in all the variables of interest. Moreover, the asymmetric effect is found significant in the stock return and most of the growth series of macroeconomic fundamentals. Results from the multivariate VAR model indicate that only short-term interest rate significantly influence the stock market volatility, while conditional stock return volatility is significant in explaining the volatility of industrial production, inflation, and treasury bill rate. Conclusion: The findings suggest an increasing interdependence between the money market and equity market as well as the macroeconomic fundamentals of Bangladesh.

Analysis about Effect for Stock Price of Korea Companies through volatility of price of USA and Korea (미국과 한국의 가격변수 변화에 따른 한국기업 주가에 대한 영향분석)

  • The result of variance decomposition through yield of Treasury of 30 year maturity of USA, S&P 500 index, stock price of KEPCO has 76.12% of impulse of KEPCO stock price at short-term horizon, but they have 51.40% at long-term horizon. After one year, they occupy 13.65%, and 33.25%. So their effects are increased. By the way, S&P 500 index and yield of Treasury of 30 year maturity of USA have relatively more effect for forecast of stock price oi KEPCO at short-term & long-term. The yield of Treasury of 30 year maturity of USA more than S&P 500 index have more effect for stock price of KEPCO. It is why. That foreign investors through fall of stock price of USA invest for emerging market is less than movement for emerging market of hedge funds through effect of fall of yield of Treasury of 30 year maturity of USA, according to relative effects for stock price of Korea companies. The result of variance decomposition through won/dollar foreign exchange rate, yield of corporate bond of 3 year maturity, Korea Stock Price index(KOSPI), stock price of KEPCO has 81.33% of impulse of KEPCO stock price at short-term horizon, but they have 41.73% at long-term horizon. After one year, they occupy 23.57% and 34.70%. So their effects are increased. By the way, KOSPI and won/dollar foreign exchange rate have relatively more effect for forecast of stock price of KEPCO at short-term & long-term. The won/dollar foreign exchange rate more than KOSPI have more effect for stock price of KEPCO. It is why. The recovery of economic condition through improvement of company revenue causes of rising of KOSPI. But, if persistence of low interest rate continues, fall of won/dollar foreign exchange rate will be more aggravated. And it will give positive effect for stock price of KEPCO. This gives more positive effect at two main reason. Firstly, through fall of won/dollar foreign exchange rate and rising of credit rating of Korea will be followed. Therefore, foreign investors will invest more funds to Korea. Secondly, inflow of foreign investment funds through profit of won/dollar foreign exchange rate and stock investment will be occurred. If appreciation of won against dollar is forecasted, foreign investors will buy won. Through this won, investors will do investment. Won/dollar foreign exchange rate is affected through external factors of yen/dollar foreign exchange rate, etc. Therefore, the exclusion of instable factors for foreign investors through rising of credit rating of Korea is necessary things.

Price Discovery in the Korean Treasury Bond Futures Market (한국국채선물시장에서의 가격발견기능에 관한 연구)

  • The price relationship between the futures market and the underlying spot market has attracted the attention of academics, practitioners, and regulators due to their roles during periods of turbulence in financial markets. The purpose of this paper is to investigate the dynamic of price relationship(or lead-lag relationship) between Korean Treasury Bond futures market and spot market. To examine the nature of the price relationship, descriptive statistics, serial correlation, and cross-correlation are used as a preliminary statistics in the Korean Treasury Bond spot and futures market. Next, following Stoll-Whaley(1990) and Chan(1992), the multiple regression method is used to examine the lead-lag patterns between the two markets. The empirical results are summarized as follows. The mean returns of spot markets and future markets are positive(+) and negative(-) respectively and the standard deviation of both stock and futures returns increase through the sub-periods. For the most periods, there is negative skewness in the both markets. The zero excess kurtosis due to the heavy tails of the distribution are relatively large. The autocorrelations in the spot returns for the sample periods are positive in time lag 1, but the autocorrelations in the future returns shows no significant evidence. The results of the daily cross-correlations between the KTB spot and futures returns indicate that a lead-lag relationship don't exist for price changes of futures and spot markets as a preliminary analysis. Finally, empirical results of regression analysis for both market indicate that there is no evidence that the KTB futures lead the KTB spot market, or the KTB spot market lead the KTB futures market. These results are robust for all sub-periods.

  • 주식옵션(stock options)에 대한 연구에 비교하여 상품 및 퓨처 옵션(commodity & futures options)에 대한 연구는 선진국에서도 지금 한참 연구를 하고 있는 단계에 있다. 우리나라에서도 이 분야에 대한 이론을 바탕으로 하는 제도를 곧 도입하려는 준비를 하고 있다. 본 연구는 블랙의 '블랙의 컴모디티 옵션의 가격모형(Black commodity option pricing model)'을 이용하여 재무성 장기채권의 퓨처의 균형가격을 예측하는데 있다. 이 블랙모형의 적용가능성을 검증해 본 것이다. 실제퓨처가격(observed futures prices)과는 달리 재무성 장기채권 퓨처 옵션에서의 묵시적 퓨처가격(futures prices implicit)은 시장효율성(market efficiencies)의 전제하에 성립되거나, 아니면 옵션가격모형을 사용하여서는 아니되거나 둘 중의 하나이거나 둘 다 섞이거나 일 것이다. 본 실증적인 연구, 즉 묵시적인 표준편차(implied standard deviations)를 사이멀테니어스(simultaneously)하게 계산한 묵시적인 퓨처가격(implied futures prices)을 사용한 실증적인 연구는 옵션모델에 의하여 퓨처가격을 계산하는 데에 문제가 있음을 발견하였다. 그 이유는 옵션가격결정모형을 이용하여 계산한 재무성 장기채권의 퓨쳐가격은 재무성 장기채권의 미래가격변동의 방향을 제시하는 지표로써 사용할 수 없기 때문일 것이다. 우리나라에서도 이 분야에 대한 이론과 제도를 곧 도입하는 입장에서 선행되는 문헌이 될 것이다.

미국의 기업가치에 대한 부채와 기업 소유구조의 영향에 관한 소고

  • 기존의 논문들은 단순히 기업가치(firm value)가 부채(debt)에 의한 요인들(determinants)에 의하여 좌우된다고 보았으며, 기업의 소유구조(managerial ownership)와 기업가치는 별개(exogenous)로 간주하여 왔다. 이 번 논문에서는 기업 가치를 좌우하는 요인들에 부채 이외에 기업의 소유구조를 내생변수(joint endogenous)로 추정하고, 통계방법으로는 수단변수를 사용하여 GMM(generalized method of moments)를 통하여 추정하기로 한다. 이 연구를 통해서는 부채와 기업 소유구조 사이에 밀접한 상호작용(interrelated)이 있음을 발견하였다. 부채와 기업의 소유구조를 내생화시킴으로써 이번 연구에서는 부채가 기업가치에 약한 부정적인(-) 영향을 주는 것으로 나타났으나, 기업의 소유구조는 기업 가치에 강한 긍정적 요인으로 작용하고 있음을 알 수 있었다. 이와 같이 부채와 기업가치의 약한 부정적인 관계에 대한 선행연구로는 Shea(1997)과 Hahn and Hausman(1999)이 있다. 또한, 기업가치는 시장점유율(market power)과 주가(treasury stock)와 양(+)의 관계에 있음을 알 수 있었다.

An Analysis on the Coupling of Korea's Economy and U.S. Economy through the Asset Market (자산시장을 통한 한국경제와 미국경제의 동조화 분석)

  • Three different models have been consecutively employed with the U.S. yield curve and the Korean composite stock price index, firstly to see the coupling between the economies of the U.S. and Korea, secondly to find out the time consumed completing the coupling, and lastly to figure out the impact of the recent U.S. financial crisis on this coupling. This study has, first of all, produced an empirical research outcome which proved the existence of coupling between two countries' economies. The direction of this coupling was consistent with the general expectation that when the yield spread between the U.S. 10-year Treasury Note and the U.S. 3-month Treasury Bill increased which often occurred with better prospects of U.S. economy, the asset price of emerging economies including Korea also rose reflecting the accompanying change in investment atmosphere in favor of risk. It has also found out that the degree of the coupling was maximized with a lag of one week. And finally the recent US financial crisis has been revealed to reduce the degree of the coupling by as much as half in a regression model with a dummy variable.

What explains firm valuation? Evidence from the Chinese manufacturing sector (중국 제조업 상장기업의 가치평가 설명요인에 관한 연구)

  • The price-to-earnings ratio (PER) is an important indicator to measure the stock price and profitability of a firm; it is also the most used valuation indicator among investors. When using the PER to compare the investment values of different stocks, these stocks must come from the same sector. This study mainly focuses on the China's listed manufacturing firms. By learning from previous research results and analyzing the current situation, we studied the correlation between the manufacturing sector's PER and its influencing factors from both macro and micro perspectives, the combination of which eventually sheds light on such correlation. Analyzing GDP growth rate data, Manufacturing Purchasing Managers' Index, and other macroeconomic variables from 2008 to 2018, we conclude that these variables jointly have a certain impact on the average PER of the manufacturing sector. We then form panel data based on relevant (2014-2018) data gathered from 317 of China's A-listed manufacturing firms to study the impact of micro-variables on PER. By using Stata and other software to analyze the panel data, we reach the conclusion that the Debt to Asset Ratio, Return on Equity, EPS growth rate, Operating Profit Ratio, Dividend Payout Ratio, and firm size have a significant impact on PER. The Current Ratio, Treasury Stock ratio and Ownership Concentration have no distinct effect on PER. Based on our empirical findings, we design a theoretical model that affects the PER.

An empirical study on the relationship between return, volatility and trading volume in the KTB futures market by the trader type (KTB국채선물시장의 투자자유형별 거래량과 수익률 및 변동성에 관한 실증연구)

  • This paper investigate the volume-volatility and volume-return relationship in the Korean Treasury Bond futures market using daily price and volume data categorized by three trader type i.e. individual investor, institutional investor and foreign investor over the period of October 1999 through December 2005. Major results are summarized as follows: (i) The effect of volume on return was not different across the trader type. (ii) The effect of volume on volatility was not unidirectional across the type of investor. While unexpected sell of individual investor has positive effects on volatility, negative effects in the case of institutional investor. (iii) We cannot find the evidence of asymmetric response of volatility to shock in trading volume or net position. This result differs from that of Korean Stock Price Index 200 futures market which showed strong positive asymmetry. Finally, some limitations of this paper and direction for further research were suggested.
