합작투자계약(合作投資契約)에 관한 법적(法的) 문제(問題) (Legal Aspects of International Joint Ventures)

  • International joint ventures are usually formed and managed by domestic companies and foreign investors for the common objectives. They offer an opportunity for each partner to benefit significantly from the comparative advantages of the other. Local partners bring knowledge of the domestic market; familiarity with government bureaucracies and regulations; understanding of local labor markets; and existing manufacturing facilities. Foreign partners can offer advanced process and product technologies, management know-how, and access to export markets. In Korea, joint ventures have been encouraged to usher in foreign investors with foreign currency capital badly needed during the IMF financial crisis. In the meantime, Korean laws and regulations with respect to joint ventures have been largely overhauled to promote foreign direct investment (FDI) both inbound and outbound. They include four types of FDI, i.e., acquisition of foreign stocks, provision of long-term loans, participation in joint operations like resources development, and establishment of foreign offices. From the legal point of view, the formal joint venture agreement must be an offspring of a series of tough negotiations between domestic and foreign partners. They usually stress the long-term relationship with the good will and dedication to each other, and restrict the free transfer of stocks. Both partners are earnestly interested in the ownership and management of the joint venture. So they keep a close eye on the articles of incorporation, changes of business environment, conflict resolution methods, transparency of accounting and other financial matters. When a multinational corporation (MNC) is involved in the joint venture, conflicts over management strategies, marketing and other issues take place more often than not between the MNC and local partners. We have to pay attention to joint ventures, particularly, in China and North Korea. As witnessed in other transition economies, China is eagerly bringing in foreign direct investments for the development of nation's economy. China encourages foreign investors to establish ordinary joint ventures, contractual joint ventures, solely invested foreign capital companies and jointly operated development companies with local partners. In North Korea, however, joint ventures have a different meaning like contractual joint ventures in China, in which North Korean partners have an initiative in the management. Rather, jointly operated companies or simply processing-for-wage companies are recommended in view of the unpredictable legal infrastructure in North Korea.

  • 국가가 문화교류는 상업적 이익보다 이해와 신뢰의 증진을 통해 민족간 반목과 갈등을 예방하며, 동시에 문화다양성에 기여한다는 것이 보편적인 인식이다. 그러나 최근에는 디지털매체의 발달과 문화소비패턴의 변화에 따라 수용자의 새로운 수요와 자발적 소비가 증가하면서 공공지원의 교류사업이 민간사업으로 전환되는 사례도 등장하고 있고, 시장에서의 생존가능성도 늘고 있다. 이 연구는 그간 우리나라의 국제문화교류 현황을 살펴보고, 향후 시장성과의 제고 요소를 가려내고, 우리나라 전통공연예술의 해외 시장성과를 높이기 위한 정책모형을 개발하고자 하였다. 이를 위해 이 연구는 "2016년 국제문화교류 전문인력 실태조사"와 해외사례를 분석하였다. 해외사례는 전통예술을 토대로 하면서 세계적인 문화상품으로 받고 있는 아일랜드 리버댄스에 대해 질적 연구를 하였다. 연구의 결과로는 전통문화와 가치재로서 교류되었던 작품들이 전통문화가 현대적 재해석과 함께 해외 수용자들의 취향을 반영하며, "비용질병"을 해소하는 다양한 혁신활동을 통해 이윤창출형 작품으로 만들어진다면 국제무대에서 시장성과를 높일 수 있을 것으로 평가되었다.

국가관할권 이원 생물다양성 협정상 어업 문제에 관한 검토 (Fisheries under the BBNJ Agreement)

  • The BBNJ Agreement, adopted on June 19, 2023, is considered to be the third implementation agreement of the United Nations Convention on the Law of the Sea after the 1994 Part XI Implementation Agreement and the 1995 High Seas Fisheries Agreement. Of the four themes of the BBNJ Agreement, namely marine genetic resources, area-based management measures, environmental impact assessment, and capacity building and technology transfer, only the part relating to marine genetic resources is explicitly excluded from the scope of the BBNJ Agreement. There are no explicit exclusions in relation to area-based management measures and environmental impact assessments. Therefore, the sections on area-based management instruments and environmental impact assessments may conflict with fisheries issues in other international fisheries instruments during the implementation of the BBNJ Agreement. Although the BBNJ Agreement has a so-called "not-undermine" provision to ensure that it does not conflict with international fisheries instrument represented by the United Nations Convention on the Law of the Sea, the 1995 High Seas Fisheries Agreement, and regional fisheries management organizations, it cannot be ruled out that the BBNJ Agreement may conflict with regional fisheries organizations' area-based management measures and environmental impact assessments. However, the potential for conflicts also implies the potential for developmental outcomes if they are harmoniously interpreted and implemented. First of all, the emergence of the BBNJ Agreement as a comprehensive treaty covering the high seas and the Area provides an opportunity to build an integrated mechanism for international fisheries insturments that were previously fragmented by regions and species. In addition, the BBNJ Agreement can establish a cooperation system with existing regional fisheries management organizations in the process of establishing area-based management measures and environmental impact assessment of cumulative fishing activities. In line with this, regional fisheries organizations may evolve in the future to proactively adopt legal framework changes and environmental protection measures that emerge from the implementation of the BBNJ Agreement.

군 병원 행정관리직의 조직성과 요인에 관한 실증연구 : 직무만족과 조직몰입을 중심으로 (The Study on The Effects on Job Satisfaction and Organizational Commitment of Military Hospital Administrators)

  • This study included empirical methods of study such as surveys and interviews with military hospital administrators from 14 military hospitals across the country. The results of the study is described below. First, results by demographic characteristics show that higher level of organizational commitment was found in males than females and in singles than married couples. Also, by organizational units, major units of military hospitals showed higher level of organizational commitment as well as job satisfaction. Second, Fair compensation had positive(+) effects on the study participants' job satisfaction and organizational commitment as the research hypothesized. Compensation included monetary and social benefits for the work performed. A transparent compensation system to reward members that performed the best for the department and the corps with appropriate amounts must be in place. Third, the organization culture of being considerate had positive(+) effects on job satisfaction and organizational commitment while the culture of giving commands had negative(-) effects. Fourth, Conflict factors had negative(-) effects on job satisfaction with no direct effect on organizational commitment. Any organization must take measures when adverse effects of conflicts surface. As shown by the analysis results, conflict factors bring negative results to job satisfaction and organizational commitments. Department managers should utilize the proper function of conflicts as an accelerator in organization operation.

국립공원의 구역 변천 및 용도지구 설정을 기반으로 한 해상·해안형 국립공원 관리개선방안에 대한 기초 연구 (A Basic Study on a Plan to Improve the Management of the Maritime or Coastal National Parks Based on the Change of the National Park Zoning and the Establishment of the Use-specific Districts)

  • The national parks of South Korea take up an area of 6,726 ㎢, which accounts for 6.7% of the national land. They are national conservation areas with their area made up of 59.1% of land (3,972.6 ㎢) and 40.9% of seawaters (2,753.7 ㎢). And in 2019, the national parks are classified by type into 17 mountainous, 4 maritime or coastal, and 1 historical site. Here, the maritime or coastal nation parks are lately spotlighted as landmarks in maritime tourism. However, the area of the maritime or coastal national parks is continuously dwindling due to conflicts between the residents in the parks and Korea national park service, the continued pressure with respect to the regional tourism development and private investments, and the abolition of parks in relation to allegedly breached private properties. This study identifies the issues with the operation and management of national parks as caused by the abolition of parks and the reduction of areas, and goes from there to do research with the aim of suggesting an institutionalized improvement plan with a view to more useful operation and management of the maritime or coastal national parks. As a result, the natural resources in the sea and on land should be surveyed again to establish the standard for use-specific zoning and reorganize the park areas in adjusting the national park areas. Second, the use-specific districts need to be reviewed for their reorganization that meets the designation requirements by focusing on the characteristics of the different national parks with a view to ensuring reasonable natural conservation in the maritime or coastal national parks. Third, various support facilities for residents such as public path, lodgings, and rentals need to be created to reduce the conflicts between Korea national park service and those who live in the parks.

피해사례를 통해서 본 결혼이민자남편의 갈등 (Case study on the conflicts faced by the husbands married female Immigrants)

  • Some Korean men choose to marry a foreigner expecting that marriage will solve all their problems. Therefore, this case study is to provide basic information on how to prevent conflicts in the marriage and how to get used to the marriage life. first, it is apparent that these match-makings between Korean men and married Female Immigrants are commercialized and are based on the two parties' convenience. Second, it is more possible that the issues with the role of husband/wife and the allocation of household labor stem from the cultural differences from international racial differences rather than Korean men are authoritative or patriarchal. It seems that the foreign brides from the third world countries choose to many Korean men with only a single purpose to financially help their parents. While neither willing to share household labor nor providing what is expected to be a wife, they demand financial assists for their parents or choose to get a job at a factory to make money. Third, the husbands expect their wives to learn Korean since there is not much opportunity to learn the wives' language and the culture. Also, the textbooks are rare to find for the languages. Moreover, the husbands do not have the enthusiasm or the ability to team due to age Fourth, the Korean men are rather psychological, financial, social victims than domestic abusers.

  • 현재 중국은 개혁 개방을 통하여 고도 경제성장을 이룩하였으며, 베이징 올림픽과 엑스포 개최, 그리고 G2체제를 통한 세계 초강대국으로 진입하는 등의 성과로 대다수 국민들의 지지를 받고 있지만, 그 이면(裏面)에 많은 난제(難題)들도 있다. 다민족으로 구성된 중국은 분열과 통합의 경험이 있어 다른 어떤 국가보다 분리주의에 민감하게 반응하고 있으며, 실제로 종교 민족문제 등으로 인한 갈등과 분쟁이 빈번하게 발생하고 있다. 특히, 중국의 한족과 신장지역 위구르족은 역사 민족적으로 그 기원이 상이하고, 종교 문화적으로 융합하기에 한계가 있어 유혈사태와 테러리즘이 자주 발생하고 있다. 중국정부는 다양한 민족 종교 경제 외교정책을 제시하였지만, 근본적인 문제 해결책을 찾지 못하고 있다. 이로 인하여 중국의 유혈사태와 테러리즘은 지속적으로 발생할 것으로 예측되기 때문에 정치 민족 외교정책 등의 재검토가 필요하가고 본다.

비교그룹방법을 이용한 고속도로 추월차로형 오르막차로 안전성 연구 (A Study on the Safety of Passing-type Climbing Lanes in Expressways using C-G Method)

  • PURPOSES : Climbing lanes on expressways managed by the Korea Expressway Corporation (KEC) have been hot potatoes due to conflicts between slow-moving vehicles such as trucks and other vehicles at the merging section as well as the less popularity with the slow-moving vehicles. In order to resolve such problems, KEC has altered existing climbing lanes to passing-type climbing lanes in 1999. The new type of climbing lanes showed an apparent improvement in mobility. For example, the speeds of vehicles using both climbing lane and other lanes improved a lot. However, there has been no clear evidence about improved safety. METHODS : This research effort was initiated to evaluate the safety of the new passing-type climbing lanes using the comparison-group(CG) method based on three-year-long traffic accident data sets before and after the change, respectively. RESULTS : The passing-type climbing lanes showed twice increased traffic accidents even though the traffic accidents on old type climbing lanes increased 1.1% during the same periods. In addition, in-depth study, the merging area of the passing-type climbing lanes was found out to be the weakest section where 43.8% traffic accidents out of total traffic accidents happened. It is noted that the merging area of the old type climbing showed only 25.0% traffic accidents. CONCLUSIONS : The new passing-type climbing lanes were found to be weak in terms of safety when compared with the old type climbing lanes. Especially, the merging area should be improved to reduce the risk of traffic conflicts between slow-moving vehicles and other vehicles.

Real-time automated detection of construction noise sources based on convolutional neural networks

  • Noise which is unwanted sound is a serious pollutant that can affect human health, as well as the working and living environment if exposed to humans. However, current noise management on the construction project is generally conducted after the noise exceeds the regulation standard, which increases the conflicts with inhabitants near the construction site and threats to the safety and productivity of construction workers. To overcome the limitations of the current noise management methods, the activities of construction equipment which is the main source of construction noise need to be managed throughout the construction period in real-time. Therefore, this paper proposed a framework for automatically detecting noise sources in construction sites in real-time based on convolutional neural networks (CNNs) according to the following four steps: (i) Step 1: Definition of the noise sources; (ii) Step 2: Data preparation; (iii) Step 3: Noise source classification using the audio CNN; and (iv) Step 4: Noise source detection using the visual CNN. The short-time Fourier transform (STFT) and temporal image processing are used to contain temporal features of the audio and visual data. In addition, the AlexNet and You Only Look Once v3 (YOLOv3) algorithms have been adopted to classify and detect the noise sources in real-time. As a result, the proposed framework is expected to immediately find construction activities as current noise sources on the video of the construction site. The proposed framework could be helpful for environmental construction managers to efficiently identify and control the noise by automatically detecting the noise sources among many activities carried out by various types of construction equipment. Thereby, not only conflicts between inhabitants and construction companies caused by construction noise can be prevented, but also the noise-related health risks and productivity degradation for construction workers and inhabitants near the construction site can be minimized.

A SIMULATION MODEL FOR DECIDING AN OPTIMIZED 3D SHAPE OF CONSTRUCTION WORKSPACE CONSIDERING RESOURCES IN BIM ENVIRONMENT

  • A construction workspace is considered as a critical factor to secure constructability and safety of a project. Specially, optimized size of each workspace helps to minimize any conflicts between workspaces, works and resources within a workspace in the construction site. However, since an existing method for making a decision workspace's size depends on generally experiences of managers and work conditions of activity, it is difficult to perform safe works considering feasible workspace size. The workspace size is changed according to the quantity of resources allocated into each activity as time progresses. Accordingly, it is desirable that optimized workspace size considering input size of resources is determined. To solve these issues, this study configures an optimized model for deciding standard size of workspaces by simple regression analysis and develops a visualized scenario model for simulating the optimized workspace shape in order to support BIM (Building Information Modeling) environment. For this, this study determines an optimized resource shape size considering maximum working radius of each resource and constructs its visual model. Subsequently, input size of resources for each activity is estimated considering safety execution area of resources and workspaces. Based on this, an optimized 3D workspace shape is generated as a VR simulation model of a BIM system based on the suggested methodologies. Moreover, operational feasibility of the developed system is evaluated through a case study for a bride project. Therefore, this study provides a visualized framework so that project managers can establish an efficient workspace planning in BIM environment. Besides, it is expected that constructability, productivity and safety of the project will be improved by minimizing conflicts between workspace and congestions between resources within a workspace in the construction phase.
