Key Factors Affecting the Development of Public-Private Partnerships in Water and Wastewater Services in the Jiangsu Province, China

  • The marketization reform from the open-door policy in 1978 was not only booming export-oriented industries with foreign investment but also expanding the role of private actors in the Chinese water sector. Private Sector Participation (PSP) has become an important element in developing urban infrastructure by providing better services with advanced facilities. The rapid development of PSP-driven urban water infrastructure in China has a positive impacted on Chinese economic development, particularly in coastal areas. PPPs in some coastal areas have successfully spread out over China since China applied the first Build-Operate-Transfer (BOT) mode in the water sector in the early 1990s. The market-oriented water and wastewater, Public-Private Partnership (PPP) mechanism in the initial period of China has been transformed into a state-dominated PPP mechanism. The development pattern of the water and wastewater PPPs in China has been divided in four stages: the first period from 1984 to 2002, the second period from 2003 to 2008, the third period from 2009 to 2014, and the last period after 2015. The study aims to investigate the successful process of water and wastewater PPPs in local areas through five socioeconomic elements: export-oriented economic strategy, urbanization, cheap land policy, infrastructure investment, and water issues and climate change. In addition, the study focuses on analyzing the extent to which the Chinese government re-asserted its control over the PPP mechanism by classifying five elements in three different development Phases from early 2000 to 2020. The Jiangsu Province in the estern coastal area has actively invited PPP projects in the water and wastewater sectors. The successful introduction and rapid growth of PPPs in the urban water infrastructure has made the province an attractive area for a foreign investor.

  • Due to the increasing number of foreign investments made by state-owned enterprises, there has been a growth in the number of investment arbitration claims submitted by them. However, international investment treaties including the ICSID Convention are intended to apply to investor-state disputes and according to Article 25 of the ICSID Convention, the claimant has to be "a national of another Contracting State." This raises the question of whether state-owned companies can be considered as "nationals of another Contracting State" or private investors. This issue has been discussed in the ICSID Decision on Jurisdiction in BUCG v. Yemen which has been released in 2017. Since there would be more claims related to the standing of state-owned enterprises as claimants, it is required to understand whether state-owned enterprises could be permitted access to the ICSID under the ICSID Convention Article 25. Moreover, the ICSID cases addressing the jurisdictional issues including BUCG v. Yemen has to be closely analyzed. In particular, as the Broches test was applied in order to decide the standing of state-owned companies, it is necessary to examine how the Broches criteria has been interpreted and adopted in the ICSID cases.

Bond Ratings, Corporate Governance, and Cost of Debt: The Case of Korea

  • This study examines whether Korean rating agencies such as Korea Investors Service (KIS), National Information & Credit Evaluation (NICE), and Korea Ratings Corporation (KR), incorporate corporate governance into their corporate bond ratings in Korea. We find that the Korean rating agencies assign higher ratings to the bonds issued by Chaebol (Korean business group) affiliated firms. Our results also indicate that those rating agencies give higher ratings to the bonds with greater foreign investor share ownership. Moreover, if the rating agencies value corporate governance, higher rated firms should issue bonds at lower yield to maturity. We discover that Chaebol affiliation is counted favorably by the rating agencies. We find that investors are willing to pay lower risk premium for bonds with higher institutional ownership, but higher risk premium to bonds with greater equity ownership in the form of depository receipts. Therefore, even if the rating agencies and investors in Korea consider corporate governance (Chaebol affiliation and ownership structure) an important determinant in bond ratings and the yields to maturity, they have opposite views on institutional ownership and share ownership in the form of depository receipts.

  • In this paper, we propose an optimal choice scheme to determine the best option among comparable options whose current expectations are all the same under the condition that an investor has a confidence in the future value realization of underlying assets. For this purpose, we use a path-averaged option as our base instrument in which we calculate the time discounted value along the path and divide it by the number of time steps for a given expected path. First, we consider three European call options such as vanilla, cash-or-nothing, and asset-or-nothing as our comparable set of choice schemes. Next, we perform the experiments using historical data to prove the usefulness of our proposed scheme. The test suggests that the path-averaged option value is a good guideline to choose an optimal option.

  • The contours of the definition of an indirect expropriation are not precisely drawn. In some recent ICSID decision, tribunals have interpreted the concept of indirect expropriation narrowly and have preferred to find a violation of the standard of fair and equitable treatment. Thus, I analyzed the three Requirements of Indirect Expropriation basis of ICSID Cases as below. First, the effect of measure upon the economic benefit value as well as upon the control over the investment will be the key question when it comes to deciding whether an indirect expropriation has taken place. Whenever this effect is substantial and lasts for a significant period of time, it will be assumed prima facie that a taking of the property has occurred. Second, legitimate play a key role in the interpretation of the fair and equitable treatment standard. But they also found entry into the law governing indirect expropriation. Finally, the duration of a government measure affecting the interests of a foreign investor is important for the assessment of whether an expropriation has occurred.

증권회사 브랜드에 있어 투자자의 투자성향과 기업의 컬러마케팅의 인과관계 분석 연구 (A study of the influence of investment tendency on the color marketing of securities company's brand)

  • 오늘날 금융 산업은 개방화와 자율화에 따른 외국금융브랜드의 진출 및 증가, 다양한 금융브랜드의 신설 등으로 급속도로 변화하고 있다. 이러한 변화의 추세 속에서 기업들은 점차 자사의 브랜드 차별화를 위해 다양한 마케팅 방법을 동원하고 있다. 그 중 최근의 금융 브랜드에서 사용하는 '컬러마케팅'은 중요한 브랜드 차별화 요소로 인식되고 있다. 그러나 일부 브랜드를 제외하고 기업의 경영성향을 내포한 브랜드의 컬러마케팅과 투자자의 투자성향에 근거한 컬러선호가 상이함이 있다고 보여진다. 이는 커뮤니케이션의 목적인 브랜드이미지 문제와도 관계가 있을 것이라고 생각된다. 따라서 본 연구는 기업과 고객 간의 효율적인 커뮤니케이션 방안을 제시하기 위해 현재 증권회사들의 브랜드 컬러마케팅과 개인금융 투자자의 투자성향 선호컬러의 상관관계에 대해서 확인해 보고자 하였다. 롤랑 바르트의 컬러의 기호학적 의미해석과 실제 투자자들의 투자성향별 집단의 선호컬러와는 차이가 있음이 확인해 볼 수 있었다. 즉, 공격적인 투자성향을 가진 투자자의 경우 열정적이며 적극성을 상징하는 적색이나 주황의 강렬한 컬러를 선호할 것으로 예상 하였으나 분석 결과 뜻밖에도 의외의 컬러를 선호하는 것으로 알 수 있었다. 이러한 분석들을 토대로 증권사의 경영성향과 투자자의 컬러성향과의 관계를 보다 면밀히 조사하고 체계화하는 과정의 일환으로 본 연구 결과는 향후 맞이하게 될 자본시장통합법에 따른 시장개방에서 금융브랜드와 고객과의 커뮤니케이션 수단의 기초적인 연구 자료가 될 수 있기를 기대한다.

주가지수 파생상품 Life Cycle과 투자자 유형별 거래행태 (Life Cycle of Index Derivatives and Trading Behavior by Investor Types)

  • 선물 및 옵션의 만기결제와 관련된 정보비대칭 상황은 각 투자자 집단의 거래활동에 가시적인 영향을 줄 수 있다. 이러한 가능성을 조사하기 위해서 본 연구는 만기일을 제외한 파생상품의 life cycle을 시간의 경과에 따라 3개의 구간으로 설정한 후, 각 투자자 유형의 거래활동이 각 구간별로 보이는 변화 패턴을 조사하였다. 조사된 KOSPI200 지수 파생상품시장의 투자자 유형별 거래행태는 Foster and Viswanathan(1990)의 전략적 유동성 거래자 모형을 통해서 해석되었다. 한편, 투자자 유형별로 KOSPI200 지수 파생상품의 만기결제와 관련된 정보우위성을 측정 및 비교함으로써 정보비대칭 정도 및 정보거래자의 확인(identification) 문제에 조금 더 접근할 수 있었다. 본 연구의 주요 결과는 다음과 같이 요약된다. 첫째, 투자자 집단의 거래활동은 KOSPI200 지수 파생상품의 life cycle에 따라 3가지 유형(ㄱ자형, L자형, U자형)의 패턴으로 요약된다. ㄱ자형은 만기일 이전 1주일 동안 거래활동을 축소하는 패턴이고, L자형은 만기일 이후 1주일 동안 거래활동을 확대하는 패턴이고, U자형은 만기일 이전 1주일과 만기일 이후 1주일 동안 거래활동을 확대하는 패턴이다. 둘째, 개인투자자는 파생상품 life cycle과 관련하여 대형주 종목군을 대상으로 ㄱ자형 거래패턴(선물만기 기준)과 U자형 거래패턴(옵션 단독만기 기준)을 보인다. 이러한 거래패턴은 Foster and Viswanathan(1990)의 전략적 유동성 거래자 모형의 예상과 일치하였다. 셋째, 파생상품 life cycle과 관련하여 외국인투자자의 거래행태는 부분적으로 전략적 유동성 거래자 모형의 예상과 일치하였으나, 기관투자자의 거래행태는 전략적 유동성 거래자 모형의 예상과 무관하였다. 우리나라 주식시장의 전체 거래규모에서 가장 큰 비중을 차지하는 개인투자자가 파생상품의 만기와 관련하여 전략적으로 유동성 거래를 수행한다는 점은 파생상품의 life cycle이 주식시장에 주기적으로 영향을 주는 중요한 경로임을 의미한다. 본 연구는 이러한 경로를 새로이 규명하였다는 점에서 의미를 가진다.

국제투자계약상의 중재조항(Arbitration Clause)의 주요 구성요소에 관한 연구 (A Study on the Major Elements of an Arbitration Clause in International Investment Contracts)

  • The purpose of this paper is to examine the major elements of Arbitration Clause in international investment contracts and to help the investor, especially foreign investors, considering these elements when they draft the contracts. First of all, to describe the extent of the arbitrable issues broadly is very important by using the phrase such as "disputes in connection with". Furthermore in order to be enforceable, the issues must be a subject-matter to be submitted to arbitration in accordance with the laws of the place of arbitration and the law application to the merits of the disputes (N.Y. Convention, Art. II). Second, the appointment of the arbitrators usually shall be based on the principle of freedom of contract. If the parties do not agree on the appointment, it is decided in accordance with the arbitration rules of the institution by the tribunal. Third, the procedural rules of the arbitration are the arbitration rules of the arbitration institution in case of institution arbitration, unless otherwise agreed. Forth, what is the most importance element of Arbitration Clause is the place of arbitration. In this case, also the principle of freedom of contract has priority. Unless otherwise agreed, Washington is the place of arbitration in case of ICSID Arbitration, but in case of ICC Arbitration, neutral third country may be the place of arbitration. However in case of ad hoc arbitration, both parties should indicate the place. If not, the whole arbitration may be paralysed by an uncooperative party. Besides the major elements, I examined the relation between the arbitration clause and award enforcement in terms of sovereign immunity. The enforcement of awards in the field of state contracts many encounter the problem of the sovereign immunity, which means that the State itself or the State enterprise is the contract partner. To avoid the this problems, it is advisable for the parties insert the clause such as ICSID Model Clause XIX.

영리법인병의원에 대한 고찰을 통한 국내 의료법인제도의 재구성 방안 (Suggestion for Reform of Korean Medical-Juridical-Person System: through review on for-profit ownership of Korean medical institutions)

  • The rate of conversion to Medical-juridical-persons' ownership of medical institutions has increased rapidly since its start in 1970s in Korea. The most sensitive issue to introduce for-profit medical institutions, ignited particularly by the WTO/DDA negotiations, has sparked considerable debate, stemming largely from conflicting views on the theoretical effects of ownership status on organizational behavior. This study surveyed health-related experts' opinions on allowing for for-profit-firms-owned medical institutions. Some fear that the obligation to maximize the share-holders' return on their investment will cause the medical institutions to eliminate necessary but less lucrative services. They may easily fall under more pressure to generate income, and respond more aggressively than not-for-profit medical institutions to financial pressures. Advocates of for-profit ownership of medical institutions argue that greater responsiveness to the demands of the marketplace will lead to larger investment, higher quality and lower costs to consumers. Referring to both foreign countries' experience and domestic experts' opinions, this study suggests for reform of the current Korean Medical-Juridical-Person(MJP) System. Introduction of so-called “Capital-investment” MJPs is recommended where the properties left in case of their dissolution can be distributed to original investors according to the procedures stipulated in their statutes. However, their annual profits are not allowed to be allocated to investors, but should be reinvested for their medical institutions, as is the case in current MJPs. Their legal aspects are also reviewed in this study.

글로벌금융시대의 투자자 정보불균형 해소에 따른 기업성과에 대한 연구 -국내외 기업의 IR공시가 주가에 미치는 영향을 중심으로- (A Study on the Firm Performance Following the Resolution of Investors Information Asymmetry in the Globalized Financial Market)

  • One aspect of the globalization of the financial market after the 1980s is represented by the concurrent monetarization of the national stock markets. As the IR activity is regarded as a new financial productivity measure, the IR activity in the stock market is being emphasized domestically and internationally. This study analyzes domestic IR activities and compares them with foreign IR activities. Specifically the "road show", a typical IR activity, which is known to resolve the information asymmetry between the firm and the investors is analyzed to see the extent of the their value increase impact on the firm. The study employs domestic and international firms that publicly announced "road shows" after April 2004. Event studies are done to see the existence of abnormal return after the public announcement of road shows. Domestic firms were found to have positive IR impacts on the stock prices, but international firms were found to have negative IR impacts on the stock prices. Also it was found that international public announcement of the road show have stronger positive impact on the stock price than domestic public announcement. The investigation of the statistically significant difference of CAR before and after the fair public announcement enforcement rule showed that the positive CAR impact is strengthened after the adoption of the rule. The conclusion is that increase of the firm value after the road show implies that the information asymmetry is reduced by the active IR actions on the firm side. The policy implication is that we have to reassure the understanding of the role of the IR activities. Specifically Korean firms may have to encourage IR activities to share the information of the firms with the investors, which may result in the trustworthy relationship between the firms and investors.
