전자계약에 관한 연구 (Study on the Electronic Contract)

  • 전자계약이란 과거 계약 당사자들이 대면으로 만나서 처리하던 계약서 작성 서명 관리 등의 일련의 계약 업무를 공인인증서 기반의 전자서명 및 암호화를 통해 시간과 공간의 제약 없이 온라인으로 계약서를 작성 체결 관리 보관하는 것을 의미한다. 최근 정보통신기술의 눈부신 발전과 초고속인터넷의 서비스가 보급되면서 이를 이용해서 이루어지는 거래계약으로 일정한 법률효과를 목적으로 두 사람 이상의 당사자가 전자적 의사 표시의 합의인 법률행위를 통하여 기업 생산성 향상 외에도 계약서류와 실제 구매 입고 지급 같은 전 과정을 조정할 수 있는 이점이 많아 급속도로 새로운 경제활동의 영역의 축으로 급부상하고 있는 것이 현실이다. 이러한 시대변화 속에서 전자계약의 성립과 관련하여 민법상 계약의 핵심인 당사자의 의사표시 등에 대하여 전혀 예상하지 못한 법률적인 여러 가지 문제점이 대두되고 있어 체계적인 법리구성이 요구되는 실정이다. 이에 따라 본 연구에서는 전자계약에 따른 문제점에 대한 고찰을 통하여 합리적인 개선방안을 제시하고자 한다.

  • Seller's obligation on the Delivery of Goods and Handing over the Documents are key elements in Contracts for the International Sale of Goods. The United Nations Convention on Contracts for the International Sale of Goods(CISG) has been entered into force on 1 January 1988 to create international certainty and uniformity in the law and to govern issues that arise in an international sale of goods transaction. The Incoterms were first published by the ICC in 1936 and were most recently revised in 2010. Incoterms 2010 are entering into force on 1 January 2011. The Incoterms focus on the seller's delivery obligations and reflect the principle that the risk of loss or damage to the goods passes from the seller to the buyer when the seller has fulfilled its obligations to deliver the goods. This study highlights basic rules covering seller's obligation of delivery of goods and handing over the documents under the Incoterms 2010 and the United Nations Convention and Contracts for the International Sale of Goods. In the second chapter, this study will provide analyses and compare these two legal systems in relation to the basic rules governing delivery of goods and passing of risks in contract of sale. This chapter evaluates the meaning of Article 31 and Article 67(1) and FOB, CFR, CIF & FCA, CPT, CIP terms of Incoterms 2010. Chapter Three will focus on handing over the documents. Article 30 CISG imposes the seller's primary obligations to deliver the goods and to hand over documents relating to them. Article 34 CISG supplements the seller's obligation in relation to documents by providing that the seller must hand over documents relating to the goods. In contrast, Article 58(1) CISG imposes on the buyer the obligation to pay only when it has received the goods or documents controlling their disposition. I reviewed only some of the documents relating to the goods are documents controlling their disposition. This chapter considers the meaning of the phrase "documents that control the disposition of the goods and do not control disposition of the goods." Finally, the fourth chapter will assess the meaning of rules of CISG and Incoterms 2010.

  • 국내 건설수주 규모는 2013년 91.3조원에서 2021년 총 212조원으로 특히 민간부문에서 크게 성장하였다. 국내외 시장 규모가 성장하면서, EPC(Engineering, Procurement, Construction) 프로젝트의 규모와 복잡성이 더욱 증가되고, 이에 프로젝트 관리 및 ITB(Invitation to Bid) 문서의 위험 관리가 중요한 이슈가 되고 있다. EPC 프로젝트 발주 이후 입찰 절차에서 실제 건설 회사에게 부여되는 대응 시간은 한정적일 뿐만 아니라, 인력 및 비용의 문제로 ITB 문서 계약 조항의 모든 리스크를 검토하는데 매우 어려움이 있다. 기존 연구에서는 이와 같은 문제를 해결하고자 EPC 계약 문서의 위험 조항을 범주화하고, 이를 AI 기반으로 탐지하려는 시도가 있었으나, 이는 레이블링 데이터 활용의 한계와 클래스 불균형과 같은 데이터 측면의 문제로 실무에서 활용할 수 있는 수준의 지원 시스템으로 활용하기 어려운 상황이다. 따라서 본 연구는 기존 연구와 같이 위험 조항 자체를 정의하고 분류하는 것이 아니라, FIDIC Yellow 2017(국제 컨설팅엔지니어링 연맹 표준 계약 조건) 기준 계약 조항을 세부적으로 분류할 수 있는 AI 모델을 개발하고자 한다. 프로젝트의 규모, 유형에 따라서 세부적으로 검토해야 하는 계약 조항이 다를 수 있기 때문에 이와 같은 다중 텍스트 분류 기능이 필요하다. 본 연구는 다중 텍스트 분류 모델의 성능 고도화를 위해서 최근 텍스트 데이터의 컨텍스트를 효율적으로 학습할 수 있는 ELECTRA PLM(Pre-trained Language Model)을 사전학습 단계부터 개발하고, 해당 모델의 성능을 검증하기 위해서 총 4단계 실험을 진행했다. 실험 결과, 자체 개발한 ITB-ELECTRA 모델 및 Legal-BERT의 앙상블 버전이 57개 계약 조항 분류에서 가중 평균 F1-Score 기준 76%로 가장 우수한 성능을 달성했다.

  • 블록체인 기술은 거래를 투명하게 관리함으로써 중앙통제 없이 신뢰 가능한 P2P 거래를 가능하게 한다. 최근에는 금전적 가치를 지닌 선하증권(Bill of Lading, B/L서류)의 무결성을 확보하기 위해 블록체인을 적용한 연구가 진행되고 있다. 본 논문에서는 사용성 개선을 위한 블록체인 기반의 선하증권 시스템을 제안한다. 수출자는 선사로부터 발급 받은 선하증권을 블록체인에 저장하고, 은행에서 이를 조회하여 신용장 거래를 수행한다. 수입자는 선하증권 서류의 지문이 담긴 QR코드(Quick Response code)로 신원증명을 완료한 뒤 화물을 인도 받게 된다. 수출자는 우편으로 보낼 시간과 비용을 절약하고, 물품의 보안을 강화할 수 있다는 점에서 큰 효과를 거둘 수 있다. 수입자의 경우 선적 서류가 블록체인 네트워크에 등록되자 마자 서류를 열람할 수 있고, 신뢰를 바탕으로 거래를 수행할 수 있다는 이점을 갖는다. 뿐만 아니라 은행에서는 선적서류에 대한 검증을 더욱 신속하게 수행할 수 있다.

국제항공화물운송계약(國際航空貨物運送契約)의 법률관계(法律關係) -화주(貨主)의 권리의무(權利義務)를 중심(中心)으로- (Legal Relations of the Contract of International Carriage of Goods by Air)

  • The purpose of this study is to review the rights and duties of cargo owners, the party to the contract of international carriage of goods by air under the Warsaw Convention System and the IATA conditions. It is generally known that air freight is the most-cost mode of transportation. However, should there be considerations of total distribution cost, the use of air freight leads exporters to be advantageous in physical distribution. The Warsaw Convention System defined and limited the rights and duties of cargo owners and air carriers paticipating in the international carriage of goods, but it does not regulate every aspect of air transportation. Therefore, the unregulated parts are governed by national laws and by individual contracts of carriage. The International Air Transport Association(lATA), a worldwide organization of airlines, has formulated model conditions of contract for the carriage of cargo. These models are not uniformly followed but they serve as a basis for many of the individual standard form of contracts prepared by air carriers. The contract of air carriage of goods is a contract of adhesion, 'the consignor recognizing and accepting the conditions laid down by the carrier'. There are consignors and carriers as the parties to the contract of international carriage of goods. In addition to his basic right, implied in Warsaw Convention Article 18 and 19, to require devery of the goods in good condition and at the date agreed upon, the consignor has the right to dispose the goods in the course of the journey up to the moment when the consignee is entitled to require delivery. If it is impossible to carry out the orders of the consignor, the carrier must so inform him forthwith. The right conferred on the consignor ceases at the moment when that of the consignee begins in accordance with Warsaw Convention Article 13. Nevertheless, if the consignee declines to accept the air waybill or the goods, or if he cannot be communicated with, the consignor resumes his right of disposition. Unless it is otherwise agreed, it is the duty of the carrier to give notice to the consignee as soon as the goods arrive. The consignee is entitled, on arrival of the goods at the place of destination, to require the carrier to hand over to him the air waybill and to deliver the goods to him, on payment of the charges due and on complying with the conditions of carriage set out in the air waybill. The air waybill is supposed to be made out by the consignor. If the carrier makes it out, he is deemed, subject to proof to the contrary, to have done so on behalf of the consignor, whether there is one air waybill or several, each must be made out in three original parts. The first is for the carrier, the second is for the consignee, and the the third is handed to the consignor when the shipment has been accepted. The consignor is responsible for the correctness of the particulars and statement concerning the cargo appearing in the air waybill. Each of the original parts of the air waybill has evidential value and possession of his part is a condition for the exercise by the consignor or consignee of his rights under the contract of carriage. Hague Protocol set forth in Article 9 that nothing in this. Convention prevents the issue of a negotiable air waybill, but Montreal Additional Protocol No. 4 deleted this article. All charges applicable to a shipment are payable in cash at the time of acceptance thereof by the carrier in case of a prepaid shipment or at the time of delivery thereof by the carrier in case of a collect shipment. The carrier shall have lien the cargo for unpaid charges and, in the event of non-payment thereof, shall have the right to dispose of the cargo at public or private sale and pay itself out of the proceeds of such sale any and all such amounts. In conclusion, the Warsaw Convention System has the character of ambiguity in various respects, not only in the part of the forms of documents but also in conditions of contract. Accordingly, the following propositions might be considered: (1) If the carrier does not obey the orders of the consignor for the disposition of the goods without proper reasons, he will be liable strictly for any damage which may be caused thereby to the cargo owner. The special agreement and carrier's conditions of carriage which limit unreasonably the consignor's right of disposition of the goods will be nullified. (2) The instrument of the Warsaw Convention System which is not yet in force(Montreal Additional Protocol No. 4) would considerably simplfy the processing and keeping of computerized records of the carriage. Until this instrument enters into force, the airlines will be faced with practical problems preventing them to substitute computerized data processing techniques for the formal issuance of the documents. Accordingly, Montreal Additional Protocol No. 4 should become effective as soon as posisble. From a practical point of view in the international trade, the issuance of negotiable air waybill should be permitted for the security of the bank.

  • This article aims at analysing the reality of banks' liability resulting from the breach of contract on its part to keep the business secrecy with the supplier in the transferable credit, focusing on a English decision, Jackson v. Royal Bank of Scotland [2005] UKHL 3. In this case, the applicant, 'Econ', had purchased various varieties of pre-packed dog chews in bulk through 'Sam'(lst beneficiary) from 'PPLtd'(2nd beneficiary) in Thailand, using a transferable letter of credit issued by 'RBank'. 'Sam' charged a tremendous amount of mark-up on each transaction and it had not been disclosed to 'Econ', although the identity of 'PPLtd' was revealed to 'Econ' by various documents. However, 'RBank' made an unfortunate error to send an completion statement and other documents including 'PPLtd.'s invoice to 'Econ' instead of to 'Sam'. The effect of the Bank's error was to reveal to 'Econ' the substantial profit that 'Sam' was making on these transactions. CEO of 'Econ' was furious and, as a result, decided to cut 'Sam' out of its importing system and terminated their relationship. 'Sam' sued 'RBank' for damages to recover the loss of profits which could have been possibly made, if the information on the mark-up would not have been exposed to 'Econ'. The House of Lord held that 'RBank' was in breach of its duty of confidence, so 'Sam' was entitled to recover damages on a decreasing scale over 4 years, since there was no specific undertaking from the letter of credit.

사이버무역거래에 관한 법적 문제와 활성화방안 (The Legal Problems and Policy Suggestions for Vitalizing Cyber Trade Transactions)

  • 국제무역부문에서 사이버무역거래가 활발하게 이용되기 물품운송 및 무역대금결제에 이르기까지 전통적인 방식에 의한 무역보다 전자환경에 맞는 안정되고 예측가능한 시스템구축이 필요하다. WTO, OECD, UNCITRAL, APEC등과 같은 국제기구에서 전자상거래 활성화를 위한 방안이 모색되고 있고, 무역 관련 국제규범에 사이버 무역 활성화를 위한 규칙을 마련하고 있으나 전자계약, 운송서류의 전자문서화, 전자결제 등에 이용하기에는 많은 문제점을 가지고 있다. 따라서 본 논문에서는 이들 문제점들을 규명하고 전자계약의 성립과 유효성 및 권리 구제에 대한 전자적 합의의 표준화, 전자선하증권 등을 중심으로 하는 운송서류의 권리이전문제, 전자결제시스템의 개발을 통하여 사이버무역을 활성화시킬 수 있는 방안을 제시한다.

국제물품매매계약에 있어서 하자담보책임에 관한 법리 - CISG를 중심으로 - (The Rules of Law on Warranty Liability in Contracts for the International Sale of Goods - With Special Reference to CISG -)

  • In contracts for the international sale of goods, a seller must deliver appropriate goods and hand over relevant documents according to a contract, which will transfer the ownership of the goods to a buyer. In this case, if there are defects in the contracted goods, the warranty liability will occur. However, in the United Nations Convention on Contracts for the International Sale of Goods (CISG), a term-the conformity of the goods to the contract-is used universally instead of the warranty. According to the CISG, a seller must deliver goods in conformance with the relevant contract in terms of quantity, quality, and specifications, and they must be contained in vessels or in packages according to the specifications in the contract. In addition, a certain set of requirements for conformity will be applied implicitly except when there is a separate agreement between parties. Further, the base period of conformity concerning the defects of goods is the point when the risk is transferred to the buyer. A seller shall be obliged to deliver goods that do not belong to a third party or subject to a claim then, and such obligations shall affect the right or claim of a third party to some extent based on intellectual property rights clauses. If the goods delivered by the seller lack conformity, or incur right infringement or claim of a third party, then it shall be regarded as a default item per the obligation of the seller. Thus, the buyer can exercise diverse means of relief as specified in Chapter 2, Section 3 (Article 45-Article 52) of the CISG. However, such means of relief have been utilized in various ways for individual cases as shown in judicial precedents made until now. Contracting parties shall thus keep in mind that it is best for them to make every contract airtight and they should implement each contract thoroughly and faithfully to cope with any possible occurrence of a commercial dispute.

매수인의 부적합 통지 내용의 상세정도에 관한 연구 (A Study on the Buyer's Specificity Requirement of the nature of the lack of the Conformity)

  • The concept of non-conformity is stipulated at Art. 35, CISG. According to the Art. 35, there is no directly stipulated concept of non-conformity. But Art. 35 said that the Seller must deliver goods which are of the quantity, quality and description required by the contract and which are contained or packaged in the manner required by the contract. Accordingly, the concept of non-conformity contains the conformity of quality, quantity, description, delivery of different goods and documents. Art. 39 does not specify the form of notice required. So parties can require a particular form by agreement. If there is no agreed form of notice, buyer' s notice must be sent by means appropriate in the circumstances. And Art. 39 states that the required notice of lack of conformity must be given to the seller. Notice of defects conveyed by the buyer to an independent third party is not found to have been given by means appropriate in the circumstances. And Art. 39 is subject to the parties' power under Art. 6 to derogate from or vary the effect of any provision of the Convention. When determining which requirement must be satisfied by the buyer is specifying the nature of any lack of conformity, a mixed objective-subjective standard should be applied, which has regard to the respective commercial situation of the buyer and the seller, to any cultural differences, but above all, to the nature of the goods. Also to determine the specificity requirement is to satisfy the purpose of notice of lack of conformity.

  • 본 연구에서는 건설공사에서 수행되고 있는 주요 선계변경과 관련하여 설계서와 결함으로 인한 설계변경, 현장상태와 설계서의 상이로 인한 설계변경, 발주자의 필요에 의한 설계변경 등으로 구분하여 설계변경시의 감리업무에 대한 제반규정과 현장에서의 업무수행 현황 등을 비교${\cdot}$분석하는 방법으로 관련규정의 상호모순으로 인한 감리업무 수행의 문제점을 도출하였다. 이를 토대로 설계변경과 관련된 법령/계약조건/지침상의 규정된 내용과 현장에서의 업무수행을 비교${\cdot}$분석하여 공공공시의 설계변경과 관련한 감리업무의 개선방안을 도출하였다.
