항공운송산업의 공정경쟁에 대한 이해와 정책적 제언 (Policy Suggestions for Korea Aviation Industry's Fair Competition)

  • 항공분야에서 공정경쟁(Fair Competition)에 대한 논의는 항공자유화가 시작된 1970년대부터 ICAO 세계항공운송회의 및 항공운송 심포지움 등 다양한 운송 분야 회의에서 지속적으로 이루어지고 있다. ICAO는 항공운송에서의 '경쟁'이란 '항공사 혹은 그룹들이 이익을 얻기 위한 제품과 서비스의 가격과 품질을 이용하여 투쟁하는 것'으로 정의하고 있다. 또한 보다 넓은 의미에서 합리적이고(Reasonable), 공정하고(Fair), 효과적이며(Effective), 제한적이지 않은(Unrestricted) 경쟁을 모두 포함하고 있다. 최근 몇 년 동안 항공운송에 대한 경쟁법과 규정의 적용은 빈도뿐만 아니라 다양한 이슈로 나타나고 있다. 가령 반독점 면제, 인수와 항공동맹체, 우월 지위의 남용, 덤핑 그리고 약탈적 가격 결정 판매 마케팅, 공항에 대한 과세 및 요금, 정부 지원 및 대출 보증 등이다. 항공사간 혹은 국가간 항공산업의 '경쟁'은 이제 '협력'의 차원으로 높아지고 있다. 항공운송사업자는 국경을 초월하여 단순 이익공유부터 합작회사까지 '경쟁'에서 살아남기 위한 '협력'의 수준을 높이고 있다. 앞으로 우리나라 항공산업 정책을 '국가차원의 산업생태계' 관점으로 전환하고, 이에 대비하는 '공정경쟁' 정책을 마련하여야 할 것이다. 이를 위해서는 첫째, 향후 중국, 일본 등 주변국과 크게는 중동 지역 등과 항공자유화를 추진하는 과정에서 공정법의 적용과 이를 이행할 수 있는 법령 및 제도의 마련이 필요할 것이다. 둘째, 항공운송사업의 실질적 소유와 실효적 지배의 기준을 새롭게 검토해야 할 것이다. 셋째, 대외적으로는 항공협정과 자유화에 대비하면서, 내부적인 항공산업 차원에서 우리나라도 항공사 및 공항운영에 대한 엄밀한 항공시장 구조분석을 통해 경쟁과 협력 문제를 연구 검토할 필요가 있다. 넷째, 인수 합병에 대비한 운수권 배분과 항공사 인수합병 승인기준 및 인수 합병에 따른 파급효과 분석 등 선제적인 정책 수립을 통해 지속적인 항공운송의 발전과 경쟁력 향상을 위한 공정한 항공운송환경 조성이 반드시 필요하다.

한국 중재산업 발전 방안 (The Ways to Develop the Arbitration Industry in Korea)

  • This paper aims to explore ways to develop the arbitration industry in Korea. The prospects for the promotion of the arbitration industry in Korea are never dim. International arbitration competitiveness is somewhat lower than its competitors at present, but the international economic base to support it is solid, and the domestic arbitration environment seems to be sufficient to support the development possibility of arbitration. Since geographical and economic factors have already been defined, Korea must at least improve the arbitration act with passion and vision for the best one. The arbitration act that is the most accessible to arbitration consumers is the best arbitration act. The important thing is to have an arbitration act that makes people want to use more than litigation or other dispute resolution procedures. There is no hope of remaining as a "second mover" in the field of arbitration law. One should have a will and ambition to become a "first mover" even if it is risky. Considering the situation of the current arbitration law, it is necessary to start an arbitration appeal system in order to become a consumer-friendly arbitration law, and it is necessary to examine ways of integrating the grant of execution clause and enforcement application procedures. The abolition of the condition of Article 35 of the Arbitration Act, which rules the validity of the arbitration award, will help promote international arbitration. Exclusion agreements of setting aside against arbitration awards must also be fully recognized. It is also important to publish a widely cited international arbitration journal. In order to respond to the fourth industrial revolution era, it is necessary to support the establishment of a dispute resolution system that utilizes IT technology. In order to actively engage the arbitrators in the market, it is necessary to abolish the regulations that exist in the Attorneys-at-Law Act. There is also a need to allocate more budget to educate arbitration consumers and to establish arbitration training centers to strengthen domestic arbitration education. It is also necessary to evaluate and verify the Arbitration Promotion Act so that it can achieve results. In the international arbitration market, competition is fierce and competitors are already taking the initiative, so in order not to miss the timing, Korea needs to activate international arbitration first. In order to activate international arbitration, the arbitration body needs to be managed with the same mobility and strategy as the agency in the marketplace. In Korea, unlike in Singapore and Hong Kong, it is necessary to recognize that the size of the domestic arbitration market is very likely to increase sharply due to the economic size of the country and the large market potential it can bring from litigation. In order to promote the arbitration industry, what is most important is to make arbitration activities in accordance with the principles of the market and to establish an institutional basis to enable competition. It is urgently required to change the perception of the relevant government departments and arbitration officials.

의료서비스의 결합판매와 경쟁제한성의 판단 - Cascade Health 사건을 중심으로 - (Bundled Discounting of Healthcare Services and Restraint of Competition)

  • 시장지배적 사업자의 결합판매는 경쟁법 적용에 있어 어려운 문제 중 하나이다. 결합판매는 통상 할인을 수반하는데, 소비자 입장에서는 더 낮은 가격에 더 많은 상품을 구매할 수 있는 혜택을 보게 된다. 공급자도 별개로 판매할 경우에 소요되는 판매비용보다 더 낮은 비용으로 판매할 수 있게 된다. 이와 같이 소비자 입장에서는 가격인하의 혜택을, 공급자 입장에서는 판매비용 인하의 혜택을 보는 효율적인 측면이 있다. 대상판결은 결합판매 자체는 경쟁촉진적일 수도 있고, 경쟁제한적일 수도 있으며, 시장지배적 사업자가 아니더라도 거래관행상 광범위하게 이루어지고 있으므로 중립적이고 객관적으로 경쟁제한성 평가를 할 필요가 있음을 전제로 하고 있다. 대상판결은 동등 효율 경쟁자를 배제할 위험이 있는지를 심사해야 한다는 입장을 취함으로써 제1심이 선례로 고려한 LePage 판결을 따르지 않고 비용 기반 분석(cost based approach)이 필요하다고 봄으로써, 결합판매에서 비용기반 분석의 대표적인 판결로 평가받고 있다. 이 판결의 가장 돋보이는 점은 결합판매에서 경쟁제한성 평가의 방법론에 있어, 할인귀속 기준을 채택하여 결합판매에 따른 할인분을 전체 상품이 아니라 경합하는 상품에 적용한 후, 비용보다 가격이 낮은지를 심리해야 한다는 점을 지적한 점이다. 동등효율 경쟁자의 배제 문제는 결국 행위자 자신이 스스로 위반여부를 판단할 수 있어야 하므로, 이때 문제되는 비용은 경쟁자의 비용이 아니라 행위자의 비용임을 명시하였다. 결합판매를 통한 할인은 소비자가 별개로 구입할 수 있는 선택권을 침해받지 않으면서도 저가에 상품을 구입할 수 있는 긍정적인 효과가 있다. 따라서 결합판매를 경쟁법 차원에서 규제할 수 있는 근거로는, 가격할인에도 불구하고 동등효율 경쟁자를 배제한다는 점이 합리적인 사유가 될 것이다. 그 점에서 대상판결이 제시한 동등효율 경쟁자의 배제 위험 문제를 가격비용 테스트와 할인귀속기준을 통하여 적용한 점은 설득력이 있다. 반면, 결합판매의 기본적인 구조는 끼워팔기의 강제성 요건과 유사한 측면이 있다는 지적도 경청할 필요가 있다. 한국은 공적 건강보험 체계가 당연지정 요양기관 제도와 결합하면서 의료서비스에 대한 가격 경쟁은 요양급여에서는 불허되며 비급여 부분을 중심으로 존재한다. 이러한 비급여 부분을 중심으로 의료가 발달한 분야에서도 가격에 관한 의료공급자들의 시장지배적 지위의 남용이 가능하다. 진료비에 대한 가격결정과 공적 건강보험 제도와 민간의료보험의 관계를 검토해보면, 의료공급자 중 시장지배적 사업자의 결합판매를 통한 경쟁사업자의 배제는 비급여 부분에 대하여 국민건강보험공단이 아닌 민간보험회사와 관계에서 결합판매를 통한 할인계약을 통하여 가능할 것이다.

가맹계약분쟁과 중재에 관한 법적 문제 (Legal Issues on the Franchise Disputes and their Settlement by Arbitration)

  • Ever since franchising emerged in the industry of distribution, it has been growing explosively in the U.S.A. and all other countries as well. It is a method of expanding a business by licensing independent businessman to sell the franchiser's products and/or services or to follow a format and trade style created by the franchiser using the franchiser's trade marks and trade names. Franchising is a form of business that touches upon many different areas of law including, but not limited to, general contract law, general principles of commercial law, law of intellectual property, competition law, fair trade practices law and other industry specific laws e.g., the Fair Practices in Franchising Act in Korea. Arbitration is a long established, legally recognized procedure for submitting disputes to an outside person(s), mutually selected by the parties, for a final and binding decision. Despite its merits as an alternative dispute resolution, it has been criticized, on the other hand, particularly by franchisees' attorneys on the ground that even though it is required to protect the franchisees against the enforcement of pre-dispute arbitration agreements because of the franchisees' paucity of bargaining power vis-a-vis the franchiser, arbitration cannot afford it. Until recently, however, little has been written about the legal issues pertaining to franchise agreement and arbitration clause contained therein in Korea. This treatise reviews the cases and arguments in relation to the subject especially of the U.S.A., which have been accumulated for decades. The issues addressed herein are the pre-emption by the FAA, the disputes to be arbitrated, the selection and qualification of arbitrators, the place of arbitration hearings and the evidentiary rules applicable, the expenses of arbitration, theory of fiduciary duty and the like, all of which are relevant to franchise agreement.

자본시장통합법 시행 전후의 손해보험산업의 효율성 및 생산성 변화 분석 (Analysis on the Efficiency and Productivity Change of Non-Life Insurance Industry between Pre-Execution and Post-Execution of Capital Market Law)

  • 2009년 2월 4일부터 시행된 자본시장통합법은 자본시장 관련 금융 산업의 구조조정을 촉진시켜 겸업화, 통합을 통한 대형화가 가속화 될 것으로 예상되어 손해보험을 둘러싼 경쟁이 가속화 되고 있다. 이러한 상황에서 본 연구의 목적은 DEA 모형과 맘퀴스트 지수를 이용하여 생보산업의 자본시장통합법 전후 2년간의 효율성과 생산성 변화를 분석하고 더 나아가 토빗 회귀분석을 이용하여 효율성을 결정하는 요인을 추가적으로 찾아내는데 있다. 본 연구결과는 다음과 같다. 첫째 자본시장법 시행 전후의 효율성은 자본시장법 시행 전에 비하여 시행 후에 기술효율성과 순수기술효율성 및 규모효율성 모두가 유의적으로 증가한 것으로 나타났다. 둘째, 자본시장법 시행 전후의 생산성은 자본시장법 시행 전에 비하여 시행 후에 유의적으로 증가한 것으로 나타났다. 셋째, 기술효율성에 유의적인 영향을 미치는 변수는 설계사 비중, 순수기술효율성에 유의적인 영향을 미치는 변수는 자산운용률, 규모효율성에 유의적인 영향을 미치는 변수는 기업규모, 자산운용률, 설계사 비중으로 나타났다.

  • Eventually so as to realize the construction safety, 1 found out the cause of accident and specificities of the construction industry. This study presented to several situations and problems on construction safety. As a result of this study, the below matters must be improved for more effective the construction safety management system. 1. It need to introduce the total construction safety management system. Because there is not effectiveness in the current safety management to the first on the construction field. a. We must consider the safety in the whole parts of the process of the construction and constructors of each part must devide responsibility of the construction safety as a CDM(The Construction Designed Management) used in UK. b. It is desirable to proceed control of safety in the whole parts of the construction to introduce the total safety coordinator that can consult the matters of safety as a law accepted in EU. c. Like management of the construction safety in USA, direction of the construction safety must be made to work exactly by code or manual. d. To improve the organization of the construction safety on the construction field unefficient, it must be introduced safety supervisor, safety coordinator or institutionalization of safety consultant. 2. The law of the construction safety not only have wasteful element but also decrease efficiency by overlapping of regulation, The Ministry of Labour and The Ministry of Construction & Transportation, So laws related with safety must be instituted. a. To realize total safety management, The Ministry of Labour must legislate the basic law about safety management in whole field. b. To legislate the construction safety under one law, and improve efficiency of the overlapping of regulation and the similar law by The Ministry of Construction & Transportation. c. It must be made the law of construction safety that can proper to change of situation in construction. d. The standard of safety must be instituted belong to international level and improved by year. e. We must improve irrational regulation to realize activity of safety self regulating for progress competition in construction industry

무역조정지원(貿易調整支援) 사례(事例)에 관한 연구(硏究) (Analysis on the Trade Adjustment Assistance Program and the Case Study)

  • This paper is to provide for an analysis on the trade adjustment assistance program and the Case study affected by international trade and FTA. The paper offers a legal study on analysis about Korea's Trade Adjustment Assistance Law for the Manufacturing Industries, USA's TAA. and Japan's law for Industry revival. In general, USA's TAA measures are defined as assistance actions for business enterprises, farmers and manufacturing industries workers. We exclude farmers and fishermen under Korea's Trade Adjustment Assistance Law for the Manufacturing Industries's business enterprises and workers, but we give them the systemic supports under korea's special assistance law for the farmers and fishermen and so on after FTA. Especially this focuses on the trade adjustment assistance case about both Korea's agriculture-farmer assistance from FTA and USA's TAA from workers in layoffs of trade-impacted communities. Korea has provided TAA to the sphere of agriculture after special legislation in Korea-Chile helping closed orchard, modernizing high quality producing facility for agriculture competition, producing superior fruit saplings, and constructing the distribution center in the producing district. But for US-Korea FTA and rapid increase of import by FTA expansion, we must prepare such indemnity systems for loss as cash benefit and wider aids for closed farm. The USA's TAA program targets manufacturing workers affected by international trade, who may have fewer transferable skills and face greater challenges to reemployment than other dislocated workers. A large majority sought some assistance from their one-stop center. Relatively small numbers chose to enroll in training, but those who did it often used this opportunity to chart a new career path. Finally, we learned the importance of education and discipline from USA cases. The fast and accurate information providing can raise efficiencies. The infrastructure can maximize the effect of TAA. The effective application would help us get over difficulties of TAA at hand.

국제중재에서 국제적 강행법규의 적용가능성 (Applicability of Overriding Mandatory Rules in International Arbitration)

  • Overriding Mandatory rules are laws that purport to apply irrespective of the law chosen by the parties to govern their contractual relations. This article examines their role and applicability in international arbitration. The overriding mandatory rules pose a complex and continuing problem for arbitrators because they put the interests of states and parties in direct competition. When a law says that arbitrators must apply it, yet the parties' contract excludes it, what should the arbitrators do? Where should their allegiance lie? The answer depends on the underlying nature of arbitration - and since that can be legitimately conceptualized in different ways, a principled approach to overriding mandatory rules seems to be impossible to provide. Nevertheless, a practical solution is required, because there were European cases in which courts voided valid arbitration agreements made, reasoning that arbitrators certainly would not apply and/or take into account its overriding mandatory rules of indemnity right granted to commercial agent and distributor in Europe. Therefore, this paper first examines status of overriding mandatory rules of another law in international litigation and then explores any possibility of application of overriding mandatory rules of another law in international commercial arbitration. With this analysis, the author reaches into a conclusion that the arbitrator should and/or take into account overriding mandatory rules of another law, yet should limit to them of the country where characteristic performance is made under the contract.

일본 수산물 유통구조의 변화와 정책 대응 (Seafood Distribution-Structure Change and Government Policies of Japan)

  • For the last few years, the wholesale market system in Japan has been experiencing a lot of changes in the related sectors. The greatest changes in the environments surrounding the wholesale market were enlargement of the producers' cooperatives, increase of fisheries products marketed in the outside of the wholesale market system, and management aggravation of the related businessmen, These changes resulted in the revision of the wholesale Market Law in 1999 to cope with the social needs successfully. Recently, fisheries wholesale markets in Japan have a few problems like declining of earning power, weakening of management constitution, etc. Consequently, Japanese government presents policy for enforcing the competition power through reform laws related with fisheries wholesale markets. Also the fisheries wholesale markets have been trying variety and active countermeasures like undertaking, merger, coalition, etc. to overcome the crisis.

Asymmetric Price Differential between Medium and Small Class Cars across Countries: A Case Study - Korea and the U.S.

  • This paper examines how a Korean automobile firm price-discriminates between the Korean and the U.S. markets. We argue that a Korean automobile firm's pricing behavior depends on the differences in price elasticity over the segmented markets between the countries. Our findings are that differences in price elasticity may help explain why a medium-class car's price is higher in Korea than that in the U.S. while a small-sized car's price is higher in the U.S. than in Korea, which implies that a Korean automobile firm $3^{rd}$ degree price-discriminates on the same or similar products between Korea and the U.S. This type of $3^{rd}$ degree price discrimination differs from a typical home-bias effect (charging higher prices to domestic consumers) because a small-sized car which is produced domestically sells at higher price abroad. This finding can be added as a source that violates the law of one price.
