무상주발행(無償株發行)이 주식시장(株式市場)에 미치는 영향(影響)에 관한 실증적(實證的) 연구(硏究)

  • 본 연구에서는 무상주발행, 즉 무상증자(無償增資), 주식분할(株式分割), 그리고 주식배당(株式配當)을 실시하는 기업(企業)의 특성(特性)과 주가반응(株價反應)을 연관지어 주가반응(株價反應)의 이유를 설명하였다. 특히, 이러한 형식적 재무활동이 왜 기업내용에 관한 정보전달의 역할을 하게 되며, 장기적 기업성과의 변화로 이어지는가, 배당증감(配當增減)에 관한 직접적인 정보(情報)에 상관없이 무상주발행 발표시점에서 정보효과(情報效果)를 갖는가, 그리고 정보효과(情報效果)에 차이(差異)가 있는가를 살펴보았다. 실증분석(實證分析) 결과(結果)는 무상증자(無償增資) 및 주식분할(株式分割)은 기업의 경영성과(經營成果)가 전과 같이 탁월(卓越)하거나 또는 평균이상(平均以上)을 유지(維持)하리라는 신호(信號)를 시장에 주는 정보효과(情報效果)를 갖고 있었으며, 주식배당(株式配當)은 현금배당능력(現金配當能力)이 부족(不足)한 기업(企業)들이 실시하고 주식배당 후에도 경영성과가 저조했다. 그러나 모든 무상주 발행의 경우 배당증가의 경우가 배당감소의 경우보다 초과수익이 더 많아 정보효과(情報效果)의 차이(差異)를 발견하였고, 또한 배당증감에 관한 직접적인 정보에 상관없이 공시시점(公示時點)에서 정보효과(情報效果)를 가지고 있다는 사실도 알 수 있었다. 무상증자(無償增資)가 주식분할보다 특정기간에 더 높은 초과수익을 실현하고 있었으며, 자본잉여금(資本剩餘金)을 재원(財源)으로 한 무상증자는 이익잉여금(利益剩餘金)을 재원(財源)으로 한 경우보다 초과수익(超過收益)이 많았다. 기업특성(企業特性)에 있어서도 자본잉여금을 재원으로 한 경우가 이익잉여금의 경우보다 경영성과가 더 우수했으며 특히, 이익잉여금(利益剩餘金)의 경우 대부분이 회계년도말(會計年度末)에 실시되어 주식배당적성격(株式配當的性格)이 강하였다. 무상증자의 경우 종합주가지수수익율(綜合株價指數收益率)을 이용하여 구한 잔차가 업종별지수수익율(業種別指數收益率)을 이용하여 구한 잔차보다 크며 통계적으로 유의하였다. 이는 무상증자가 있는 업종의 수익률이 시장평균보다 높다는 것을 말하며, 무상증자(無償增資)를 실시하는 기업들은 평균보다 많은 투자기회(投資機會)를 가지고 보다 우월한 영업성과를 줄 것으로 기대되는 업종에 속하고 있다고 하겠다.

An optimal management policy for the surplus process with investments (재투자가 있는 잉여금 과정의 최적 운용정책)

  • In this paper, a surplus process with investments is introduced. Whenever the level of the surplus reaches a target value V > 0, amount S($0{\leq}S{\leq}V$) is invested into other business. After assigning three costs to the surplus process, a reward per unit amount of the investment, a penalty of the surplus being empty and the keeping (opportunity) cost per unit amount of the surplus per unit time, we obtain the long-run average cost per unit time to manage the surplus. We prove that there exists a unique value of S minimizing the long-run average cost per unit time for a given value of V, and also that there exists a unique value of V minimizing the long-run average cost per unit time for a given value of S. These two facts show that an optimal investment policy of the surplus exists when we manage the surplus in the long-run.

Quasi-fiscal Activities of the Bank of Korea (한국은행의 준(準)재정활동)

  • Quasi-fiscal activities (QFAs) refer to those activities that public corporations carry out to achieve policy objectives of the government. QFAs often lead to the understatement of the government involvement in the economy and the overstatement of its financial balance, thereby lowering fiscal transparency and hiding fiscal risks. Central banks, as public corporations, perform various QFAs in many countries. I define QFAs in this case as those activities that are not directly related to the intrinsic function of central banks, whose responsibility lies in the administration of monetary policy and the provision of banking services for the government and commercial banks. In Korea, the Bank of Korea (BOK) has been an active source of QFAs. Of particular importance are the policy loans to commercial banks to promote their lending to small- and medium-sized enterprises and others. The outstanding stock of policy loans increased rapidly in the aftermath of the recent economic crisis, and stood at 7.6 trillion won (20 percent of the reserve money) at the end of 2002. Another important QFA by BOK stems from the transfer of part of its profits to the central government. The accumulated transfer during 1998-2002 amounted to 9.9 trillion won. My calculation shows that if these and other QFAs had been carried out by the government as explicit fiscal activities, the consolidated central government financial balance would have been below the actual balance by about 0.5 percent of GDP in each year since the economic crisis. It is suggested that the QFAs by BOK be reduced in coming years not only to enhance fiscal transparency but also to expand the flexibility of BOK's reserve management. Abolishing policy loans and minimizing transfers to the government would be the first step in this direction. BOK should also consider paying interest on the government deposit held in BOK.

The Differential Effects of Cash Dividend and Stock Dividends on the Firm Valuation (현금배당정보와 주식배당정보가 기업가치평가에 미치는 차별적 영향 -배당세 영향을 중심으로-)

  • The purpose of this study is to examine the differential influences of cash dividends and stock dividends on the firm valuation. Cash dividends are firm's cash outflows but stock dividends are not. If individual investors recognize that dividend revenues are taxed. they will value paid-in capital and retained earnings differently. The results from testing the hypotheses indicate that individual investors value cash dividends after dividend taxes but do not value stock dividends after dividend taxes. This suggests that non-taxing of capital gains provides tax shelters to individual investors and investors prefer retained earnings to be converted as paid-in capital rather than 0 be paid as cash dividends.

Corporate Non-reflux Income and Firm Value : A Review of Taxable Income Resources (미환류소득과 기업가치: 과세소득 재원의 고찰)

  • The purpose of this study is to find out ways to enhance corporate value by using more efficient use of non-reflux Income which is commonly considered in existing corporate income tax refund and newly introduced investment and mutual aid promotion tax. Specifically, we analyzed the effect of income tax return income and income tax return on wages and fixed - asset investments, which are commonly considered in the two tax systems, on firm value. As a result of the analysis, it was confirmed that short-term internal reserves and income reflux activities had a negative impact on firm value, and long-term internal reserves and income reflux return had positive effects on firm value. It is recommended not to formulate uniform criteria such as the ratio of income refund activity to the contents of tax, but to apply the tax refund to the internal taxation system and the taxable income source.

The Impact of SMEs' Financing Strategies on Firm Valuation: Choice Competition between Retained Earnings and Debt (중소기업의 자본조달 방식이 기업가치에 미치는 영향: 내부유보자금과 부채의 선택경쟁)

  • This study investigates how SMEs' (small and medium-sized enterprises) financing strategies affect firm valuation. Given that information asymmetry is engaged in firm valuation in the stock market, investors interpret the meanings of debt financing depending on how SMEs construct the portfolio of financing strategies (retained earnings vs debt financing), thereby making investment decision. Specifically, given that SMEs' debt financing has two meanings in the market signals, called "benefit" and "cost", this study postulates that firm valuation will be differently made by investors, depending on how they interpret the meanings of debt financing under choice competition between retained earnings and debt financing. In this study, we argue that under choice competition, as a SME's debt proportion increases, the "cost" signal outweighes the "benefit" signal, thereby decreasing firm valuation. Moreover, the effect of such signal can be contingent on the SME's characteristics-firm visibility. These ideas are examined using 363 U.S. SMEs ranging from 1971 to 2010. The fixed-effects models estimating Tobin's q show that under choice competition, a SME's debt proportion has a negative impact on firm valuation and that the firm's high visibility mitigates the effect of "cost" signal. In conclusion, this study sheds new light on how investors' interpretations of SMEs' financing strategies affect firm valuation.

The Impact of BIS Regulation on Bank Behavior in Asset Management (신 BIS 자기자본규제가 은행자산운용행태에 미치는 영향)

  • The primary purpose of this study is to examine the impact of new BIS regulation, which is the preparations to incorporate not only credit risk but also market and operation risk, on the bank behaviors. As methodology, SUR(seemingly unrelated regression) and pool unit test are used in the empirical analysis of banks survived in Korea. It is employed that quarterly data of BIS capital ratio, ratio of standard and below loans to total loans, ratio of liquid assets to liquid liabilities, allowances for credit losses, real GDP, yields of corporate bonds(3years, AA) covering the period of 2000Q1~2009Q1. As a result, it could be indicated that effectiveness and promoting improvements of BIS capital regulation policy as follows; First, it is explicitly seen that weight of lending had decreased and specific gravity of international investment had increased until before BIS regulation is built up a step for revised agreement in late 2001. Second, after more strengthening of BIS standard in late 2002, banks had a tendency to decrease the adjustment of assets weighted risk through issuing of national loan that is comparatively low profitability. Also, it is implicitly sought that BIS regulation is a bit of a factor to bring about credit crunch and then has become a bit of a factor of economic stagnation. Third, as the BIS regulation became hard, it let have a effort to raise the soundness of a credit loan because of selecting good debtor based on its credit ratings. Fourth, it should be arranged that the market disciplines, the effective superintendence system and the sound environment to be able to raise enormous bank capital easily, against the credit stringency and reinforce the soundness of banks etc. in Korea capital market.
