The effect of concurrent positions of board members on corporate diversification (이사회 구성원의 겸임이 기업 다각화에 미치는 영향)

  • Existing studies have shown consistent results that a diversification discount phenomenon occurs, which means that the value of the company decreases as the degree of diversification of a company increases. Nevertheless, it is explained by the agency theory as a factor that continues to promote diversification by companies. And in order to solve the agency problem, it is important to form an effective governance structure. In order to solve these problems, this study aims to study how the directors' concurrent information affects the monitoring effect of the board of directors through this affects diversification.To this end, research was conducted on KOSPI companies for 6 years from 2011 to 2016.As a result of the analysis, in the case of the concurrent appointment of the CEO and the inside director, there was a positive (+) effect, but the significance could not be confirmed. In the case of adjunct appointments as outside directors, positive results were confirmed that were significant for diversification.

  • Conservation of Arctic Flora and Fauna (CAFF) is the biodiversity working group of the Arctic Council. CAFF conducts Monitoring, Assessment, Policy, and expert group activities to preserve Arctic biodiversity and ensure the sustainability of biological resources and communicates the results to governments and indigenous peoples. The main tasks of CAFF consist of monitoring (Circumpolar Biodiversity Monitoring Program), assessment (Arctic Biodiversity Assessment) and strategic projects(Arctic Migratory Bird Initiative, AMBI). Korea has been directly participating in the AMBI since 2015 after acquiring observer status of the Arctic Council in 2013. The AMBI aims to preserve habitats on migration routes used by breeding birds in the Arctic and prevent illegal hunting. Thus, observer countries on migratory routes are directly participating in the project. When selecting priorities for participation in Arctic cooperation projects by 2030, Korea should consider continuing participation in AMBI and participating in the "CAFF Youth Program" in connection with the Arctic Academy program operated by Korea's public institutes.

Compensation Committee Quality and Managers' Pay-Performance Sensitivity (보상위원회의 품질과 성과-보상민감도)

  • The introduction and operation of compensation committee can affect managers' incentive-compensation system. In this context, The purpose of this paper examines whether managers' pay-performance sensitivity is affected by the quality of the compensation committee(compensation committee size, the proportion of outside directors on the compensation committee, the proportion of directors with 2 or more non additional board seats on the compensation committee) To test this hypothesis, we use a sample of 260 firm-year observations between 2001-2013. The results are as follows. Firstly, we find that no significant relevance between the compensation committee size and pay-performance sensitivity. But the proportion of outside directors on the compensation committee and the proportion of directors with 2 or more non additional board seats on the compensation committee is positively associated with both pay-earnings based performance sensitivity and pay-stock based performance sensitivity. Secondly, we find that the integration quality of the compensation committee is positively associated with both pay-earnings based performance sensitivity and pay-stock based performance sensitivity. Overall, our analysis suggests that compensation committee are important mechanism in the design of efficient incentive-compensation system.

Analysis of Research Trends on Public Broadcasting Governance: Focusing on Korean Studies since 2000 (디지털 미디어 환경에서의 공영방송 지배구조에 대한 국내 연구동향 분석: 2000년 이후를 중심으로)

  • The governance structure of public broadcasters is the hottest topic in domestic media policy. This study examines the flow of discussions by period by synthesizing the research literature on the governance structure of domestic public broadcasting since 2000. As a result, active discussion on the governance structure of public broadcasting was confirmed to have appeared following the conservative governments after 2008, derived from the "crisis theory of public broadcasting." In addition, the discussion was conducted centered on the public values of public broadcasting and direction of system improvement, political independence of public broadcasting, composition of the board of directors, and presidential election system. This study suggested that future discussions on the governance structure of public broadcasting should expand the existing discussion of political independence to encompass the values, responsibilities, and systems of public broadcasting that presuppose citizen participation.
