How Firms Transfer Financial Risks to Employees: Stock Price Volatility and CEO Power

  • Purpose - We investigate how firms transfer financial risks to employees in a form of flexible employment contracts and layoffs. Design/methodology/approach - Based on the literature on the prevalence of shareholder value ideology and the associated 'risk shift', we examined how stock price volatility is associated with a firm's use and hiring of nonstandard employees, and the number of employees lay-offed. We test our hypotheses using a longitudinal, multi-source, dataset of Korean firms from 2003 to 2011. Findings - We found support for the relationship between stock price volatility and flexible employment contracts and layoffs after controlling for actual risks such as increased debt or decreased sales. However, we found that the relationship is moderated by the power of professional CEOs relative to that of shareholders, in that powerful CEOs are more likely to transfer the external risks, i.e. stock price volatility, to employees. Research implications or Originality - This study contributes the emerging stream of literature that explore the effect of stock market pressures and governance structures on human resource management.

Distribution of Income Diversification on Financial Sustainability of Indonesian Private Universities; Empirical Studies

  • Purpose: This study examines the distribution of income diversification in improving the financial sustainability of private universities amidst difficulties in operational funding during the Covid-19 pandemic with IT Capability moderation. Research design, data and methodology: Closed survey aimed at 468 financial sector leaders from 189 private universities in ten provinces in Indonesia. Results: All income diversification activity variables have a significant positive effect on financial sustainability. In the analysis of liquidity indicators, there are two activities that have a significant positive effect, namely goods and services (β=0.337) and profitable financial management (β=0.124). Furthermore, the results of the solvency indicator test obtained significant positive results in Goods and Services Activities (β=0.337), Commercial Intellectuals (β=0.161), Commercial Contracts (β=0.103), and Profitable Financial Management (β=0.147). The results of the test of higher education growth indicators on three activities have a significant positive effect, namely Goods and Services (β = 0.290), Endowments (β = 0.158), and Commercial Contracts (β = 0.134). The results of the moderation test conclude that IT Capability strengthens the effect of income diversification on financial sustainability. Conclusion: The results of the study as a recommendation for private universities in developing income diversification with information system technology-based management.

A Study on Buyer's Obligation in Relation to the Letter of Credit in a Sales Contract

  • Purpose: This study aimed to deal with disputes between the seller and the buyer in connection with the Letter of Credit (LC) in a sales contract. The Contracts for the International Sale of Goods (CISG) provides the rules on the fundamental breaches which can lead to termination of the sales contract but the CISG is not enough to govern issues arising from the LC disputes when the sales contract is not clear about the payment terms. This paper tried to find some solutions to the disputes by considering international rules, such as the Principles of European Contract Law (PECL). Research design, data and methodology: The methodology applied in this study was an analysis of some court decisions and extended literature review. Results: The study revealed that in contracts for the sale of international goods, the buyer was obliged to open an LC as manner of payment. If the buyer failed to open an LC or amend the terms of the LC, the seller could avoid the contract because this could deprive the seller's expected interest. Conclusions: Few studies in Korea have been comprehensively analyzed in terms of the obligations of regarding the LC with respect to the CISG in court cases. This study suggests safeguarding the buyer and seller when the LC is considered absolute or conditional.

  • The rapid increase in the use of new technology known as 'blockchain technologies' has addressed many challenges in different areas and provided benefits to users, in this paper we discuss the field of supply chains, improve confidence and transparency between participants and stakeholders significantly also in this paper we Compare between different blockchain frameworks focusing on most popular frameworks. Moreover, we proposed a model in the supply chain using a blockchain framework, the proposed supply chain model included many different resources that help to exchange information over the network. The proposed model also includes smart contracts that maintain all rules for transactions. using blockchain technology information such as transaction details, time and money are recorded and stored within the system from the beginning of the transaction entry.

  • As domestic construction investment has been gradually reduced, expanding overseas construction is one of the most important issues for Korean construction companies. Among these issues, strategies for overseas CM services have widely been discussed, because the CM services have features of high growth potential and value-added area when compared with other construction sectors. Therefore, recent efforts focus on further development in advanced CM capabilities and expansion to overseas market. However, there has been lack of quantitative research to investigate current status and future direction of CM industry. In this sense, this research investigated what CM has achieved for the past 17years (between 1997 and 2013) and what CM should accomplish for future strategies. The purpose of this research is to statistically analyze total of 2,983 CM service contracts over the past 17 years published in KISCON (Knowledge Information System of Construction Industry) in order to examine current status of CM industry in terms of market type, contract size, commodity type, and owner's type. Based on this research, it is expected to suggest for future strategies and development directions from the CM industry perspective that could provide quantitative analyses, improve current CM statistics systems and strengthen the competitiveness in international CM market.

국제전자정보거래(國際電子情報去來)에 관한 입법동향(立法動向) (Recent Developments in Law of International Electronic Information Transactions)

  • This paper focuses on two recent legislative developments in electronic commerce: the "Uniform Computer Information Transactions Act" ("UCITA") of USA and the "preliminary draft convention on the use of data message in [international trade] [the context of international contracts]" ("preliminary draft Convention") of UNCITRAL. UCITA provides rules contracts for computer information transactions. UCITA supplies modified contract formation rules adapted to permit and to facilitate electronic contracting. UCITA also adjusts commonly recognized warranties as appropriate for computer information transactions; for example, to recognize the international context in connection with protection against infringement and misappropriation, and First Amendment considerations involved with informational content. Furthermore, UCITA adapts traditional rules as to what is acceptable performance to the context of computer information transactions, including providing rules for the protection of the parties concerning the electronic regulation of performance to clarify that the appropriate general rule is one of material breach with respect to cancellation (rather than so-called perfect tender). UCITA also supplies guidance in the case of certain specialized types of contracts, e.g., access contracts and for termination of contracts. While for the most part carrying over the familiar rules of Article 2 concerning breach when appropriate in the context of the tangible medium on which the information is fixed, but also adapting common law rules and rules from Article 2 on waiver, cure, assurance and anticipatory breach to the context of computer information transactions, UCITA provides a remedy structure somewhat modeled on that of Article 2 but adapted in significant respects to the different context of a computer information transaction. For example, UCITA contains very important limitations on the generally recognized common law right of self-help as applicable in the electronic context. The UNCITRAL's preliminary draft Convention applies to the use of data messages in connection with an existing or contemplated contract between parties whose places of business are in different States. Nothing in the Convention affects the application of any rule of law that may require the parties to disclose their identities, places of business or other information, or relieves a party from the legal consequences of making inaccurate or false statements in that regard. Likewise, nothing in the Convention requires a contract or any other communication, declaration, demand, notice or request that the parties are required to make or choose to make in connection with an existing or contemplated contract to be made or evidenced in any particular form. Under the Convention, a communication, declaration, demand, notice or request that the parties are required to make or choose to make in connection with an existing or contemplated contract, including an offer and the acceptance of an offer, is conveyed by means of data messages. Also, the Convention provides for use of automated information systems for contract formation: a contract formed by the interaction of an automated information system and a person, or by the interaction of automated information systems, shall not be denied on the sole ground that no person reviewed each of the individual actions carried out by such systems or the resulting agreement. Further, the Convention provides that, unless otherwise agreed by the parties, a contract concluded by a person that accesses an automated information system of another party has no legal effect and is not enforceable if the person made an error in a data message and (a) the automated information system did not provide the person with an opportunity to prevent or correct the error; (b) the person notifies the other party of the error as soon as practicable when the person making the error learns of it and indicates that he or she made an error in the data message; (c) The person takes reasonable steps, including steps that conform to the other party's instructions, to return the goods or services received, if any, as a result of the error or, if instructed to do so, to destroy such goods or services.

메이커에 의한 수입(輸入)의 문제점(問題點)과 대응방안(對應方案) (An Analysis of Imports by Domestic Producers of Competing Goods)

  • 본(本) 연구(硏究)는 국내 메이커에 의한 동종상품수입(同種商品輸入)의 원인을 구명(究明)하고 그 경제적(經濟的) 효과(效果)를 분석하며 후생증진(厚生增進)을 유도할 수 있는 정책대안(政策代案)을 검토하고 있다. 국내(國內) 메이커에 의한 동종상품수입(同種商品輸入)은 상품간의 경쟁을 제한하며, 그 결과 수입상품(輸入商品)뿐 아니라 이와 경쟁하는 국산상품(國産商品)의 가격(價格)도 높이는 부정적인 효과를 가지고 있다. 반면(反面) 국내(國內) 메이커가 일반수입상(一般輸入商)에 비해 효율적(效率的)인 유통구조(流通構造)를 가지고 있는 경우 메이커의 의한 수입(輸入)은 후생(厚生)을 증진시키는 측면이 있으며, 메이커에 의한 수입의 순효과(純效果)는 공동판매(共同販賣)에 따른 경쟁제한효과(競爭制限效果)와 효율적인 유통구조(流通構造)에 의한 후생증진효과(厚生贈進效果)의 상대적인 크기에 달려 있다. 메이커에 의한 동종상품수입(同種商品輸入)이 이루어지는 가장 큰 이유는 메이커에 의한 유통계열화(流通系列化)이다. 메이커의 유통계열화(流通系列化)의 결과 일반수입상(一般輸入商)은 수입(輸入) 판매(販賣)에 앞서 자신의 유통망(流通網)을 조직하여야 하며, 우리나라와 같이 자본시장(資本市場)의 불완전(不完全)이 심각한 나라에서는 이는 중요한 진입장벽(進入障壁)이 될 수 있다. 본고(本稿)에서는 메이커에 의한 수입의 규제방안으로서 시장지배적사업자(市場支配的事業者)에 대한 가격규제(價格規制), 시장점유율(市場占有率)이 높은 기업간의 거래에 대한 규제(規制), 그리고 유통계열화(流通系列化)에 대한 규제(規制) 등 세가지 정책대안(政策代案)을 검토하였다.

창원시 학교급식 식재료 구매 실태 및 공급업체 수행도 평가 (Purchasing Status and Supplier Performance Evaluation of School Foodservice in Chanwon, Korea)

  • 향후 학교급식 식재료 공급업체에 대한 합리적인 관리 및 평가 체계 구축을 위한 기초 자료를 제공하고자 본 연구에서는 공급업체 선정방법(경쟁입찰계약, 수의계약)에 따른 학교급식 식재료 구매실태와 공급업체 수행도를 비교 분석하고자 하였다. 본 연구의 목적을 달성하기 위해 창원시 관내 초 중 고등학교 영양(교)사를 대상으로 설문 조사를 실시하였다. 2010년 6월 29일부터 9월 28일까지 총 190부를 배부하여 167부(회수율: 87.9%)가 회수되었고, 이 중 응답 내용이 불충분한 16부를 제외하고 총 151부(분석율: 79.5%)를 최종 분석 자료로 사용하였다. 첫째, 조사대상자의 일반 사항으로서, 영양(교)사는 전부 여성이었으며 평균연령은 36.87세로 31~40세 이하가 49.0%로 가장 많았고, 직위는 영양교사가 52.3%로 약간 더 많았으며 54.3%가 초등학교에 근무하고 있었다. 학교근무경력은 평균 10.86년이었으며, 평균 1일 식수인원은 931.17명이었고 78.8%가 1일 1식을 급식하고 있었으며, 평균 1식 순수 식재료비는 1,937.50원이었다. 둘째, 경쟁입찰계약을 이용한 식재료 구매실태 조사 결과, 91.4%의 학교에서 경쟁입찰계약에 의해 식재료를 구매하고 있었고, 그중 제한경쟁입찰 계약 방법을 주로 사용하고 있었다. 경쟁입찰계약으로 구매하는 식재료는 일반 농산물, 일반 가공품, 친환경 농산물(과일), 친환경 가공품, 일반 가금류, 수산물, 친환경 곡류, 무항생제 가금류, 일반 곡류, 김치류, 육류, 우유류 순으로 많았다. 셋째, 수의계약 방법을 이용한 식재료 구매실태를 조사한 결과 78.8%의 학교에서 식재료를 수의계약으로 구매하고, 단일견적 계약이 59.7%로 조금 많았다. 수의계약을 사용하는 식재료는 육류 84.9%, 김치류 47.9%, 수산물 42.0%의 순으로 많이 이용하였다. 넷째, 식재료 구매 품목별로 경쟁입찰계약과 수의계약에 의한 구매 방법의 차이를 분석한 결과 김치류를 제외한 전 품목에서 유의한 차이가 있었다. 즉 육류(p<0.001)와 우유류(p<0.001)와 같은 단일품목은 주로 수의계약방법에 의해 구매가 이루어지고 있었으며, 일반 농산물(p<0.001), 수산물(p<0.001), 일반 가금류(p<0.001), 무항생제 가금류(p<0.001), 친환경 곡류(p<0.001), 친환경 농산물(과일)(p<0.001), 친환경 가공품(p<0.001), 일반 가공품(p<0.001), 일반 곡류(p<0.001)의 품목들은 주로 경쟁입찰계약에 의해 구매가 이루어지고 있었다. 다섯째, 경쟁입찰계약과 수의계약의 학교급식 공급업체의 수행도를 비교 분석한 결과 경쟁입찰계약이 수의계약보다 제품의 가격에 대한 수행도만 유의적으로 높았고(p<0.001) '전반적인 수행도(p<0.01)'와 '제품의 포장 상태(p<0.01)', '납품 시 제품 품질(p<0.001)', '제품의 위생(p<0.001)', '현품설명서와의 일치도(p<0.001)', '반품 및 교환의 신속함(p<0.001)', '비상시 배송 능력(p<0.001)', '배송직원의 서비스(p<0.05)', '불만사항에 대한 처리(p<0.001)'의 세부 항목에서 수의계약에 의한 공급업체의 수행도가 경쟁입찰계약에 의한 공급업체의 수행도 수준보다 높았다. 본 연구 결과를 토대로 향후 학교급식 식재료 공급업체의 공정한 선정과 합리적인 평가를 위해 제언을 하면 다음과 같다. 첫째 학교급식에 있어서 구매 관리에 대한 인식 전환이 필요하다. 즉 학교급식에서 구매 관리를 단순히 급식에 필요한 식재료를 구매하는 활동으로 인식하는 것이 아니라 급식 품질 경영도구 및 급식 운영의 핵심적인 기능으로써 인식되어야 할 것이다. 둘째, 학교급식 식재료 공급업체에 대한 합리적인 평가 기준과 평가 체계가 이루어져야 할 것이다. 기존의 위생관리 위주의 단면적인 평가에서 벗어나 학교급식 식재료 공급업체 수행도에 대한 다각적 측면에서의 평가를 하여야 할 것이다. 즉 현재 주로 이루어지고 있는 시설 설비 위주의 평가에서 벗어나 학교급식 식재료 공급 능력에 대한 전반적인 평가로 범위를 넓혀가야 할 것이다. 즉 조달 및 배송 능력(식재료 조달 능력, 배송 체계, 비상시 배송 능력 등), 식재료(품질, 가격, 위생, 포장상태, 구매명세서와의 일치도 등), 서비스(배송 직원의 서비스, 입고시간 준수, 반품 및 교환의 신속함, 불만사항에 대한 처리 등), 행정 사무(회계 관련 서류, 위생 관련 서류 등)의 다양한 측면에서의 평가가 이루어져야 하겠다. 그와 함께 주기적인 평가를 실시하여 학교급식 식재료의 공급이 안정적이고 효율적으로 이루어질 수 있도록 하여야 할 것이다.

경기 북부 지역 초등학교 영양사의 식자재 공급관리에 대한 인식도 및 실천도 (Elementary School Dietitian's Awareness and Performance of Food Supply Management in Gyeonggi North Province)

  • The principal objective of this study was to assess dietitian's awareness and performance with regard to food suppliers' selection guidelines and purchase guidelines for the receipt of safe food materials. A questionnaire was administered to 203 dietitians working at an elementary school in Gyeonggi North province, and 190 responses were ultimately returned. Excluding responses with incomplete answers and significant missing data, 161 responses(79.3%) were ultimately utilized for data analysis. We determined that meat/poulty and seafood were purchased mainly by manufacturer's branch(59.8% and 78.3%), and processed food and kimchi were generally purchased by producer's cooperatives(47.7% and 44.9%). 78.3% of the contracts were made via informal purchasing and the frequency of contracts was less than 3 times per year(53.4%). Market studies were conducted individually(54.7%), and by group(47.2%). Dietitian and parents volunteered(50.3%) or dietitians, and school and foodservice staffs(45.3%) participated - together in receiving and inspection. School contracted with $4{\sim}5$(39.1%) and $6{\sim}8$ food suppliers(29.8%). Dietitians(42.3%) or school councils(40.2%) evaluated food suppliers once per semester(60.2%). The majority of dietitians(96.3%) conducted sanitary education for food suppliers once per semester (68.3%). All 13 guidelines which were usually used to evaluate food suppliers were thought to be important(more than 4) based on a 5 scale(1: never important, 5: very important). Among them, 'sanitary storage status of food products(4.85)', 'have a chill car(4.83)' and 'proper control of refrigerator, freezer and storage room(4.81)' were the most crucial guidelines. As dietitians evaluated food supplier's-observances of 13 guidelines, 'have a chill car(4.89)', 'hold medical examination of employees(4.89)' and 'hold liability insurance for handling product(4.80)' were fulfilled relatively well. The guidelines for conducting education for their employees(4.45) and keeping their establishment and equipment sanitary(4.79) were important, but were not observed well(3.39 and 3.37). Additionally, the difference between the importance and the observance score of the 'HACCP certificate' were fairly significant(4.44 and 3.54). Dietitians tended to report that purchasing management related to the removal of foodborne illness factors(4.71), return confirmation(4.50) and purchase specification(4.32) were important. The difference between importance and performance was highest in the process of changing food suppliers when the contracts were violated more than three times. Dietitian's age, education work experience and employment type had no observable effects on how important they considered purchase management to be, but their work experience significantly affected performance in terms of the removal of foodborne illness factors(p<0.05). As supplier management is the most critical factor, it is clearly desirable to educate suppliers at specialized training centers and to supervise suppliers in accordance with the established sanitary guidelines.

미국법원의 판례를 통한 CISG 적용상의 함의 (Implications for the CISG's Applicability concerning U.S. Court's Cases)

  • 국제물품매매계약에 관한 유엔협약(CISG)은 국제매매의 통일적인 법창출을 통하여 국제무역을 증진시키기 위한 국제조약이다. CISG는 상이한 체약국에 영업소를 둔 당사자간 물품매매계약에 적용된다. 일방당사자가 하나 이상의 영업소가 있는 경우, 영업소는 계약과 이행에 가장 밀접한 관련이 있는 곳이다. 그러나 영업소가 갖는 중요성에도 불구하고 CISG는 아무런 정의를 내리고 있지 않다. 영업소에 대한 정의의 부재는 당사자들의 계약에 CISG를 적용할 것인지 여부를 결정함에 있어 여러 문제들을 야기시킨다. 또한 양 당사자는 CISG 적용을 배제할 수 있다. 그러나 CISG는 당사자들이 명시적으로 배제해야하는지 혹은 묵시적으로도 가능한지를 규정하지 않고 있다. 어떻게 유효하게 CISG를 배제할 수 있는지 살펴볼 필요가 있다. 미국법에 의거하여 CISG는 자기집행조약이다. 따라서 CISG의 규정들은 국제물품매매계약에 실체법으로써 직접 적용된다. 하지만 CISG의 정치적 그리고 경제적 중요성에도 불구하고 미국법원을 이를 간과하고 있다. 본 연구는 우리 기업들의 CISG 적극적인 활용을 위하여 미국법원에서 CISG를 어떻게 인식하고, 해석 및 적용하는지를 판례를 통하여 살펴보았다.
