Study on the Problems of Korean GAAP and Tax Regulations on the Merge Transactions ("기업인수.합병 등에 관한 회계처리준칙" 및 관련 세법 규정의 문제점)

  • Since revision of Korean GAAP on the merge transaction in 1999, the few studies on the problems of the GAAP or on the inconsistency of GAAP and regarding tax regulations have been performed. The objective of this study is to understand the present state of the merge transactions, to find out the problems on the regarding GAAP and tax regulations, and to suggest the method to improve them. Among the 69 merge transactions of the listed and registered companies for the recent 3 years, 67 merge transactions are reported as the purchase transactions and 2 transactions as the pooling of interest. And 11 transactions occurred between parents and subsidiaries. I investigate the sufficiency of the foot disclosures on the merge transactions, I find out that the disclosure on the amortization of the negative goodwill are not sufficient, and several transactions are not recorded in conformity with GAAP. This paper indicates the problems on the GAAP as follows: the complicated and irrational method of amortization of the negative goodwill, the valuation of the stocks acquired before the merge, the inconsistent adjustments to purchase consideration contingent on future events, and the valuation of the merge between the parents and subsidiaries. And the problems on the tax regulations are as follows: tax deferment of the income from merge valuation, the ambiguous definitions of the fair value, and stock dividend of the income from merge valuation.

  • A number of Chinese students who are studying in Korea have been gradually increasing since Korea and China established diplomatic relations. Many of them sale Korean products to China while studying for their degree programs in colleges. This kind of transactions can be named C2C overseas direct sales. C2C overseas direct sales which are being performed by Chinese student are good for exportation of Korean products. However Some of these transactions are not legal according to present law, First, Chinese student don't have legal status to make the transactions. Second, Chinese students usually make false declarations for evading the taxes, including tariff and VAT, Third, Chinese students can not offer the after-sale service for the goods for the Chinese consumers. Although C2C transactions have some legal matters, they should not be banned by a one-size-fits-all method. In this study, we highly recommend for the development of C2C transactions, First, Korean government should give Chinese students legal status. Second, China customs must strictly prohibit illegal activities of smuggling by taking advantage of postal route. Third, sellers in China can offer the after-sale service to consumers through some specialist A/S firms.

  • This study can be solved a means of authentication of electronic financial transactions. We suggest that smart devices can be useful to authenticate in electronic financial transactions regardless of time and place. Our new authentication method named Lock-Unlock authentication method with smart devices. This method will be expected to reduce many kind of accidents (theft, phishing, hacking, certificates and simple certified OTP, ATM withdrawals, ARS, etc.) by account locking in electronic financial transactions. And helpful to users can effectively protect electronic financial transactions and minimize the accident during get a electronic trading.

  • So far, the main applications of mobile client are querying data. However, we need a new mechanism to update data at a mobile client as mobile systems are advanced and extended. So, we present a optimistic concurrency control to schedule mobile transactions may include update operations.'rho read-only transactions can be terminated without sending information to a server, and update transactions are terminated by validating at a server. In our method, we can reduce the additional aborts by using a timestamp ordering and serialization graph test mechanism rather than using only conflict information between concurrent transactions.

  • Firms can create additional customer values by changing the visibility characteristic of business transactions. Both visible and invisible transactions can provide distinctive values to the customers. Visible transactions are those that are open to the customer: the customer can see the detailed logic of the transaction and may manipulate specific variables to control the transaction process. Invisible transactions mean that customers have little ability to control the transaction flow and may even be insulated from seeing the transaction. These invisible transactions will be taken care of only by suppliers, and be regarded as a process performed by suppliers. This paper pursues finding out the contingencies of successful transaction visibility change by answering to the following question; "when does increasing(or decreasing) transaction visibility make sense to customers?" This archival case study finds out that transaction visibility change should fit to the need and capabilities of customers. Increasing transaction visibility makes sense when customers need a certain supplier's performance and have a confidence in the capabilities of executing the performance. By the same token, decreasing transaction visibility makes sense when customers have substantial troubles in conducting their current transaction actions or when customers don't feel it necessary to conduct them separately because they can be derived from other action.

  • Recently stand-by credits are using as surety devices in various global business transactions including sale of goods. Stand-by credits have lots of merits but simultaneously have high possibility of improper demand by the beneficiary due to the characteristics of the documents required. So so-called fraud rule has developed as a solution to the improper demand in letter of credit transactions. And the actual way of the fraud rule is the injunction by the competent court. The purpose of this article is to examine the applicability of the injunction in stand-by credit transactions by means of case studies. For this purpose, the author examined the concept of the injunction, necessity of the injunction in stand-by credit transactions and the cases of injunction granted and injunction denied. Firstly, the courts have legal standard of the application of injunction due to the legislation of the relative articles in the United Nations Convention on Independent Guarantees and Stand-by Letters of Credit and the Uniform Commercial Code. Secondly, the courts have taken a negative attitude granting injunction in order to observe the independence principle. Thirdly, the courts have a tendency to grant injunction when the demand has no conceivable basis and the applicant will suffer irreparable injury without injunction. Finally, like the saying 'prevention is the best cure', the applicant always pays attention with reasonable care before improper demand by the beneficiary.

  • To process transactions in fully replicated database, an atomic broadcast is mainly used. In this case of using atomic broadcast, transactions can be delayed because of the coordinating step among servers before processing the transaction. In this paper, we propose an algorithm to resolve the problem of transaction delay. In the proposed algorithm, the transactions are processed by using the optimistic method. The operations of a transaction are performed in the site that it is submitted and its write operations its updates atomically in all replicated sites. Since the serializability of transaction is ensured by checking the sequence number of transactions in the completion-inspection step.

The Study for Performance Analysis of Concurrency Control using Deferred Blocking (지연된 블록킹 방법을 사용한 동시성 제어 기법의 성능 분석에 관한 연구)

  • The concurrency control can be critical to the performance of transaction processing systems. Conventional locking takes the blocking phenomenon, where waiting transactions continue to hold locks and block other transactions from progressing. The proposed scheme reduces the blocking probability by deferring the blocking behavior of transactions to the later stages of their execution. The transaction execution can be divided into a nonblocking phase where transactions wait for locks but do not block other transactions and a blocking phase as in conventional locking. However data accessed during the nonblocking phase can lead to transaction abort. By properly balancing the blocking and abort effects, the proposed scheme can lead to better performance than either the conventional locking or the optimistic concurrency control(OCC) scheme at all data and resource contention levels.

  • As South Korean large business groups, also known as Chaebol, have broadened their influence in the domestic economy, it is important to analyze the influence of internal transactions among Chaebol affiliates on their performance. In this paper, relationship between internal transactions and efficiency of Chaebol affiliates has been analyzed. Top five Chaebol groups in South Korea are selected; they include Samsung, Hyundai Motors, LG, SK, and Lotte group. Based on internal transactions among affiliates, social networks are constructed for each Chaebol group to analyze centrality, network structures and cliques. Data Envelopment Analysis (DEA) was conducted to examine the efficiency of the Chaebol affiliates. Then, correlations between the degree centrality and the efficiency of Chaebol affiliates were analyzed, and the network structures of Chaebol groups are presented. The result shows that positive correlations between degree centrality and efficiency are observed among four Chaebol Groups. This paper shows that the Social Network Analysis (SNA) techniques can be used in the empirical research for the analysis of internal transactions of Chaebol groups.

  • A Mobile computing environment is a new paradigm which provides users with the access to information irrespective of users' location. A transaction scheduling method for the mobile computing environment must be designed so that database consistency is maintained with considering the limited performance of mobile hosts and the narrow bandwidth of a wireless network. The scheduling method using a lock has some problems: the high message overhead between a server and a mobile host for maintaining a lock and the high abort ratio of the mobile transactions owing to violating the serializability when a mobile host uses a cache. So, in this paper, we propose an efficient transaction management method using timestamp to resolve these problems. The proposed method is used in the environment under which a mobile host uses a cache having two versions for each cached data item and a server maintains several versions for each data item. So, even though a mobile transaction is executed during several broadcasting interval, can be committed. As a result, the proposed method can improve the commit ratio of the mobile transactions by maintaining multiversion for each data item and does not require the additional message exchange to schedule transactions by using timestamp.
