Is CISG Applicable and Suitable in Service Contracts?

  • Purpose - This paper studies whether CISG can be a suitable governing law for pure service contracts. When CISG was first drafted, there was little disagreement on the fact that contracts for the sale of goods and those for the provision of services were two different types of contract. Based on this understanding, CISG explicitly provides that the Convention will apply to contracts where the preponderant part of the contractual obligation is on the sale of goods, not services. However, as more sales transactions have come to include more elements of services, mainly due to the advancement of the IoT industry, the distinction between goods and services became more blurred. Based on the observation of recent changes, some scholars even argue that such a change supports the applicability and suitability of CISG to even pure service contracts. The purpose of this paper is to critically analyze and evaluate their argument. Design/methodology - This paper focuses on two separate but related issues: CISG's 'applicability' and 'suitability' to service contracts. For the first issue, this paper will examine the rules of interpretation of international treaties under the Vienna Convention on the Law of Treaties of 1969, and will apply its rules to find the proper answer. For the second issue, this paper will perform logical and empirical analyses on the reasoning employed by scholars claiming the suitability of CISG to service contracts. Findings - This paper concludes that CISG does not, and should not, apply to pure service contracts. The argument that CISG applies to pure service contracts directly contravenes Article 3(2) of the Convention, which expressly states that it does not apply to a contract wherein the preponderant part of its obligation is about services rather than sales. Similarly, CISG is not a suitable governing law for pure service contracts because it aims provide rules specifically tailored to the needs of transactions of sales of goods, not services. Servitization of sales of goods transaction does not change this conclusion. Originality/value - This paper presents different views from those offered by some eminent scholars on the issue of applicability and suitability of CISG to service contracts. By doing so, it is hoped that the confusion caused in discussions so far are clarified. Hopefully, this paper can also provide practical guidance to practitioners engaged in the fields of international sales, services, and IoT industries.

Optimal Service Contract Policies for Outsourcing Maintenance Service of Assets to the Service Providers

  • There is a growing trend for asset intensive industries to outsource maintenance services of their complex assets since outsourcing through service contract reduces upfront investments in infrastructure, expertise and specialised maintenance facilities. Estimation of costs for such contracts is complex and it is important to the user and the service providers for economic variability. The service provider's profit is influenced by many factors such as the terms of the contract, reliability of asset, and the servicing strategies, costs of resources needed to carryout maintenance. There is a need to develop mathematical models for understanding future costs to build it into the contract price. Three policies for service contracts are proposed in this paper considering the concepts of outsourcing maintenance service of assets to the service providers. Conceptual models are developed for estimating servicing costs of outsourcing through service contracts by considering time dependent failure mode.

인터넷 콘텐츠서비스 이용약관의 불공정성 검토에 관한 연구 (A Study on the Unfairness of Adhesion Contracts for Internet Contents Service)

  • The purpose of this study was to explore the unfairness of adhesion contracts for internet contents service. The internet contents were classified into six types of avatar, learning, download, e-book and movie internet sites. The adhesion contracts of internet contents service were collected in 60 internet sites. The unfairness of the adhesion contract was reviewed under the adhesion contract regulation act. The major results were as follows. First, the obligation of clear statement, explanation, and delivery was not observed completely. Second, many articles of adhesion contract were unfair and they especially violated articles 7 and 9. Therefore, the standard adhesion contract system for internet content service should be enforced and self-regulation of information service providers is needed.

A Study on the Outsourcing of Aircraft Maintenance Contracts

  • With the exception of some large domestic airlines with adequate maintenance capability, most low-cost and small airlines do not have the facilities, equipment/tools, or manpower to perform periodic inspections over "C check." They are repaired according to maintenance programs specified by manufacturers. The outsourcing (domestic or overseas) of maintenance contracts is thus crucial to achieve good quality service at low cost, and these contracts therefore need to be signed with a full understanding of what is to be expected. This study aims to determine the requirements to be considered prior to finalizing such contracts.

위탁운영 사업체급식소의 운영현황에 따른 고객만족도 분석 (An Analysis of Customer Satisfaction by Operational Characteristics in Business & Industry Foodservice Operated by Contracted Foodservice Management Company)

  • The objectives of this study were to analyze customer satisfaction by operational characteristics in business & industry foodservice operated by contracted foodservice management company. The instruments were developed by reviewing literatures on customer satisfaction and by intervewing with managers, employers and customers. A total of 1000 questionnaires were hand delivered at the ten contracted foodservice operations by designated coordinators. A total of 833 questionnaires were usable; resulting in an 83.3% response rate. Statistical data analysis was completed using the SAS 6.04 for description, T-test, ANOVA. Overall customer satisfaction score for office building foodservice was significantly higher than those for manufacturing company foodservice. As for the type of management contracts, overall customer satisfaction score for management fee contracts was significantly higher than those for profit and loss contracts. With regard to payment method, overall customer satisfaction score for meal card was higher than those for POS system. Concerning the categories of service, overall customer satisfaction for combo-tray service was higher than those for cafeteria-tray service and partially self-service. As for types of menus, the score of overall customer satisfaction was not significantly different between cafeteria menu and double choice menu.

물류서비스 계약의 결정요인에 관한 연구 (A Study on the Critical Factors of Logistics Service Contracts)

  • 물류서비스 아웃소싱 산업이 지속적으로 성장하면서 끊임없이 제기되는 이슈 중의 하나는 서비스이용자의 비용절감과 서비스제공자의 수익성 확보 여부이다. 국내의 많은 기업들이 물류서비스 아웃소싱을 하고 있지만, 원하는 수준의 아웃소싱 효과를 얻지 못하는 경우가 많고, 물류서비스 제공기업들도 불확실한 시장상황과 과도한 단가경쟁으로 수익을 확보하지 못하고 있다. 본 연구에서는 국내 주요 아웃소싱 거래기업을 대상으로 전문가조사를 실시하여 물류서비스 계약의 현황을 조사하였다. 또한, 현재 운영 물류관련 표준계약서와 기타 서비스 표준계약서를 분석하였다. 이를 통해 국내 물류서비스 계약이 서비스의 범위와 종류, 그에 따른 서비스 규모와 비용 및 수익구조에 가장 큰 영향을 받는다는 것을 알 수 있었다. 그리고 서비스 제공 기업은 계약을 통해 수익을 확보해야 하기 때문에, 제공서비스의 수준과 부가가치 서비스 제공 여부, 계약 기간과 절차 등에 좀 더 민감하게 반응하고 있음을 알 수 있었다. 또한 전문가 조사결과를 바탕으로 주요 계약요인을 도출함과 동시에 기존 계약서 분석을 통해 모듈화된 물류서비스 표준계약 조항을 제안할 수 있었다. 본 연구는 물류서비스 아웃소싱 이용자와 제공자 그룹을 대상으로 한 대량의 조사가 이루어지 않았다는 한계점과 동일한 물류서비스를 제공하는 물류기업들 간의 비교조사와 그들의 이용자 기업 간의 계약 성과 인식에 대한 세부적인 개별조사를 병행하지 못했다는 한계점이 있다. 향후에는 본 연구의 결과를 바탕으로 개선된 구조의 연구모형으로 더 세부적이고 정량적인 연구 분석이 가능하리라 생각한다.

  • Many problems in IT outsourcing service industry of Korea are rooted in the idiosyncratic structure of the industry. This structure causes the unique characteristics of service level management, service delivery methodology, and contracts. This study looks into the status of the industry, vendors, and markets of IT outsourcing and proposes some of relevant research topics of each area respectively.

직업경험을 중심으로 한 보험상품 교차판매 성과의 결정요인 분석 (Determinants of Insurance Products Cross-selling Performance : Focusing on Career Experience)

  • 최근 보험산업은 판매채널의 다양화, 교차판매 활성화 등 다양한 환경 변화가 일어나고 있다. 보험 판매 채널이 전속 채널에서 비전속 채널, 방카슈랑스 등으로 다양화되고 있으며, 보험설계사가 한 명의 고객에게 다양한 금융상품을 판매하는 교차판매가 활성화되고 있다. 그러나 보험설계사의 절대 수는 줄어들고 있으며, 13월차 생명보험 설계사의 정착률은 2016년 40.4%이다. 이러한 상황에서 본 연구에서는 보험설계사의 교차판매 성과에 영향을 미치는 결정요인을 분석하여 보험설계사 양성에 시사점을 도출하고자 한다. 실증분석방법으로 질적연구와 양적연구를 병행하였다. 질적연구로 개방코딩을 활용하여 심층 면접을 실시하였고, 이러한 질적연구의 검증을 위해 2016년 4월~2019년 3월 기간 동안 영업성과 자료를 분석하였다. 질적연구 결과 보험상품 교차판매 성과의 결정요인으로 총 84개의 개념, 28개의 하위범주, 10개의 범주가 도출되었으며, 10개의 범주는 개인특성, 상담 방법, 교차판매비율, 영업 문화, 교육, 고객의 변화, 고객 DB 제공, 만족도, 업무지원시스템, 고객서비스였다. 본 연구의 질적연구 결과 고성과자로 분류할 수 있는 보험설계사는 전체 보험 계약에서 생명보험 계약 건수와 계약 금액의 비중을 높이는 교차판매에 적극적임을 확인할 수 있었다. 실제 영업성과 자료를 바탕으로 한 분석에서는 보험설계사의 나이, 근무월수, 직급이 전체 보험계약 건수 대비 생명보험계약 건수와 생명보험계약 금액에 유의한 양(+)의 영향을, 전체 보험계약 건수 대비 손해보험계약 건수와 손해보험계약 금액에 유의한 음(-)의 영향을 미쳤다. 즉, 회사를 이탈하지 않고 장기근속하면서 고성과자로 분류되는 보험설계사는 전체 보험계약 건수와 금액에서 생명보험의 계약 건수와 금액 비중이 늘어나고, 손해보험의 계약 건수와 금액 비중이 줄어드는 것을 확인하였다. 본 연구의 분석결과는 보험설계사 양성을 위한 교육 프로그램과 업무지원시스템 개발에 중요한 기초 자료가 될 수 있을 것이다.

장기요양기관 유형별 위탁급식 운영 실태 및 개선 방안 (Current Status of Outsourced Food Service Operations According to the Type of Long-Term Care Institution and Plans for Improvement)

  • This study aimed to explore the status of food service outsourcing behavior of long-term care institutions (LTCIs) through a cross-sectional survey using a questionnaire administered between July 16th and August 7th, 2020. The survey respondents were either dietitians or facility managers, who worked at 731 nursing homes, 477 group homes, and 673 day-care centers. Approximately 25.9% of nursing homes, 11.7% of group homes, and 33.1% of day-care centers used a managed-services company to operate their food service units. The main reason for outsourcing food service by nursing homes was related to the staffing of dietitians and cooks, whereas group homes and day-care centers outsourced food services due to factors relating to meal costs and the cooking process. Almost all the LTCIs entered into private contracts for outsourced food services. Only a few food service contracts included the types of meals, nutrition standards such as protein and calories per meal, and the parameter or ratio of food cost. Of the respondents, 84.5% from nursing homes, 87.5% from group homes, and 87.1% from day-care centers agreed that the quality of outsourced food services of the LTCIs should be regulated. Meals are essential for maintaining the health and functional status of LTCI users. As more LTCIs outsource their food services, we suggest the following: (1) Increasing the minimum dietitian staffing standards for LTCIs as per the Welfare of Senior Citizens Act and requiring at least one dietitian for every nursing home, (2) Making it mandatory to use a standard food service contract template when drafting food service contract, and (3) Developing realistic standards for food service operations considering the size and operation type of the LTCIs.

Active SLA 기반 서비스 수준 협약의 자동화 (Automation of Service Level Agreement based on Active SLA)

  • 최근 SOA와 클라우드 컴퓨팅 기반의 IT 서비스에 대한 수요가 증가하면서 서비스 당사자들 간에 SLA(Service Level Agreement, 서비스 수준 협약)에 대한 관심이 증대되고 있다. 통상 SLA는 자연어로 작성된 종이 계약서이다. 상업용 SLA 관리 툴에서 사용하는 SLA는 절차적 언어를 사용하여 계약서 내용을 애플리케이션 안에 암시적으로 구현된다. 이는 SLA 자동화 작업을 어렵게 한다. 또한 계약시스템에 대한 유지관리를 어렵게 하고 새로운 계약 요구사항을 적용하기 위해서는 소스 코드에 대한 광범위한 수정 작업이 뒤따른다. SLA 유지관리 과정에서 발생하는 문제의 근본 원인은 동일한 SLA가 문서형과 실행형으로 이원화 되어 있다는 것이다. 본 논문에서는 이러한 현행 SLA 관리의 문제점을 개선하기 위해서 능동형 SLA(ASLA : Active Service Level Agreement)를 기반으로 하는 능동형 SLM(ASLM : Active Service Level Management) 시스템을 제안한다. 이 시스템에서는 이원화된 SLA 처리 및 관리 과정이 능동형 SLA(ASLA)의 도입으로 일원화될 수 있음을 보였다.
