Initially, the system of outside director of cooperative has the object of consulting an external specialist. Recently, it takes a serious view of monitoring about securing clean management on the operating crisis. Nevertheless, in the field of NFFC(National Federation of Fisheries Cooperatives), it is difficult that the system of outside director of cooperative attains that is initial object. And in the field of FC(Fisheries Cooperative), it isn't in force about the outside director of cooperative. Therefore, it is important to make a following system improvement. (1) The ratio of outside directors among the member of board of directors has to be increased. (2) Outside director's term of office has to be amended from lyears to 2years and the current method of selection should be reformed to be a strict one with high standard of requirement and substantial screening for membership. (3) Outside directors' wage system must be actualized by adopting incentive system' etc. A measure of appointing an executive in a similar business line or organizations to ours as an outside director must be considered. FC have to introduce the system of outside director. (4) A recognition of proper management of outside directors and putting in practice is essential.

In this paper many discussions are raised regarding the outside director system in order to establish the position of the outside director within institutional organizations and to review ways to activate the outside director system in for-Profit Hospital. it seems to be more desirable in Korea for each company to establish an efficient system by itself in accordance with suggested guidelines suitable for each for-Profit Hospital management circumstances rather than to apply a unilateral outside director system to for-Profit Hospital through legalization. In this regard, while keeping the current outside director system for the time being, it is necessary to review and improve the management status of companies and the usefulness of the system, and various recommendations from lawyer associations, Hospital business associations, and academia should be allowed rather than just for-Profit Hospital recommendation by the government.

This research examines the effect of outside director system which has been legislated after financial crisis in Korea. Outside director system is based on agency theory which assumes that a manager is selfish and opportunistic in situation where ownership and management of a firm is separated. In this situation, outside director system has an important function to monitor and keep in check a manager. Thus, we examined that outside director system works as a monitoring mechanism in Korea. And we tested that above effect is weakened in family CEO firms where it is different from assumption of agency theory in Korea. According to empirical result with 282 sample firm, it is confirmed that outside director system reduces agency cost. In family CEO firms, however, this agency cost-reducing effect becomes weak. This result suggests that outside director system needs be cautiously managed without focusing on only monitoring function.

This article is aiming at finding the character of social welfare corporations and at finding whether the outside director system is constitutional or not. These two issues are closely interrelated with each other. After examining critically existing studies and precedents that have seen the character of social welfare corporations as public sector or private sector, the present study suggests the dualism that divides social welfare corporations into facility corporations and support corporations and that finds the character of facility corporations and support corporations respectively. According to the dualism, even if outside director system for the facility corporations restricts the right to manage the corporations the system is seen as being constitutional because the corporations are more likely to be public sector so that the principle of private autonomy would not be applied to them. While outside director system for the support corporations is seen as being unconstitutional because the corporations are more likely to be private sector so that the principle of private autonomy would be applied to them. So, this article suggests the amendment of Social Welfare Service Act through which the different character of the facility corporations and support corporations can be respected and the diversity of social welfare corporations and social welfare services can be realized.

According to the Fisheries Cooperative Law, the Fisheries Cooperative has made a substantial contribution to the development of Korea's fisheries industry amid the nation's rapid economic growth and drastic social changes since its establishment in April 1st 1962, It is, however, generally believed that the cooperative has made a poor performance in improving its business constitution. Therefore, the reform of its board of director system is one of the ways to strengthen the constitution. For the purpose of making the board of director system to operate rationally, this dissertation is divided into five chapters. Chapter I provides an overview of this study, such as research background and objectives. Chapter II focuses on the Fisheries Cooperative's board of director: its function, composition, and election. Chapter III analyzes the responses of the Fisheries cooperatives to questionnaires about the board of director system, and subsequently presents the causes and the meaning of the analysis results. Chapter IV deals with the various ways to improve the Fisheries Cooperative's board of director system, including director and cooperative governance. Finally, Chapter V draws a conclusion of this study. The independent function of the Cooperative's board of director and responsible directorship is one of the most important factors which can prevent the Cooperative from insolvency. Unlike the past, not only it has become difficult to keep the Cooperative's business under the government's support, but also the Cooperative itself is now facing a situation where the support from the government cannot be expected. This ist he reason why the Cooperative should manage itself autonomously, workout its organization, and respond to the current situation with a renovativemanagement and business strategy. Therefore, a rational operation of the board of director is urgently needed.

This study analyzes the space in A Brighter Summer Day, covering the meaning of space from inside to outside of the film extended. A violent spaces in the inside causes Xiao Si'r's homicide, including society, house, and school. In the external space, the film's form presents director's attitude and will resisting against dominant system of society with an audience's space. The audience join the space being the director's intention, actively interpreting this film, doing self-reflection and taking an opportunity for social participation.

We investigated the foodservice management practices in various operation types of childcare centers in Asan, Chungnam Province, with the intention of improving the quality of foodservice and providing the basic information for establishing more effective and efficient foodservice model system. Self-completed questionnaires were collected from the directors of 174 child care centers. The statistical analysis was completed using SPSS Ver. 12.0 program. The followings are about the results of this study. Approximately 94.8% of the directors were women with the average age of 40.3. All of the investigated facilities executed foodservice; the facilities of 96.2% had been self-operated, 1.9% was contract-managed and the remaining 1.9% served delivered meal from outside. Only 20.0% of the investigated centers employed a dietitian. In most of the centers, meals were prepared in a conventional manner and approximately 85.3% of the centers are serving only snacks twice a day as a supplementary due to financial difficulties. Menu planner of the facilities, which have no dietitian was the director (35.8%) or the cook (25.7%). In most centers, the directors purchased the food materials (67.5%). Material inspection was done by the director (54.9%) or the cook (40.5%). However, home care centers did not inspect the food material. These results indicate that food service management guidelines need to be established by the facility type with the government control and financial support. Especially, dietitian employment and the efficient foodservice model system establishment are questions that confront us.

Country ownership and management of information security companies generally do not clearly separate from the Board of Directors to function smoothly controlling shareholders do not participate in management decision-making and internal control board does not perform the task correctly, they said the issue was raised. The purpose of this study is to improve corporate governance, information security companies of the outside director system was introduced as part of the transparency of accounting information to investigate whether the effectiveness of the overall business management is also part of the efficient management of operations and earnings being with respect to the empirical data would be analyzed using the. This means that with the specific purpose of the characteristics of a technology-intensive company focusing on information security proportion of outside directors and outside directors of the board of directors of the board of directors of the target attendance rate for identifying the relationship between earnings management purposes. The empirical results is the ratio of outside directors and the relationship between discretionary accruals as a temporary negative (-) boyimyeo significant relationship, so was adopted. is discretionary accruals and attendance of outside directors, as is the hypothesis that the regression coefficient negative (-) shows the relationship between the mind, so was adopted.

The purpose of this study is to determine the effect of concurrent appointment as a director on the quality of the internal accounting management system (IACS). For analysis, 9,343 KOSPI & KOSDAQ company-year data from 2014-2019, excluding the financial industry, were used. As a result of the analysis, it was confirmed that the quality of IACS decreased as the number of multiple positions in the director increased. Although there is a difference in the roles of inside and outside directors, it was found that the quality of IACS decreases equally as the number of board members. According to the business hypothesis, this can be said to be the result of the agency problem within the company because directors, who were more busy with concurrent positions as directors, did not put sufficient effort into their work. This study suggests that information on the concurrent position of directors can be a new indicator that reflects the characteristics of the board in evaluating the effectiveness of corporate governance.

The Guarantee of Rights and Support for Persons with Developmental Disabilities Act was enacted and revised in 2014. However, national measures for persons with developmental disabilities remain insufficient. In the film, "Grown Up," director Hyeyoung Jang filmed the daily life of her sister, who has developmental disabilities. She raised not only the issue of institutionalization in people with developmental disabilities in Korea but also the issue of a lack of policies that would be essential to them and their family members. In the future, I hope that as experts, child and adolescent psychiatrists in Korea will pay more attention to the lives of people with developmental disabilities outside the clinic and propose policies to help them and their family members.
