Risk-sharing Strategies on EPC Contracts: Lessons-learned from Sabine Pass Liquefaction Project

  • 'Sabine Pass Liquefaction Project (SPL Project)', a case study in this report, is the first construction project of a U.S. liquefaction facility for shale gas export overseas. This study analyzes the SPL Project to give understanding and a guideline to Korean EPC companies by benchmarking about effective risk-sharing strategies on EPC contracts. This study consists of three parts. The first summarizes the liquefaction process adopted on the SPL Project, named the 'ConocoPhillips Optimized Cascade Process', and compares it with other competitive liquefaction processes. The second introduces the unique features of the SPL EPC contract by comparing it with two other EPC forms of contracts: a FIDIC Silver Book for onshore plant projects and a contract of an offshore oil production (FPSO) project. The third focuses on the complexity of project financing (PF), especially lenders control and impact on the EPC contract such as covenant provisions to constrain variations and changes on the EPC Contract. From these conclusions, it is anticipated that this case study can provide a guideline for successful performance of Korean EPC contractors overseas.

  • This paper analyzes problems related to total cost changes in private investment projects, and then proposes an improvement measure for the control of cost changes within the framework of the project management, contract, human resource, project communication, cost, and time management. From the viewpoint of contract management, the basis of cost change ought to be cleared up with standardization of related provisions in the concession agreement, and potentiality of change ought to be excluded with prescription of the private investor's leading role from the design phase. Regarding human resource management, this paper proposes a standard work flow granting much sovereign rights to private parts by putting restriction on work scopes of the entrusted authority of government, and transferring the rights of assignment, contract, and control about the responsible supervisor to the concessionaire. With regard to project communication management the notification of changes on drawings and technical documents ought to be automated and the realtime database ought to be established with DMIS (Drawings & Documents Management Information System). From the cost management point of view, this thesis integrates the control of cost-change-approved items and disapproved items to one cost breakdown system, and then harmonizes the actual progress with EVMS in time management.

The Effect of Construction Safety Supervision System on Risk Control and Reduction (건설안전감리제도가 위험제어 및 절감에 미치는 영향)

  • This study is intended to look into the effect of construction safety supervision system on risk control and reduction. To achieve this, a survey was carried out to 114 companies in construction, ordering, contract and management. The overall findings were as follows. The effect of construction safety supervision system on risk control and reduction showed that factors of supervision system, supervision cost and supervision method had a positive effect on risk control and reduction. And their perception of the introduction of safety supervision system in construction sites according to process showed that there was a difference between them according to the field of ordering, contract and supervision. There was the biggest difference between owner and contractor in double supervision system, but no difference between them in the perception of risk reduction. These results show that all ordering, contract and supervision are positively needed for the introduction of construction safety supervision. This means that there is a difference between owner and contractor in the perception of process according to system operation. All companies agree to system improvement by the settlement of safety supervision system for the prevention of safety accidents and safe construction, but the systematic complement of safety supervision is the burden of contractor. And there is a big difference between owner and contractor in the perception of responsibility and concern for cost burden.

A Study on the Contract Formation in the Electronic Commerce (전자상거래(電子商去來)의 계약성립(契約成立)에 관한 고찰(考察))

  • Contract requires, on principle, a meeting of minds. The basic elements of that contact are an offer by one party and an acceptance of the terms of the offer by the other party. In the electronic commerce an offer and the acceptance of an offer may be expressed by dispach or receipt of data messages. The contract which a data messages is used in the formation may be called electronic contract. The formation of the electronic contract is regulated by the Civil Code or the Commerce Code. The time of the contract formation is regulated by the Civil Code and the Commerce Code. But the time of dispach and receipt of the data message is stated in Article 9 of the Fundamental Law on Electronic Commerce. In this article the dispatch of a data message occurs when it enters an information system outside the control of the originator or of the person who sent the date message on behalf of the originator. The time of receipt of a data message, if the adressee has designated an information system for the purpose of receiving data message, is at the time when the data message enters the designated information system; or if the data message is sent to an information system of the adressee that is not the designated information system, at the time when the data message is retrieved by the addressee; if the addressee has not designated an information system, receipt occurs when the data message enters an information system of the addressee. The time of the electronic contract formation depends on the Civil Code or the Commerce Code and this Article 9 of the Fundamental Law on Electronic Commerce. An electronic contract may be formed by an offer and the acceptance of an offer by dispach or receipt of data message. An offer can not be withdrawn after it is accepted. But in mail-order sales and installment dealing an offer can be revoked after the goods were delivered. In this case the contract is lapsed.

  • Industrial control systems consist of various physical devices such as sensors, actuators. Security Infringement such as waterworks facilities Remote Access Infringement and power control systems Infection have been occured by vulnerability of Access Control. Access control to physical devices must be fulfilled with a reliable system. However, Having a single access control system inside company can not guarantee reliability. In addition, when single access control is struggled with error or infringement, access control system is totally unavailable. so system requires a additional access control method or system. In this paper, we proposed access control mechanism for reliable and stable operation using blockchain and smart contract. Proposed Mechanism using trust score to consider resources to be consumed depending on each industrial environment in consideration of the industrial control system where availability is more important than integrity and confidentiality. Unlike other blockchain-based access control system, proposed system is designed for the currently operating industrial control system.

A Study on Differences of Food Hygiene Knowledge and Practices between Housewives and the Contract Foodservice Employees (일반 주부와 급식 산업 종사자의 식품 위생 지식과 실행도 차이에 관한 연구)

  • This study was aimed to evaluate the relation of food hygiene knowledge and practices of the contract foodservice employees and housewives. The employees were mainly sampled using convenience sampling method and surveyed through the questionnaire. The SPSS 12.0 was used for statistical analysis: data frequency, t-test, one-way ANOVA. The scores of the contract foodservice employees were higher in personal hygiene and time-temperature control from hygiene knowledge category and in cleaning & sanitizing, and time-temperature control from hygiene practice category than those of housewives. The level of hygiene knowledge improved with continuous education, and people aged over 51 year showed better score in hygiene practices than those of age 20${\sim}$35. The score of hygiene knowledge or hygiene practices were higher in the group who graduated front middle or high school than the group who had MS degree, because they might have the good hygiene habit or behavior from the continuous education about the food hygiene.

  • The purpose of this study is to investigate the moderating effects of psychological contract violation and self-control on the relationship between abusive supervision and subordinates' work-related attitudes. Results show that abusive supervision was positively related to subordinates' turnover intention, whereas it was negatively related to their organizational commitment. Futhermore, it is surprising that the moderating effects of psychological contract violation and self-control showed an unexpected pattern. Implication of these results as well as strengths, limitations, and avenues for future research are discussed.

  • Contract time determination for highway construction projects has never been easy despite considerable research efforts from academia as well as industry. High variations in crew production rates are considered one of the main barriers to accurate contract time determination. This paper presents a methodology for collecting field information on crew production rates which will help to enhance the accuracy of contract time determination for highway bridge construction. Based on a standard data collection tool developed, data on field crew production rates was collected from 14 on going projects in Texas, USA, over the past two years. The production rates based on the data collected were considered by industry practitioners to be more realistic and practical than those available to the current practices. As more data becomes available, key drivers influencing production rates could be identified and provide site personnel with a means to better plan and control production in a project specific context.

  • This study investigates two-stage return policy and recycling issues in an e-marketplace supply chain consisting of consumers, a retailer and a manufacturer. The manufacturer, a focal company in the e-marketplace supply chain, considers the recycling of commercial returns so offers the retailer a buy-back contract of which transfer payment consists of a wholesale price and a buy-back price. Then, under the given contract offer, the retailer determines a selling price and a return policy to control consumers' demand and return requests. We consider the retailer's opportunistic behavior and supply chain coordination issues based on the principal-agent paradigm. We compare the first-best and second-best optima and conduct comparative static analyses to evaluate the performance results of the buy-back contract and provide important managerial implications.

  • Presented in this paper is a control model for developing virtual factory simulator, which is being operated under the distributed environment. The control model consists of production activity plan and information flows. To incorporate elements of the characteristics of the distributed control system, we suggested a collaboration model. This model is working under the client/server architecture, and also designed for cooperative-distributed shop control(CDSC) system in order to exploit several advantages of client/server architecture. Collaboration among each agent(or client) is done through negotiation and task sharing. Based on a contract net model, the CDSC system has three kinds of agents-order agent, resource agent, and communication forwarding agent. Each agent performs shop scheduling and control through negotiation on contract net. No node in CDSC system can have authority over other node. A bidding scheme is employed far negotiation between order agent and resource agents. The CDSC system can support re-negotiation among resource agents and an algorithm for re-negotiation is also developed. Experimental results are shown to advocate the effectiveness of the CDSC system for CIM environments.
