Confidentiality and the Riddick Principle in International Commercial Arbitration

  • This paper seeks to provide a comprehensive review of the international rules of law on the obligations of confidentiality and its exceptions in international commercial arbitration, including the Riddick principle stemming from the common law jurisdiction. To this end, this article examines and analyzes developed countries' arbitration legislation including relevant case laws and the most recent leading institutional rules. Given the fact that the increasing use of discovery in international commercial arbitration and that the parties and practitioners in civil law countries are not familiar with the concept of the Riddick principle and its implied undertaking to a court, this article introduces the concept of the Riddick principle with some analysis for the recent case laws. Finally, this paper makes some suggestions to strengthen the compliance of confidentiality in international commercial arbitration by introducing new rules on confidentiality, inter alia, sanctions for breaching of the obligations of confidentiality.

  • Confidentiality has always been considered one of the most important aspects of arbitral proceedings and until recently a principle that could never be ignored. However, under the shadow of the increasing number of arbitral cases in which States are involved, there has recently been a tendency towards publicity, not only in investment protection arbitrations but also in commercial arbitrations. That said, many questions arise: in the event of a conflict between confidentiality and publicity, which should prevail? What role does the arbitrator play in this conflict? Does confidentiality provide more benefits than harm.

  • 본 논문에서는 정보의 중요도나 관련성의 정보에 기반한 퍼지함수를 적용하여 강제적 접근통제정책의 비밀성과 무결성을 보장하였으며, 보안등급을 이용하여 접근권한의 흐름을 통제할 수 있는 흐름정책과 역할그래프 생성 알고리즘을 제시하여 상속특성으로 인한 권한남용문제를 해결하였다. 또한, 상업적인 환경에 적용이 가능하도록 정보특성별로 역할을 그룹핑하여 역할계층을 구성함으로써 새로운 역할을 추가하는 것이 용이하여 다단계 보안시스템에서도 효과적으로 접근통제를 할 수 있을 뿐만 아니라 대규모 보안시스템으로 확장할 수 있는 장점을 갖는다.

  • 클라우드 스토리지는 사용자들로 하여금 저장장치를 소유하는 대신 서비스의 형태로 빌려서 사용하고 사용량만큼만 비용을 지불하게 하므로 자체 데이터 센터를 유지하는 것보다 유리한 측면이 많이 있다. 그렇지만 공용 클라우드로 스토리지를 서비스하면 사용자 데이터에 대한 접근을 소유자가 통제하기 어렵기 때문에 데이터에 대한 기밀성을 보장하지 못하는 문제가 발생된다. 본 논문에서는 공용 클라우드 스토리지에 저장되는 사용자 데이터에 대하여 기밀성을 보장하기 위한 목적으로 클라우드와 사용자 사이에 동작하는 게이트웨이를 제안한다. 이 게이트웨이는 사용자의 개입없이 데이터를 암호화 혹은 복호화하여 전달하며, 다른 게이트웨이를 통한 접근을 보장할 수 있도록 암호 키를 교환하는 기능도 제공한다. 제시된 방법을 상용 클라우드 서비스에서 시험한 결과 안전성과 호환성을 만족할 수 있음을 확인하였다.

CALS체계의 정보보호 구조 연구 (A Study on the Security Architecture of CALS System)

  • With developing computer and communication technologies, the concept of CALS system has been popular not only to military but also to commercial industries. The security problem is one of the most critical issues to construct CALS infrastructure. The CALS system needs some security functions such that data confidentiality, integrity, authenticity, availability, and non-repudiation. This paper proposes a security architecture model in CALS. The security architecture model is composed of 5 submodels such that network security model, authentication and key management model, operation and audit model, integrated database security model, and risk analysis model.

산업보안 지원 정책 결정의 우선 순위 - 기업 수요와 효율성을 중심으로 - (Priority of the Government Policy to support Industrial Security - Focus on a companies' demand and efficiency of policy -)

  • 본 연구는 산업보안의 주체인 기업을 대상으로, 기업의 기밀 보호를 위한 정부 정책의 우선 순위가 무엇인지, 산업보안을 위한 정부 지원 규모의 확대가 필요한지를 조사하였다. 우선 순위를 결정하는데 있어 기밀 보호와 관련된 기업, 개인, 사회, 정부 등의 의견과 입장을 모두 고려해야 할 것이나, 산업보안 특히 기밀 보호의 주체, 기밀 보호 정책의 수혜자, 수요자로 가장 중요하고 직접적인 당사자인 기업이 요구하는 것들이 지원 정책 결정의 기초가 될 수 있을 것으로 보았다. 이에 따라, 우리나라 기업의 보안 부서 근무자 또는 보안 담당자에게 설문지 발송을 통해 회수된 설문지중 유효한 것으로 판단된 50개를 분석하였으며, '교육 및 인력육성(On/Off-Line) 지원 강화,' '보안관련 관리 및 대책수립,' '자격/검정제도를 통한 보안전문가 위상 강화'가 기업의 기밀(고객 개인정보 포함) 보호를 위해 정부차원에서 가장 우선적으로 지원해야 할 정책 방향 1, 2, 3 순위로 조사되었다. 산업보안을 위한 정부 지원의 확대가 필요한지에 대해서는 조사 대상자 모두 필요하다고 응답하였다.

중재절차 중 '화해의 유도'와 '조정-중재'제도의 구분 필요성에 대한 연구 (Study on the Need for Distinction Between "Award by Consent" and "Med-Arb")

  • The Mediation-Arbitration hybrid is becoming more popular since it makes an amicable relationship and thorough statement possible. The Mediation-Arbitration hybrid has been used to take advantage of both dispute resolution methods. In a Med-Arb process, negotiating a resolution to disputes is attempted with a mediator's help. If the mediation ends in an impasse or issues remain unresolved, parties can move on to arbitration. Med-Arb can also be cost-effective when disputants hire one person to serve as mediator and arbitrator (Med-Arb-Pure). However, it can disturb the fairness and neutrality of arbitrators, and awards can be annulled. Indeed, "Award by Consent" is different from the "Med-Arb-Pure" process. Arbitrators easily confuse them. Only the parties settle on the arbitral proceedings' course, and the arbitrator can help them (award by consent). The role and skill of a mediator are different from an arbitrator's. Disputants have the right to use a mediator who specializes in mediation. Moreover, mediation communication confidentiality is the essential value of mediation, and this should be protected. Therefore, in the process of "Med-Arb," separation between mediating and arbitrating is a better choice to specialize in each expertise. In this process, "Med-Arb" can be an affordable, expeditious, proper, and effective method of resolving international commercial disputes and continuing ADR prime time.

지식재산권 분야의 국제상사조정제도와 활용 - WIPO조정을 중심으로 (Recent Trends and Use of International Commercial Mediation in The Area of Intellectual Property Rights - Focused on the WIPO Mediation)

  • International commercial mediation of intellectual property rights fully meets the interests of the parties in such disputes in terms of their needs for neutral forum of dispute resolution, cost-effective settlement, objective opinion of relevant experts, internationally enforceable solution. In addition, as a procedural flexibility, respected self-determination of the parties, exploration of possible creative business solutions, maintenance of business relationship and confidentiality of mediation are major characteristics which can be competitively differentiated from the lawsuit or arbitration. The settlement agreement as a result of the WIPO mediation has an effect of contract while the settlement agreement as a result of most domestic ones has an effect of judicial reconciliation which can be domestically enforced. The latter is not subject to the application of the Singapore Convention on Mediation which establishes a harmonized legal framework for the right to invoke settlement agreements as well as for their enforcement. The WIPO international mediation system and its experience may be a good reference for Korea to take an initiative to establish a globally competitive international mediation system in the area of intellectual property rights.

온라인분쟁해결제도의 활용과 발전방향에 관한 연구 (A Study on the Utilization and Development of Online Dispute Resolution System)

  • Rapid development of computer and telecommunication technology brought out the expansion of electronic commerce which is the new type of business transaction. Offline transaction can lead to problems and disputes the same is for cyberspace transactions. However ADR is not meet for the online transaction for speed, cost and open network system, ODR methods to resolve electronic commerce conflicts is crucial for building confidence and permitting access to justice in an online business environment. And ADR refers to processes other than judicial determination in which an impartial person assists those in a dispute to resolve the issues between them. ODR refers to ADR processes assisted by information technology, particularly the internet. ODR has been available since 1996. Its development can be as passing through three broad stages : hobbyist, experimental, entrepreneurial, institutional phrase. Also, ODR has adapted a range of traditional ADR for use online, including arbitration. mediation. facilitated negotiation and case appraisal. Mediation and arbitration have been the most prevalent forms of ODR. ODR is the burgeoning field and has created a new issues. All such issues which have been debated in the ADR are composed with ODR. But these are not limited. Some of issues are further complicated by the nature of the online environment such as confidentiality and principle of parties. Finally electronic commerce now takes place on the Internet, it is inevitable that the commercial world wants access to dispute resolution process that best suits the new commercial environment. ODR methods are processing for development and legal issues are considered by both national and international authorities.

공급망 ESG 관리에서 예상되는 분쟁 중재에 관한 연구 - 포스코와 네이버 사례를 중심으로 - (A Study on Expected Dispute Arbitration in Supply Chain ESG Management: Focusing on the cases of POSCO and NAVER)

  • "ESG management" guides companies to prioritize corporate social responsibility and sustainable development as key management objectives, going beyond mere financial performance pursuits. This approach involves creating a sustainable and robust supply chain by urging companies, acting as 'supply chain managers', to implement ESG management practices alongside their 'supply chain partners'. The domestic business community has been quick to respond to this trend, recognizing that failure to adhere to ESG standards set by organizations such as the EU and SEC could lead to severe repercussions, including exclusion from international trade and reputational damage. POSCO and NAVER, two leading Korean companies, are at the forefront of practicing ESG management effectively. They have both produced and publicly disclosed ESG management reports, showcasing their success in enhancing supply chain ESG management. However, as supply chain managers enforce ESG-related obligations on their suppliers, the likelihood of disputes between the parties may increase. In scenarios where supply chain ESG management leads to conflicts between supply chain managers and suppliers, commercial arbitration emerges as a viable solution for dispute resolution. This method offers several advantages, including the arbitrators' expertise, time and cost efficiency, the binding nature of decisions akin to a court's final judgment, international recognition under the New York Convention, confidentiality, and ample opportunity for parties to be heard. Our analysis focuses on the emerging disputes between supply chain managers and suppliers within the context of supply chain ESG management, particularly examining the cases of POSCO and NAVER. By categorizing the expected types of disputes and assessing the appropriateness of commercial arbitration for their resolution, we highlight the effectiveness of this approach. Furthermore, we propose leveraging the Korean Commercial Arbitration Board's role to enhance the use of arbitration in resolving supply chain ESG disputes, underscoring its potential as a strategic tool for maintaining sustainable and harmonious supply chain relationships.
