스위프트(Swift)는 식육제국으로 불리우는 미국최대의 식품메이커$\cdot$최근엔 경직화된 노대국의 침체를 벗어나기 위해 비료와 석유분야에 적극 진출, 경영다각화에 힘쓰고 있다. 이와함께 해외경영에도 적극성을 보이고 있는데 우리나라엔 67년에 가동된 영남화학(3비$\cdot$총투자액 2천만$\$$) 건설에 미스켈리사와 함께 각기 25$\%$씩의 합작외자로 자본진출하고 있다.

공공기술 사업화와 벤처창업 생태계 활성화를 위해 정부의 막대한 투자로 지난 2006년 부터 1,600호 이상의 연구소기업이 등록, '21년 기준 1.1조원 규모의 매출이 발생 등의 양적 성과에도 연구소기업 1개당 평균 매출액 등의 질적 성과가 지속적으로 하락하는 문제를 인식하였으며, 연구소기업 설립형태 중 가장 시장지향적인 합작투자 형태의 기업 성과가 가장 좋았다는 연구 데이터를 시작으로 질적 성과 하락의 원인을 경영자의 기술지향성과 시장지향성을 주목하게 되었다. 본 연구는 그동안 선행연구를 통해 입증되었던 기업의 기술지향성과 시장지향성이 경영성과에 미치는 영향이 연구소기업도 실제 적용되는지 실증적 연구를 수행하였다. 본 연구목표를 달성하기 위해 총 1,289개의 현행 연구소기업을 연구대상으로 실증 분석하였다. 연구결과를 예측해보면 첫째, 기술지향성의 기술우수성, 기술집약도, 기술혁신성 모두 경영성과에 유의한 영향을 미치는 것으로 판단된다. 둘째, 시장지향성의 고객지향성, 경쟁지향성, 집입장벽 모두 경영성과에 유의한 영향을 미칠 것으로 판단된다. 본 연구결과를 통해 기술지향성과 시장지향성 모두 연구소기업 경영성과에 직접적 영향을 미치며, 연구소기업 성장에 영향을 미치는 중요 요인임을 확인하였다. 그리고 연구소기업 기술지향성과 시장지향성 강화에 대한 연구의 필요성을 규명하고, 연구소기업 설립요건 변경, 지원사업 다각화 등 정책적 변화의 필요성을 제시하였다. 향후 연구에서는 연구소기업 기술지향성과 시장지향성을 높일 수 있는 정책 연구가 필요하고, 연구소기업 질적 성과 제고를 위한 다양한 관점에서의 연구가 지속될 필요가 있다고 판단된다.

This paper aims at analyzing the use of REITs for developing student housing. To do this, firstly, the case studies of student housing REITs in U.S. are analyzed, and secondly, possibility and schemes of using REITs in Korea for the expansion of student housing. REITs are actively participated in the investment and management of student housing in U.S. and they are vertically integrated real estate investment operating companies which play a role of design-development-investment-managementconsulting. Student housing REITs can be fully used in Korea. To do this, special strategy integrating investment and management strategy should be examined. In these context, joint-venture model and PPP-conbined model are suggested to use REITs effectively.

Licensing contracts between partners in International Joint Ventures(IJV) have not only aspects of relation contract, which is interdependent and long-term cooperative relationships in interpartner but also aspects of discrete contract which is exposed to opportunistic risk caused by IJV partners who maximize individual profit instead of joint payoff maximization. In this circumstance, appropriate compensation structures such as lump-sum and royalty can reduce conflicts and spur interpartner cooperation. In addition, compensation structures that stipulate each party's rights, duties, and responsibilities under various sets of environmental conditions have strong implications for transaction cost minimization and joint payoff maximization. On the other hands, compensation structures such as lump-sum and royalty in IJV licensing contract have benefits and costs depending on IJV partners uncertainty, partner dependency, and environment uncertainty. Therefore, the purpose of this paper is to empirically show how partner uncertainty, partner dependence and environment uncertainty influence compensation structure chosen by licensor in IJV.

본고(本稿)에서는 최근 북한(北韓)의 대서방(對西方) 합영노력(合營努力) 및 무역확대정책(貿易擴大政策)으로 대변되는 개방화정책(開放化政策)의 현황(現況)과 그 문제점(問題點)에 대하여 살펴보았다. 최근 북한(北韓)의 경제활성화(經濟活性化)를 위한 새로운 움직임은 중공(中共)과 같이 실용주의(實用主義)로서의 수정(修正)이나 사회주의시장경제체제(社會主義市場經濟體制)로의 전환(轉換)이 결코 아니고 경직(硬直)된 북한경제(北韓經濟)의 구조적(構造的) 침체(沈滯)를 타개하기 위한 방편에 불과하다. 즉, 관료적(官僚的) 중앙집권경제운용방식(中央集權經濟運用方式)을 따르는 북한(北韓)의 경우 경제개방(經濟開放)의 선행요건(先行要件)인 사적소유제도(私的所有制度)의 부분적(部分的) 허용(許容)과 경영관리개선(經營管理改善) 등 어느 정도의 시장기능도입(市場機能導入)이 이루어지지 않는 한 서방(西方)과의 합작투자(合作投資)에는 명백한 한계가 있을 것으로 판단된다. 또한 북한(北韓)의 산업(産業)은 대외경쟁(對外競爭)으로부터 보호되어 왔기 때문에 비교우위(比較優位)에 의한 국제적(國際的) 전문화(專門化)를 이룬 경험이 없고 외화부족(外貨不足), 기술낙후(技術落後), 사회간접자본(社會間接資本) 미비(未備) 등 제반 제약요인(制約要因)으로 북한(北韓)의 무역증대(貿易增大)는 크게 기대하기 어렵다.

This study investigated the factors influencing the knowledge acquisition of Thai local partners from advanced foreign partners through international joint ventures(IJVs). For this purpose, this study initially identified three dimensions of characteristics in the context of IJVs that would influence local partners' knowledge acquisition - a local partners' own characteristic (absorptive capacity), a relationship characteristic with IJVs (proximity to the equal equity ownership), and a relationship characteristic with foreign partners (trust), and examined their effects on local partners' knowledge acquisition. The study further investigated the moderating effects of the tacitness of knowledge on the relationships between those characteristics and knowledge acquisition. Based on the data collected from Thai IJV local partners, results revealed that a local partners' own characteristic, absorptive capacity, and a relationship characteristic with IJVs, proximity to the equal equity ownership, had a strong positive effect on local partners' knowledge acquisition. Results further showed that the tacitness of knowledge strengthened the relationships between absorptive capacity and knowledge acquisition and between trust and knowledge acquisition, but not the relationship between proximity to the equal equity ownership and knowledge acquisition.

This study empirically investigated the relationship among knowledge transfer, network(firm network and government network) and performance Korean MNCs' subsidiaries in terms of absorptive capacity and entry mode roles in China. For this, absorptive capacity was established as an independent variable, mediating variable, and moderating variable. And the entry mode was divided into single investment and joint venture and set to the moderating variable. Data for the analysis of actual proof was randomly selected from the companies which was established more than 3 years before KOTRA 'The overseas expansion Korean company directory (2014)'. Questionnaires to 138 Chinese subsidiaries of Korean MNCs were collected by FAX and E-mail. AMOS was utilized and collected data investigated the role of the absorption capacity and entry mode as the covariance structure analysis. The empirical analysis showed that absorption capacity has a direct influence on management performance as an independent variable with the network (firm network and government network). It only has a partial mediating role between enterprise networks and management performance, and no meaningful result was gained as its moderationg role bewteen the exogenous variable and management performance. And in terms of Korean companies' moderating role in entering China, they have a moderating role between government network, absorption capacity and management performance, but did not show a statistically significant result between knowledge transfer, enterprise network and management performance. Absorption capacity, as the variable affecting overseas subsidiary's management performance, should not be considered a mediating or moderating variable, but an independent variable. Since the joint venture is showing higher performance than single investment when going into the Chinese market, implication is provided for options in overseas expansion. But this research has the limitation in generalization because it is aiming at the subsidiaries of the Korean company investing in China. Therefore, it is more desirable in the future to conduct a study of the subsidiary of the Korean company entering several countries. It also has limitations in generalization, because the research was conducted using a limited number of variables, despite there are various factors affecting the management performance of Chinese subsidiaries.

일본 LPG업계내에서 구조조정을 위한 사업자간 ‘전략적 제휴’라는 거센 물결이 일고 있다. 이는 동종업계는 물론 에너지간에도 경쟁이 갈수록 치열해지고 있는 상황에서 살아남기 위한 자구책의 일환으로 보인다. 충전기업간의 전략적 제휴는 단순한 공동충전 및 배송에 대한 업무제휴에서부터 해당기업의 합병, 공동투자를 통한 새로운 합작법인 설립 등 다양한 형태를 띠고 있다. 일본 LPG충전분야의 전략적 제휴 목적 및 이유, 현재 진행상황 및 전망등을 통해 국내 LPG충전업계의 바람직한 구조조정 방향을 가늠해본다.

This paper examined partnership and business performance of international joint venture. Based on the analysis of the sixty-three international joint venture cases, the following results were found. First, it was found that the partnership of commitment have a significant positive influences on the business performance of marketing and distribution sectors in international joint venture. Second, the partnership of complementarity have a significant positive influences on the business performance of marketing and distribution sectors in international joint venture. Third, the partnership of trust have a significant positive influences on the human resources efficiency of marketing sector in international joint venture.
