The Relationship Between Insider Ownership and Firm Performance in Up and Down Markets (쇠퇴시장과 상승시장에서의 경영자지분율과 기업성과 사이의 관계)

  • The purpose of this study is to investigated the association between the percentage of common stock held by a company's CEO and measure firm performance in down and up markets. We found that managerial ownership is associated positively with firm performance. We also found that although firms with high insider ownership generally outperform other firms, this relationship is diminished in down markets and is increased in up market. These results suggest that investment strategies based on the assumption that high insider ownership is associated positively with financial performance may be faulty in declining market.

Momentum and Ownership: The Evidence of Taiwan Stock Market (모멘텀과 투자자 지분율: 대만 주식시장)

  • This study investigates the momentum phenomena of stocks listed on the taiwan stock exchange. The purpose of this study is to examine the differences in momentum phenomena among firm size, foreign investor ownership, individual investor ownership, and institutional investor ownership. The empirical results of the momentum phenomenon in the Taiwanese stock market are as follows. First, there is no momentum phenomenon during the whole sample period. Second, momentum profitability does not exist even if this study divides by firm size. However, the results are different if this study divides it by the investor ownership. Third, there is a significant positive momentum for firms with high individual ownership. Fourth, on the contrary, positive momentum was observed in firms with low institutional ownership. Finally, there was no momentum phenomenon when dividing by foreign ownership. This study has academic contribution in analyzing the momentum phenomenon in Taiwanese stock market considering the investor's ownership.

  • 기업의 소유구조와 기업가치에 미치는 영향에 관하여는 기존의 많은 선행 연구에서 분석되고 논의되어 왔으나, 일반 제조업과는 상이한 업종상 회계상 특성을 가진 건설기업의 경영성과를 소유구조에 따라 구분하고, 그 성과를 일반 제조기업과 비교한 연구는 미진하였다. 이에 본 연구에서는 한국기업의 주요 지분율의 증감과 경영성과와의 동질성여부, 소유구조에 따른 제조기업과 건설기업과의 성과 차이, 건설기업중 소유경영자와 전문경영자간 성과 관계에 대하여 검증하고자 하였다. 본 연구의 연구결과를 요약하면 다음과 같다. 첫째, 외국인 지분율의 증가는 기업의 미래 성장성(MTB)에 긍정적 영향을 미치는 반면 내부 및 외국인의 지분율의 증가는 기업의 효율적 운영과 동질적 상호 작용을 하는 것으로 나타났다. 또한 건설 및 제조기업에 있어서 주요 지분율의 증감은(내부 지분율, 외국인 지분율, 기관투자자 지분율) 기업 경영성과 측정 지표인 MTB, ROA에 대하여 업종간 차이를 보여주지 못하는 것으로 나타났다. 마지막으로 건설기업에 있어서, 기업의 미래 성장 가능성은 전문경영자가 경영하였을 경우가 소유경영자가 경영하였을 때보다 높은 반면 얼마나 기업을 효율적으로 운영하였는가를 측정하는 ROA지표는 상이한 결과를 산출하지 못하였다.

The effects of corporate governance on the borrowing costs (기업 지배구조가 차입비용에 미치는 영향)

  • This paper investigates the impact of corporate governance structure on the firm's debt costs under different governance environments. We find that after the 2008 banking crisis, family firms with controlling shareholders benefit from lower debt cost through the strong control rights of dominating large shareholders, compared with the firms with diversified minority-shareholders. Foreign investors are related statistically to the higher cost of debt. Before the 2008 banking crisis, cash flows and growth potentials are positively associated with the firm's cost of debt.

  • 대주주들이 경영권을 직접 행사하고 있는 우리나라의 경영환경에서 기업의 의사결정은 대주주의 보유지분 정도에 따라 상당히 달라 질 수 있다. 즉, 소유경영자의 지분이 적으면 적을수록 경영자 자신의 이익과 전체 주주의 이익은 괴리되고 경영자의 경영상의 위험수용성(危險受容性)은 높아지게 된다. 이에 따라 내부지분율이 낮은 기업일수록 보다 높은 성장을 선호하고 위험성이 높은 투자대안을 선택할 가능성이 증대된다. 상기한 연구가설을 검정하기 위하여 94년부터 97년까지 4년간의 상장기업 자료를 이용하여 내부지분율과 부채비율, 그리고 성장률과의 관계를 분석하였다. 특히, 내부지분율을 포함하는 기업의 재무구조 다중회귀모형과 성장률의 다중회귀모형을 구축하여 내부지분율이 기업의 재무구조와 성장률에 대한 유의적인 설명력을 보유하고 없는지 여부를 검정하였다. 실증분석 결과는 내부지분율이 낮은 기업일수록 부채비율과 성장률이 상대적으로 높다는 연구가설을 일관성 있게 지지하고 있다. 이러한 연구결과는 정부의 기업정책에 대한 중요한 시사점을 던져주고 있다. 즉, 이제까지 기업들은 경영권에 대한 위협없이 내부지분율을 저하시킬 수 있었고, 이러한 상황에서 기업의 고부채, 고성장 전략은 소유경영자의 시각에서 볼 때는 극히 합리적인 것이었다. 하지만, 정부가 기업의 매수합병시장을 활성화시키면 많은 기업들은 경영권의 보호를 위해 내부지분율을 높이게 될 것이다. 이 경우 기업들은 보다 보수적인 경영을 하게 되어 부채비율은 낮아지고 과도한 성장정책은 지양될 것으로 예상된다. 따라서, 보다 건전한 기업경영을 유도하기 위해서는 내부지분율이 제고되어야 하고, 이를 위해서는 아직도 남아있는 매수합병의 장애요인들을 조속히 제거하는 것이 필요할 것이다.

The Effect of Managerial Ownership on the Value of Cash Holdings (경영자 지분율이 보유현금가치에 미치는 영향)

  • This study examines the effect of managerial ownership on the value of firms' cash holdings. According to the management entrenchment hypothesis, managers have incentives to make decisions that can undermine shareholders' value for their own private interests. In this situation, as the managerial ownership increases, investors may evaluate that the cash held by the company may be utilized inefficiently and the value of the cash holdings may decrease. On the other hand, based on the incentive alignment hypothesis, the value of cash holdings may increase as investors perceive cash holdings to be effectively used to increase corporate value as managers' interests are in agreement with shareholders. Empirical results show that the value of cash holdings decreased as managerial ownership increased. This study finds a contribution in that it presents empirical evidence on whether the cash held by the company is differentially evaluated according to the level of the managerial ownership.

Controlling Ownership and R &D Investment in Chinese Firms (지배주주 지분율과 연구개발 투자: 중국 상장기업을 대상으로)

  • Using 1795 observations from the 5 year-359 firm panel data collected during the period from 2009 to 2013 in Chinese stock exchanges, this study examines the impact of the controlling shareholders' ownership on R & D expenditure. This empirical study finds that when firms are state-owned, the controlling shareholders' ownership has a U shaped relation with the level of R & D expenses. A non-linear relation is also found when piece-wise regression models are applied. This empirical study also finds that when firms are private-owned, the controlling shareholders' ownership is negatively related to the level of R & D expenses, and no structural changes in the relation are found when piece-wise regression models are applied. These results support the hypothesis that the effects of the controlling shareholders' ownership on R & D expenses may differ depending on the ownership type of the controlling shareholders. This finding suggests that the differences in the controlling shareholders' incentives due to their ownership type should be considered when exploring the relation between the controlling shareholders' ownership and corporate strategic decisions.

Antecedents of the Independence of Standing Auditor: An Empirical Analysis in the Perspective of Ownership Structure (전문경영인의 지분율과 소유구조상의 특성이 상근감사의 독립성에 미치는 영향에 대한 연구)

  • A standing auditor can perform the monitoring and control activities for the opportunistic behaviors of top manager. However, for this purpose she/he must have the independence from top manager. Thus, this study is designed to analyze the factors that influences the independence of standing auditor. The independence of standing auditor as dependent variable was measured in terms of school and company ties to top manager. The relationship between the shareholding of professional top manager and independence of standing auditor, and the moderating effects of the shareholdings of related-party, institutional investors, and foreign investors were examined by implementing multiple regression and conditional moderating effect analyses. The findings present a negative relationship between the shareholding of professional top managers and the independence of standing auditor. They also reveal a positive moderating effect of the shareholding of related-party on that relationship. On the other hand, the shareholdings of foreign and institutional investors did not significant change the relationship between the shareholding of professional top manager and the independence of standing auditor. The findings imply that professional manager might be able to lower the controlling mechanism by appointing a standing auditor having low independence. Related-party as an internal control mechanism might be beneficial to reduce this effect while institutional investors or foreign investors as an external control mechanisms might not. This is the first study that examine the antecedents of the independence of standing auditor in terms of the characteristics of ownership structure. It provides a guideline for selecting an effective standing auditor with the consideration for ownership structure.

The Effect of Largest Shareholder's Ownership of Chinese Companies and the Stock Price Crash Risk (중국 기업의 최대주주 지분율이 주가급락 위험에 미치는 영향)

  • Chinese stock market often rises and falls sharply. The impact of the stock price crash risk has become a hot research field to maintain financial stability. This study starts from the perspective of the proportion of largest shareholders holding shares, and studies whether largest shareholders have more incentive to supervise management and reduce self-interest behavior of management. We use the data of Chinese listed companies from 2009 to 2019 as a sample, and study the relationship between largest shareholders and share price crash risk. Empirical research shows that the higher the proportion of largest shareholders of state-owned enterprise, the company's stock price crash risk can be significantly reduced. This study suggests that the higher the share of the largest shareholder, the lower the opportunistic behavior of managers and that information asymmetry between the company and the shareholders can be alleviated.

Managerial Ownership and Debt Choice (경영자 소유구조와 부채선택)

  • This study examines how managerial ownership structure affects the borrower's choice of private versus public debt using 2,608 firm-year data for 2006-2008. This paper investigates the relationship between managerial ownership structure and debt choice. Managerial ownership is measured using number of stocks and unexercised stock-options and debt is classified public and private debt. The results find that there is a positive association between managerial ownership and the private debt dependence and also find that when firms finance additional funds, higher managerial ownership leads managers to choose private debt not public debt. Since private debt can be classified into bank debt and non bank debt, this paper examines the relationship between managerial ownership and a choice of bank debt. The results indicate that managers with higher ownership are more likely to use bank debt over public debt and non bank debt. By examining the relation between managerial ownership and a debt choice, this paper has following contributions. First, this study shows that managerial ownership affects the choice of the source of financing using three different proxies of managerial ownership. Second, this study classified private debt into bank debt and non-bank debt and provide the evidence of preference toward private debt especially bank debt among other financing sources. Finally, there are extensive studies related to capital structure and managerial ownership, but there is little empirical research on the debt choice and managerial ownership. Thus, this paper adds to literature by exploring the effects of managerial ownership on a debt choice.
