The study of U.K.'s FSMA on the insolvency of financial institutions and implications in South Korea (금융기관 정리절차와 관련된 법률적 고찰과 시사점: 영국 FSMA와 국내 관계법률을 중심으로)

  • After studying FSMA 24, We found that the insolvency rule of financial institutions in FSMA consists of eight provisions: 1) voluntary arrangement, 2) administration order, 3) receiverships, 4) voluntary winding up, 5) winding up by the court, 6) bankruptcy, 7) provisions against debt avoidance, and 8) supplemental provisions in insurance cases. Insolvency provisions in FSMA explain powers and accountabilities of FSA in relation to these insolvency proceedings. Although there are some differences in proceedings, provisions entitle FSA the same status as creditors to petition the court, with a right to participate in related meetings and to be notified of any matters involving insolvency proceedings. The differences and implications between U.K.'s FSMA and Korean regulations are related to the insolvency rule of financial institutions. First, in FSMA, FSA has a comprehensive power to manage insolvency proceedings of financial institutions in a centralized way. However, Korean regulations have special laws to regulate insolvency in a decentralized way. The offices executing those laws are the Financial Services Committee, the Financial Supervisory Service, and the Financial Deposit Insurance Corporation. This characteristic results from an accelerated legislation procedures related to financial reform in 1997 Korean financial crisis. Second, FSA contains special provisions on continuation of contracts of long-term insurance considering the characteristics of insurance industry related to insolvency of financial institution. However, Korean insolvency rules applied to financial institutions do not consider industrial differences and the characteristics of financial contracts, so need to be supplemented in the future.

세금효과가 합병전략에 미치는 영향

  • 합병의 절세효과는 배당소득의 자본이득화, 소유구조강화의 비용철강, 합병교부주식의 액면가액과시장가치의 차이에 의한 배당소득세의 회피 가능성 등으로 발생한다. 그러나 합병에 청산소득법인세, 사업년도법인세 및 증여세 등의 증세효과도 존재한다. 순절세효과는 당해 회사의 조세상 특성에 따라 달라진다. 합병회사가 피합병회사의 이월결손금과 조세공제.감면혜택을 승계받을 수 없다. 조세적 특성의 승계단절을 우회하기 위하여 신설합병보다는 흡수합병의 형태가, 순합병보다는 역합병의 방식이 선호된다. 합병에서 임의평가증(任意評價增)의 세금효과는 여러 가지 요소에 의하여 결정되는 데. 순절세효과가 양,수일 경우는 흔치 않을 것이다. 합병비율의 조절을 통하여 소유구조변경과 증여효과를 얻을 수 있다. 합병비율조절의 유인은 증여세, 청산법인세 및 배당소득세 등의 증세효과와 원천징수의무에 의하여 감소한다. 특히, 청산법인세와 배당소득세는 실행합병비율이 1:1이 되도록 하는 요인이다. 증여유인과 증세효과로 주주집단간의 이해관계대립이 초래될 수 있다 이해갈등의 예방장치 또는 조정제도의 효율성은 실행합병비율과 공정합병비율의 괴리를 축소하는 요인이 될 것이다.

Study on the Application of Christian Education by Zeraim, Jewish Talmud (유대교 탈무드 제라임(Zeraim)의 기독교교육 적용방안에 대한 연구)

  • In the 21st century, Our Korean churches should be reborn and truly restored in the situation korean churches have been criticized socially and adversely affected Christian missions. In this situation, the researcher analyzed the Zeraim(Agriculture) of the Jewish scripture Talmud as an alternative to solving the problems of the Korean church. In order to achieve the purpose of this research, the background of the emergence of Talmud, the main contents of Talmud Zeraim, and the application of Talmud Zeraim's Christian education were divided and analyzed. Through the Jewish Talmud Zeraim, five possibilities of application were suggested to solve the problems of Korean churches. First, it is a Christian education for a blessed life. Second, it is a Christian education that pursues social justice, life, and integrity of creation. Third, it is Christian education for a life that appreciates God's grace. Fourth, it is a Christian education for realizing the commandments and practicing the teachings. Fifth, it is a Christian education that pursues conventional spirituality. Researchers believe that the mission and direction of Christian education without losing their identity and faith under the numerous hardships in history should be found in the faith and life of Jews who have regained their traditional spirituality centered on the law (Torah) and Talmud which are the God's words. From now on, the Korean church should boldly clear up its mistakes and move on to education that humbly accepts the sounds of social criticism and can make a fresh recovery.
