Interdependence of Corporate Governance Mechanisms and Managers' incentive-compensation system (기업 지배구조 통제장치와경영자 유인보상제도의 상호관련성)

  • This study confirms that there is a correlation between managers' incentive-compensation system(introduction of the compensation committee) and corporate governance mechanisms (ownership structure, proportion of outside directors, debt ratio, competitive strength), and analyzes whether firm value is affected by corporate governance mechanisms. The purpose of this paper are empirically tested using 318 firm-year data listed on the KRX from 2001 to 2010 and 2SLS(two-stage least square method) were used for the analysis of the hypotheses. The results of empirical tests are as follows. Firstly, there is no correlation between introduction of the compensation committee and corporate governance mechanisms. In addition, the results show that there is a causal relationship between some variables. Secondly, results from the analysis of the impact of corporate governance mechanisms on firm value, only introduction of the compensation committee and foreign investors ownership were analyzed as a positive impact on the firm value. This result means that most domestic firm don't actively used for managers' incentive-compensation system as a useful control device for improving corporate governance.

  • This paper was analyzed to improve internal corporate venture system in public companies. The problems of internal corporate venture systems in a public company were as follows: First, lack of the CEO's willingness in venture business was shown. The culture of venture business also was not mature; Second, the employees were behind the effort to develop their business ability; Third, the objective views are needed to screening venture items and evaluation; Fourth, to measure performance of internal corporate venture, a clear basis and measure system were needed. Fifth, the reward was restricted; Finally, the mother-company did not invest any money for the spin-outed ventures The results of the paper were as follows: First, the CEO's support and effusion of venture culture were needed for successful internal corporate venture system; Second, a public company has to provide education program for venture and information--sharing system; Third, outside consultant may be utilized in finding venture items and feasibility evaluation. Fourth, each venture team may be provided a clear object and specific evaluation system based on characteristic of each team; Fifth, performance-base reward system is needed to enhance motivation; Finally, the public company has to provide find for the spin-off venture by utilizing government system and forming venture capital funds.

사외이사 제도와 기업성과

  • 본 연구의 목적은 우리나라에서 사외이사 제도가 효과를 충분히 거두기 위한 어떠한 개선방안과 정책이 필요한가를 주로 사례연구를 통해 분석하는 것이다. 사례분석의 대상으로 POSCO, 주택은행 그리고 SK텔레콤을 선정하였다. 사례분석 대상기업들은 사외이사 제도 도입을 통해 이사회의 본래 역할을 회복되고, 이사회에서 주주이익을 위한 의사결정이 내려지고, 전반적으로 경영투명성이 향상되는 효과를 거두고 있는 것으로 분석되었다. 본 논문의 사례연구는 사외이사 제도의 발전을 위해 다음과 같은 시사점을 제공한다. 첫째, 사외이사의 독립성과 전문성 제고가 시급하며 이를 위해서는 최고경영자에 대해 유인을 제공하고 사외이사에 대한 주식연계 보상을 실시하고 사외이사 선임에서 독립성보다 전문성을 우선시 하는 것이 필요하다. 둘째, 이사회 규모를 축소해야 한다. 셋째, 이사회와 전문위원회의 역할을 분리해야한다. 넷째, 이사회와 사외이사 평가가 이루어져야 한다.

Impact of Internal Marketing on Job Satisfaction, Job Involvement, Customer Orientation and Job Performance of the Employees in Securities Firm's Branch (증권회사 지점 종사자의 내부마케팅이 직무만족, 직무몰입, 고객지향성 및 직무성과에 미치는 영향)

  • The impacts of internal marketing in the security firms have not been studied much. This study analyzes the impact of internal marketing on job satisfaction, job commitment, customer orientation, and job performance for the security firm's branches using multiple mediation model which differs from simple mediation model. The data were collected from 263 employees of securities firm's branches in Seoul, Busan and other Korean metropolitan cities. The research hypothesis was validated by the tools of SPSS 22.0 and AMOS 22.0. The results are as follows. First, among the internal marketing factors, delegation of authority, reward systems and education training had a significant effect on job satisfaction. And internal communications were shown to have a significant effect on job commitment and customer orientation. Second, job satisfaction have a significant direct impact on the job commitment, customer orientation. And customer orientation have direct impact on the job performance. Also, delegation of authority and reward systems were found to have a significant indirect effect on the job performance in mediation of job satisfaction and customer orientation. These results imply that internal marketing factors affect job performance mainly through the mediation of job satisfaction, job orientation and that specially delegation of authority and reward system affect on the performance much, which are different from other industry cases.

The Effects of Employee Participation Programs (종업원(從業員) 경영참여제도(經營參與制度)의 효과분석(效果分析))

  • This paper tests the economic effects of employee participation programs. We suggest framework that emphasizes the mutual gains through the interaction of employee participation programs with complementary practices-employment security, training, rational wage systems, information sharing and empowerment-. In regression analysis, we find positive effects on the productivity. And also we test significant differences of participation level and complementary level between win-win group(high productivity and low turnover) and lose-lose group(low productivity and high turnover) through the t-test and discriminant analysis. This facts suggest that employee participation programs contribute to mutual gains.

  • The purpose of this study was to examine the relationship between internal marketing, organizational commitment and business performance. Therefore this study is helped to build the strategies that is more efficient internal marketing and organizational commitment for the hospital business. A cross-sectional design was used, with a convenience sample of 284 registered nurses from two university hospitals, two general hospitals and two maternal-child hospital in one region. Collected data were analyzed by descriptive statistics, Pearson's correlation coefficient and multiple regression through the SPSS WIN program. The predicting factors for communication and organizational commitment had the explanation power of 41.5% in business performance by the individual. The hospital size, compensation and segmentation system comprise about 53.2% of business performance by the organizations. So, nursing leaders should be interest in the strategies for good business performance. It is possible that they implement the policies to suitable internal marketing strategies and the program to improve organizational commitment for nurses.

A Study on Technological Innovation and Employment Performance from the Perspective of Process : Focused on Small and Medium Sized Enterprises (프로세스 관점에서의 기술혁신 및 고용성과에 관한 연구 : 중소기업을 중심으로)

  • Employment in enterprises is a consecutive decision-making process based on the results of their innovative activities and it is necessary to consider this relationship as well explicitly in an analysis of the employment performance through technological innovation. Based on this critical mind, this study would analyze the structural relationships among enterprises' innovative activities, the performance of technological innovation, a compensation system and the creation of employment, reflecting the correlation of the process of the actual technology management performed simultaneously, utilizing the seemingly unrelated regression(SUR) model to estimate a simultaneous equation in addition to analyzing the relationship between technological innovation and the effect on employment with the ordered logit model to estimate a single equation as in the preceding studies. As a result of the analysis, a structural relationship could be found out, in which the execution of the compensation system would increase the performances of technical development and technology commercialization, which in turn, accelerates enterprises' employment. Especially, it is judged that enterprises' employment performance increases when technological innovation is managed from a process perspective in that the commercialization performance, as well as technical development, acts as a kind of hurdle in the effect on employment.

The Impact of Corporate Governance on the Relationship between CSR and Managers' Compensation-Performance Sensitivity (CSR과 경영자성과보상민감도 사이의 관계에 기업지배구조가 미치는 영향)

  • The purpose of this study is to analyze the impact of CSR on the managers' compensation-performance sensitivity, and to determine whether there are differences in this relationship as the governance structure is more efficient. The sample for analysis was from KOSPI-listed companies in 2011-2017, and regression analysis was performed to confirm the relevance. The results are as follows: First, in CSR company, there was a negative relationship for managers' compensation-accounting performance sensitivity and a positive relationship for managers' compensation-stock performance sensitivity. Second, CSR and the managers' compensation-performance sensitivity vary depending on the type of corporate governance. In CSR companies, when the corporate governance is effective, the managerial compensation system generally complements each other. These results suggest that there is a need to design an effective manager's compensation system within the company in order to induce managers' decision-making in the direction of increasing shareholder profits in a long-term perspective in CSR companies. In addition, if we identify the relationship with the governance structure and reduce or improve the devices that overlap each other, it is believed that it will contribute to enhancing corporate value.

  • 본 연구는 성과관리가 조직의 지속적인 성장과 발전의 혁신도구로써 조직성과에 영향을 미친다는 측면에서 공공부문의 균형성과표(BSC) 운용의 성공요인과 고려사항을 바탕으로 연구모형을 설정한 후 이를 실증적으로 분석하였다. 이를 위하여 성과관리를 위한 BSC의 추진 관리 단계인 계획, 실행, 평가, 환류, 등 순환주기에 관련된 변수들을 독립변수로 하고, 조직성과에 관련된 변수들을 종속변수로 선정하여 독립변수가 종속변수에 미치는 영향을 분석하였다. BSC를 구축 운영하고 있는 공공기관의 BSC 성과관리시스템 담당자에게서 설문조사를 실시하여 분석한 결과, BSC 운영 단계별 하위변수들은 상호간에 영향을 미치며, 조직성과에도 유의미한 영향을 미치는 것으로 나타났다. 이러한 분석결과에 따른 정책적인 시사점은 성과관리를 조직 내에 촉진 유지하기 위한 조직적, 정책적, 전략적 환경을 조성하여야 한다는 점이다. 또한 공공부문에서 성과관리제도가 실패하는 가장 큰 이유는 객관적인 평가지표가 명확히 설정되지 않았거나 보상체계가 불충분하기 때문이다. 공공부문의 경쟁력 확보를 위해서는 구성원이 전략적 사고의식을 가져야 한다.

A Study of Human Resource Practices Affecting Knowledge Sharing and Utilization in Public Organization (공공기관의 인적자원관리가 지식공유 및 지식활용에 미치는 영향)

  • Main drivers of knowledge activities such as knowledge sharing and utilization are individual members of an organization and thus knowledge management strategies should be discussed in relationships with human resource management. This study analyzes the effects on knowledge sharing and knowledge utilization of human resource management practices such as training, participation in decision-making, performance appraisal and compensation system in local government. The results show that training and performance appraisal and compensation system are significantly influential factors for the knowledge sharing and knowledge utilization. Lessons and implications of this study for management leadership are presented.
