코스닥시장 IPO의 초과수익률 원인 분석

  • 본 연구는 우리나라 IPO시장에서 나타나고 있는 초과수익률의 원인을 밝히고자 최근 벤처금융의 중심으로 급부상하고 있는 KOSDAQ시장의 공모 IPO를 대상으로 실증분석을 시도하였다. 연구결과 상장일 표본전체 IPO의 초과수익률(AR1)이 9.91%로 나타났으며, 벤처캐피탈투자 IPO는 5.13%, 비투자 IPO는 13.29%로 나타났다. 상한가의 행진이 종료된 날을 기준으로 한 표본전체 IPO의 초과수익률(AR2)은 30.97%, 벤처캐피탈 투자기업 IPO는 24.34%, 비투자기업 IPO는 34.67%로 나타났다. 초과수익률의 원인을 분석하기 위한 8개의 변수 중 IPO의 수요증감 척도인 KOSDAQ 지수는 초과수익률(AR)과는 양(+)의 관계로, 벤처캐피탈리스트들의 능력 및 가치책정의 행태를 엿볼 수 있는 변수인 본질가치와 공모가액의 차이는 음(-)의 관계로, 사업규모나 자본조달의 크기를 엿볼 수 있는 공모금액의 크기는 양(+)의 관계로 1% 유의수준에서 유의한 것으로 나타났다. 그러나 여타 변수들은 통계적으로 유의성을 확보하지는 못하였으나 초과수익률의 원인이론으로 '신호이론'과 '투기적 거품가설'에 의한 설명이 가능하였으며 분석결과를 다음과 같이 정리할 수 있었다. 첫째, IPO 본질가치에 대한 신뢰와 IPO의 발행규모에 대한 신뢰수준이 통계적으로 유의한 결과로 나타났는바 이러한 결과는 기업가치와 벤처 또는 사업의 계속적 수행 등에 대한 신호역할을 수행하고 있다고 할 수 있으며 상장초기 초과수익률은 주로 이러한 신호역할에 의한 수요집중으로 발생된 결과인 것으로 사료되었다. 둘째, 노련한 벤처캐피탈회사로 선정된 KTB의 투자기업들은 상장 후 4주간의 거래에 있어 AR 평균이 음(-)으로 여타 벤처캐피탈이 투자된 기업보다 손실 폭이 더욱 켰음에도 불구하고 상장일 초과수익률 AR2가 매우 높게 나타나 우리나라 IPO시장에 있어 과민반응(fads) 현상이 존재하고 있는 것으로 분석되었다. 셋째, 벤처캐피탈 투자 IPO의 초과수익률이 상대적으로 낮아 벤처캐피탈 투자여부가 IPO의 저가발행 수준을 축소하고 있어 벤처캐피탈리스트의 제 3자 보증역할이 어느 정도는 수행되고 있는 것으로 분석되었다.

Efficiency Analysis of Construction Firms Using a Combined AHP and DEA Model (AHP와 DEA 결합모델을 이용한 상장 건설기업의 효율성 분석)

  • Recently, many construction firms fall on hard times because construction business continues to stagnate. In this paper, we analyze the efficiency of the listed construction firms using a combined AHP and DEA model. In order to determine the input and output factors of DEA, the AHP model is applied to evaluate the importance of input and output factors. The benchmarking companies and efficiency value for the construction firms with inefficiency are also provided to improve the their efficiency. We analyzed the 57 listed companies consisted of 36 listed on KOSPI and 21 listed on KOSDAQ at the end of 2009. The analysis results show that eleven companies whose values of CCR are 1, and fourteen enterprises whose values of BCC efficiency are 1. In additions, the eleven firms have the scalability efficiency. Finally, we test the correlation between efficiency and the stock price and the correlation coefficient of efficiency group is 0.7 in the CCR model.

  • Many Korean construction companies have fallen on hard times because the construction business continues to stagnate. Therefore it is necessary to measure the management efficiency for efficient operation and strengthening competitiveness of them in order to survive a difficult situation. This paper proposes a combined ANP and DEA model to analyze the efficiency of the listed construction firms. In order to determine the input and output variables of DEA, the ANP model is applied to evaluate the importance of input and output variables. The benchmarking companies and efficiency value for the construction firms with inefficiency are also provided to improve the their efficiency. The 57 listed construction companies consisted of 36 listed on KOSPI and 21 listed on KOSDAQ are analyzed in this study. The analysis results show that 11 companies whose values of CCR are 1, and 14 firms whose values of BCC efficiency are 1. In additions, the 19 firms have the scalability efficiency. The Effect of Firm Characteristics on the Female Employment Ratio (기업특성이 여성고용비율에 미치는 영향)

  • This study examined the effects of the firm characteristics of the manufacturing industry on the female employment ratio. Three hypotheses regarding female employment ratio, were tested for 5,729 firms that could use financial data among the firms listed on the KOSPI from 2011 to 2019, in terms firm size, listing period, and foreign ownership. Follwing the analyses, three hypotheses were mostly adopted. It was found that as the size firm and foreign ownership ratio increased, the female employment ratio increased in the number of regular and permanent contract employees, fixed-term employees, and total employees. As for the listing period, the higher the value, the lower the female employment ratio in the number of regular and permanent contract employees, fixed-term employees, and total employees. These research results may be used as basic data for gender equal employment policies such as Affirmative Atcion for Gender Equal Employment.

  • This study examines the impact of political connections of Chinese listed firms on CSR(Corporate Social Responsibilities) activities. Firms recognize the political connections as 'non-market strategy' and actively utilize various benefits obtained through them for management activities. In order to utilize these political connections, there is a need for firms to implicitly perform the government's social policy obligations in return for their benefits. In particular, CSR activities in China are one of the government-led social policies unlike in the West, and the government wants firms to solve social problems through active CSR activities. In this background, this study empirically verifies whether firms with political connections are actively carrying out CSR activities required by the government from 2013 to 2019. As a result, Chinese listed firms with political connections have a positive effect on CSR activities. Especially, those with political connections with central government carry out both government benefits and social policy obligations.

Management Efficiency of KOSDAQ-listed Information and Communications Industry (코스닥 상장 정보통신업의 경영효율성)

  • Recently, competition to provide specialized services for the information and communications industry has accelerated in terms of future technology and investment strategy of the Fourth Industrial Revolution. Technological innovations related to information and communications can be seen as increasing productivity, creating added value for companies, and playing a pivotal role in the development of economic growth. Therefore, efficient management of the information and communications industry is important. This study analyzes management efficiency stones for the top 30% of KOSDAQ-listed information and communications companies using dea, presents projected values of companies for efficient operation, and confirms benchmarking company references. We evaluated CCR efficiency, BCC efficiency, ranking, Scale Efficiency(SE), and Return To Scale (RTS) of KOSDAQ-listed information and communications businesses. The analysis showed CCR efficiency of 1, 14 companies, and 1 BCC efficiency, and Nanatan companies were analyzed as ten companies. Scale yield was analyzed by the IRS as four companies, 13 CRS and 13 DRS companies.

A Study on Auditor Designation System (감사인 지정제도에 관한 연구)

  • As a part of Korean accounting reforms through the improvement of the accounting and audit related systems, the amendment bill of 'Act on External Audit of Stock Compamies's was passed in the Natinal Assembly plenary session in 2017, the amended act has been enforced except some regulations since the business year on November 1, 2018, and all the amended matters will be applied from the business year of 2024. The reasons for auditor designation in 2019 are 'pre-IPO' 331 companies, 220 periodic designation companies, 197 companies that had operating loss for three consecutive years, 112 companies with issues for administration, 108 companies with excessive debt ratio and 66 companies with no auditors. Regarding the reasons for the increase of auditor designation, 475 companies were increased in accordance with the new designation standard by the amended bill of Act on External Audit of Stock Companies, 114 companies were increased due to the abolition of the considered designation system of companies to be listed, and 90 companies were increased based on the increase of listed companies incorporated to issues for administration. In 2020, 462 companies had periodical designation (434 listed, 28 non-listed), adding 242 companies (110%) over a year. In terms of direct designation, 'pre-IPO' accounted for the most (362 companies), followed by '3 consecutive years of operating loss' (245 companies), then by companies with administration issues (133 companies), and CEO & largest sharholder replacement. Regarding the designation of auditors according to accounting firms in 2020, A group that includes(top 4) accounting firms(Samil, Samjeong, Hanyeong, Anjin) had 526 companies(34.6%), which ia an incease of 72 companies from the previous year(454 companies, 37.1%), but the weight decreased by 2.5%.
