벤처기업 M&A 활성화를 위한 스킬과 방법

  • M&A(기업 인수.합병)가 활발하다. M&A에 대한부정적 인식이 사라진 듯 하다. 그러나 현실 속에 한 발을 내디디면 커다란 벽에부닥친다. 최근 필자가 만난 한 벤처 기업 CEO는 "M&A에 대한 필요성은 느낀다. 하지만 방법을 잘 모르겠다. 잘 할자신도 없다. 팔때는 헐값에 넘기는 것 같고,살 때는 속아서 비싸게 사는 것 같다"고 솔직한 심정을 털어놓았다. 개인과 마찬가지로 기업도 성장하는 과정에서 만나는 고비와 장애물을 뛰어 넘어 한 단계 업그레이드 되는 계기가 있게 마련이다. M&A는 앞에 놓여있는 장애물을 뛰어넘기 위한 지렛대일 수도 있고,도움닫기에 필요한 뜀틀이 될 수도 있고, 화학적 반응을 촉진시키는 촉매제로도 활용가능하다. 그렇다면 벤처기업이 M&A를 잘할 수 있는기술과 방법은 어떤 것일까. M&A의 기술과 방법은 다양한 전략과 전술을섞어 수십 가지 경우의 수도 만들 수 있다. 그러나 지난 10년 동안기업 M&A를 옆에서 지켜봐온 필자의 입장에서 모든 전략과 전술에 앞선 핵심요소는 최대주주의 '욕심 버리기'와 솔직함 이다. 최대주주가 회사에 대한 솔직한 평가를 내리고,본인의 욕심을 조금만 양보하면 가장 적절한 가격과 조건에 회사를 키울수 있는 M&A가 가능하다.

  • Advertisement is an essential action for business. There are many advertisement for profit, so people can be reluctant to use advertisements if they are not very interested. In this paper, I designed and implemented advertisement system using Real-Time video and internet data in order to gain the interest of people by indirect advertisement.

  • 자동화 시스템이 발전하면서, 자동차 또한 자동화가 되고 점점 더 편리하게 발전해 왔다. 하지만, 아직까진 자동차 현황은 운전자의 운전능력에 의존하는 경향이 강하다. 본 논문에서는 이러한 사람의 운전능력에 의존해야 하는 자동차의 불편한 점을 해소하고자 개발했다. 기존의 자동차는 앞바퀴의 축이 선회하며 방향을 정한다. 그러나, 이러한 방식은 현재 운용되고 있는 기존 자동차의 기본적인 차체의 구조적인 문제로 인하여 자동차의 이동과 동선에 제약을 준다. 이 방식의 제약을 풀어버리기 위해서는 여러 방법이 있겠지만, 본 논문에서는 바퀴의 구동축이 움직이는 방식을 바꾸는 방법으로 자동차의 이동제약을 개선하고자 했다. 앞바퀴만의 방향 제어가 아닌 4개의 바퀴를 각각 제어할 수 있게 함으로써, 장애물을 피하기 위한 자동차 제어의 편의성을 더하고자 했다.

  • 주조방안이란 주형(금형)에 공동부를 어떻게 설계하고 공동부의 어떤 위치에 어떻게 탕도, 탕구 등을 설계할 것인지, 또 over-flow 및 air-vent는 어떻게 설계하여 가스뽑기 및 용탕을 공동부에 원활히 충진시켜 완전한 제품을 얻을 수 있을까에 대한 제반적인 주조방법의 계획이다. 즉, 용탕을 공동부에 충진시키는 시스템이며, 주조상에 발생하는 제문제 및 주조제품의 품질에 가장 큰 영향을 미치는 요소 중의 하나이다. 따라서 만약 주조방안 시스템이 부적절하여 불량률이 높은 경우에는 대폭적인 금형수정이나 경우에 따라서는 불가피하게 금형을 신작해야 하는 큰 문제도 야기될 수 있다. 또한 기본적인 품질문제로 탕회, 탕경, 크랙 등의 외관불량과 기동 등의 내부결함, 내압불량등도 유발될 수 있다. 그러나 이러한 불량대책으로 쉽게 주조방안을 수정하는 것은 주조 시스템 자체가 변해버리기 때문에 피해야 하며 다른 대책을 선행하여 해결할 수 없었을 때 최종적으로 신중히 검토 후 주조방안을 수정하는 것이 바람직하다. 따라서, 본고에서는 Al합금 다이캐스트 주조기술에 있어 주조품질을 결정하는 중요한 요소인 주조방안의 효과적인 설계를 위한 주조기 선정, 금형분할면 선정, 탕구계의 설계와 탕구선정, over-flow 및 air-vent설계, 수축여유 및 금형냉각방안 선정기술에 대한 기본적 방안을 제시하고 실제 주조방안의 대표적인 사례를 소개하고자 한다.

  • Attitude toward the advertising is widely used in studies of traditional mass media advertising. As internet marketing becomes more important, attitude toward the website will gain parallel status in evaluating effectiveness. And also, studies on relationship among attitude toward the website, attitude toward the advertising, attention to the commercial, attitude toward the brand, & purchase intention was needed. This study sets a hypothetical model about the relationship among attitude toward the website, attitude toward the advertising, attention to the commercial, attitude toward the brand, & purchase intention. And to testify this model, 10 hypotheses were set. The results of the analysis, all variables were related significantly.

A Suffix Tree Transform Technique for Substring Selectivity Estimation (부분 문자열 선택도 추정을 위한 서픽스트리 변환 기법)

  • Selectivity estimation has been a crucial component in query optimization in relational databases. While extensive researches have been done on this topic for the predicates of numerical data, only little work has been done for substring predicates. We propose novel suffix tree transform algorithms for this problem. Unlike previous approaches where a full suffix tree is pruned and then an estimation algorithm is employed, we transform a suffix tree into a suffix graph systematically. In our approach, nodes with similar counts are merged while structural information in the original suffix tree is preserved in a controlled manner. We present both an error-bound algorithm and a space-bound algorithm. Experimental results with real life data sets show that our algorithms have lower average relative error than that of the previous works as well as good error distribution characteristics.

3-D Gravity Terrain Inversion for High Resolution Gravity Survey (고정밀 중력 탐사를 위한 3차원 중력 지형 역산 기법)

  • Recently, the development of accurate gravity-meter and GPS make it possible to obtain high resolution gravity data. Though gravity data interpretation like modeling and inversion has significantly improved, gravity data processing itself has improved very little. Conventional gravity data processing removes gravity effects due to mass and height difference between base and measurement level. But, it would be a biased density model when some or whole part of anomalous bodies exist above the base level. We attempted to make a multiquadric surface of the survey area from topography with DEM (Digital Elevation Map) data. Then we constituted rectangular blocks which reflect real topography of the survey area by the multiquadric surface. Thus, we were able to carry out 3-D inversions which include information of topography. We named this technique, 3-D Gravity Terrain Inversion (3DGTI). The model test showed that the inversion model from 3DGTI made better results than conventional methods. Furthermore, the 3-dimensional model from the 3DGTI method could maintain topography and as a result, it showed more realistic geologic model. This method was also applied on real field data in Masan-Changwon area. Granitic intrusion is an important geologic characteristic in this area. This method showed more critical geological boundaries than other conventional methods. Therefore, we concluded that in the case of various rocks and rugged terrain, this new method will make better model than convention ones.

The Status of Infection for Infectious Diseases and Status of Infection Control in Occupational Therapy - Focusing on Busan (작업치료실의 감염 실태와 감염예방 관리 실태 : 부산지역을 중심으로)

  • Objective : The aim of this study was to investigate the status of infection for infectious diseases and infection control in occupational therapy. Methods : This study was implemented through the survey composed of the status of infection for infectious disease and the infection control and awareness of the infection control. The duration of survey was a month, June, 2016. 111 occupational therapists in 23 room of occupational therapy completed a survey. Results : 34.8% of occupational therapy room experienced the infectious diseases. This study showed the occupational therapists have high performance in almost items of infection control. But the occupational therapist showed the low performance in the items including 'Washing hands over than 15 seconds', 'Washing hands before and after wearing gloves', 'Wearing mask during treatment', 'Throwing away mask after using' and 'Washing your uniform separate from other cloths'. Almost occupational therapists think infection control is important and the education for infection control is needed in occupational therapy. But most of the education is implemented in only medical institution. Conclusion : To improve performance in infection control, individual effort of occupational therapists and institutional strategies are needed. This study will use as basic data for the education about infection control aimed at the occupational therapists.

  • The design on magazine advertisement has been developed and investigated in various fields, but the matter of properties has been inattentive in advertisement. Therefore, this study is to clarify the role of advertisement properties and the application tendency of it through the case study of the magazines for woman in Korea, and to analyze the relationship among the characteristic of manufactured goods for advertising, visual effects, copy-writing and the advertisement properties. The results of the study are as follows ; 1 . It is important to choose the discriminative property compared to the competitive company and to consider the purpose of advertisement from the beginning of idea developing. 2. Leading the photo artist to the photo working corresponding to the purpose of advertisement is critical point in advertisement design process. 3. After the photographing, it should be investigated from the designer's point of view. The presentation strategies on the application of advertisement properties are as follows, ·Conform the subject of advertisement massage. ·Choose the advertisement properties considered the relationship between manufactured goods for advertising and properties. ·Consider the properties as the supporting tool in bringing manufactured goods for advertising into relief. The pertinent application of advertisement properties is able to attract public attention and to increase the worthy of advertisement. Therefore, the prudent trial and experiment on it is needed.

The Effects of Adlerian Encouragement Program on the Interpersonal Satisfaction, Self-efficacy and Self-esteem among Elementary School Students (아들러 심리학에 기반한 격려 프로그램이 초등학생의 대인관계 만족도, 자기효능감, 자아존중감에 미치는 효과)

  • The purpose of this study was to examine the effects of Adlerian Encouragement Program on the interpersonal satisfaction, self-efficacy and self-esteem among elementary school students. The program was consisted of 8 sessions: 1st session was for introducing programs and making positive nicknames, 2nd~5th sessions were for abandoning inferiority and discouraged thoughts, displaying posters of success experiences, creating merit trees, 6th~7th sessions were for self-encouragement and other people encouragement, 8th session was for closing the program. Subjects were 40 students who were the fifth grader students at I elementary school in G city. The subjects were divided into an experimental group(N=21) and a control group(N=19). All participants were asked to complete the Interpersonal Satisfaction scale(Kim, 2010), Self-efficacy scale(Han, 2003) and Self-esteem scale(Choi & Jeon, 1993). The pretest and post-test were taken in order to verify the effectiveness of the program. The data were analyzed with ANCOVA. The results are as follows: the Adlerian Encouragement Program had a significant impact on interpersonal satisfaction and self-esteem but didn't show a significant impact on self-efficacy. The study confirmed that the Adlerian Encouragement Program had a significant effect on interpersonal satisfaction and self-esteem of elementary school students, suggesting the encouragement, a key technique in Adlerian psychology, is an important educational philosophy and method for healthy development and democratic class management.
