Guarantees of Applying Disclosure and Transparency on the Companies Listed in the Saudi Capital Market

  • By explaining the essence of corporate governance as well as disclosure and transparency, the study examined the guarantees of applying disclosure and transparency to firms listed on the Saudi stock exchange. The research also addressed the disclosure and transparency duties of firms listed on the Saudi stock exchange. Finance to prepare a prospectus, as the Capital Market Authority's regulations required that the prospectus includes information that enables the investor in securities to make his investment decision based on real foundations based on the issuing company's financial position and to ensure that companies fulfill that disclosure in the prospectus. Firms who fail to disclose are required by law to do so, and the Capital Market Authority's laws mandate companies listed on the financial market to regularly report fundamental events linked to the issuer or the securities issued by it. The Capital Market Authority must make it available to the public dealing with the business issuing the securities, and The Capital Market Authority's Law and Regulations have imposed fines on corporations that do not comply with disclosure and make the Board of Director's report available. The research focused on activities that the legislator deemed to be a breach of the obligation of openness, such as the danger of many measures aimed at ensuring the impartiality and transparency of trading in the Saudi financial market, as well as the absence of conflicts of interest. The research also addressed the sanctions imposed on The source for failing to meet the obligation of disclosure and openness, as well as the mechanisms of compensating persons harmed by the failure to meet that responsibility.

  • As Internet traffic surges due to global CPs, a request to share network investment costs has emerged in the industry. This has significantly changed the issue of the principle of network neutrality from accessibility to network fee. Some of the academic researchers had a negative view to network fees in the Internet space. However, in the industry, a number of disputes have occurred and some have escalated into court battles, and attention has been focused on the court's decision. The courts began to accept fee-for-service under network neutrality, and the government responded quickly by revising regulations. However, it still focuses on service stability, and there is no regulation that directly stipulates payment of network fee. In the study, changes in network neutrality were verified by analyzing cases of disputes between operators, court judgments, and improvement of regulations. And referring to the tragedy of the commons, the restoration of the correct price signal based on the principle of beneficiary pays was suggested as the most important solution. The payment of network fee by CP is one of the solutions.

  • Modern company faces an uncertain future and a competitive environment and are seeking new technologies and creative products to ensure the corporate growth and survival in the market through continuous innovation. "University Industry Cooperation(UIC)" is a point of contact for overcoming the crisis faced by companies and universities in this era and a cooperation platform for mutual prosperity. As a subsidiary of a university, "Technology Holding Company(THC)" is attracting attention as a new window for UIC in Korea. The role of THC is to establish and foster the business opportunities of their subsidiaries and to return investment profits to the university ecosystem again. But recently, the life cycle of technology is getting shorter, and the development cost is steadily increasing. In particular, with the increase of hybrid projects based on convergence and combination, the risk of conducting research(R&D) and new product development(NPD) projects is gradually increasing. A PMO refers to a project management organization that can contribute to improving the success rate of projects with increasing uncertainty by supporting project visibility and appropriate decision-making. The purpose of this study is to raise a research question on whether THC's corporate performance can be improved when "Project Management System(PMO Service)" is introduced into the subsidiary incubation system of THC. This study proposes several research methods to identify the relationship between the introduction of PMO and the corporate performance of THC.

  • The semiconductor manufacturing process normally includes a great number of complex sequential steps those are related with various types of equipment. Such equipments are installed with the mixed patterns of serial or parallel structures while considering a number of engineering or environmental factors at the same time. It is thus extremely difficult to change the layout after installation due to expensive costs and other related factors. Because of these reasons, a new investment or layout change, which is usually caused by the production policy such as product mix or production quantity, must be carefully considered. This case study introduces a simulation conducted in a semiconductor parts production company which produces the Board on Chip (BOC)-type of packaging substrate and has plans to change the facility layout. For this study, we used $QUEST^{(R)}$ for simulation modeling and evaluated various strategies which may cause layout changes. Further, the Analytic Hierarchy Process (AHP) is applied to select the best strategy from several alternatives with multiple decision criteria.

  • As transaction and investment using technology are vitalized, the need for objective standards for the technology is increasing. Current technology value evaluation system is limited lacking reliability and objectivity. Besides the traditional evaluation methodology which are market approach, income approach and cost approach other diverse evaluation methodology such as real option method and royalty calculation method are being studied; however currently there are no dominant evaluation methodology in the market. Same value evaluation system cannot be applied between similar technologies because value of technology is relatively decided based on the target. Approaching through collective intelligence and crowd sourcing, in meaning of majority participant's decision can make objective and better result than handful of experts, suggest alternative to problems of such matter above. By grafting the four types of crowd sourcing model which are Wisdom, Voting, Funding and Creation, this paper will discuss the ways to enhance the objectivity of technology evaluation through direct evaluation utilizing expert group and the public's indirect evaluation.

  • Unit capacity factor (utilization rate) of nuclear power plants (NPPs) is an important performance indicator. Since the first commercial operation of Kori Unit 1 began in April 1978, the utilization rate of domestic NPPs has gradually increased, reaching 90% from the end of the 1990s. However, due to various issues such as the Fukushima accident in 2011, corrosion of the CLP, the utilization rate dropped to 65~80%. In the early 1980s, the utilization rate of the U.S. NPPs was around 60%. However, since 2004, it has been consistently maintained above 90%. Therefore, in this study, we first examined the causes of declining the utilization rate in domestic NPPs. Next, the significances of the utilization rates are reviewed in five aspects: investment capability, electricity rate, safety and export, etc., with discussion on the current status of the utilization rates in the U.S. Based on this, three key factors are derived as the reasons of the increasing: equipment reliability program, on-line maintenance and the pursuit of institutional rationality. And finally, by synthesizing above results, the measures for increasing the utilization rate of domestic NPPs are proposed in terms of equipment management, institutional improvements, and personnel resources.

A Study on the Impact of ESG Performance on Firm Risk (ESG 성과가 기업위험에 미치는 영향에 관한 연구)

  • The impact of environmental, social and governance (ESG) performance on investors' decision-making is growing. Investors' focus on the financial performance of firms in the past is expanding to the non-financial performance of the interests of stakeholders surrounding firms. Against this backdrop, this study conducted a panel regression analysis on firms evaluated by Korea Corporate Governance Service to analyze the impact of ESG performance, a firm's non-financial performance, on firm risk. According to the analysis, ESG performance has a negative (-) effect on all three firm risks (systematic risk, unsystematic risk, and total risk), indicating that the stakeholder theory and risk management theory are supported. The implications of this study are: First, ESG reduces not only unsystematic risk but also broad and indiscriminate systematic risk; Second, investors can reduce the risk of their investment portfolio by executing ESG investments; Third, companies can achieve stable financial performance even in adverse circumstances by utilizing the insurance function of ESG management; Lastly, the government can enhance the stability of the financial market while improving the financial soundness of firms through reasonable ESG-related regulations.

Predicting the Baltic Dry Bulk Freight Index Using an Ensemble Neural Network Model (통합적인 인공 신경망 모델을 이용한 발틱운임지수 예측)

  • The maritime industry is playing an increasingly vital part in global economic expansion. Specifically, the Baltic Dry Index is highly correlated with global commodity prices. Hence, the importance of BDI prediction research increases. But, since the global situation has become more volatile, it has become methodologically more difficult to predict the BDI accurately. This paper proposes an integrated machine-learning strategy for accurately forecasting BDI trends. This study combines the benefits of a convolutional neural network (CNN) and long short-term memory neural network (LSTM) for research on prediction. We collected daily BDI data for over 27 years for model fitting. The research findings indicate that CNN successfully extracts BDI data features. On this basis, LSTM predicts BDI accurately. Model R2 attains 94.7 percent. Our research offers a novel, machine-learning-integrated approach to the field of shipping economic indicators research. In addition, this study provides a foundation for risk management decision-making in the fields of shipping institutions and financial investment.

  • In today's business landscape, collaboration and interoperability are crucial for organizational success and profitability. However, integrating operations across multiple organizations is challenging due to differing roles and policies in Identity and Access Management (IAM). User-centric identity (UCI) adopts a personalized approach to digital identity management, centering on the end-user for authentication and access control. It provides a decentralized system that ensures secure and customized access for each user. UCI aims to address complex security challenges by aligning access privileges with individual user requirements. This research delves into UCI's ability to streamline resource access amidst conflicting IAM roles and protocols across various organizations. The study presents a UCI-based multi-domain access control (MDAC) framework, which encompasses an ontology, a unified method for articulating access roles and policies across domains, and software services melding with UCI infrastructure. The goal is to enhance organizational resource management and decision-making by offering clear guidelines on access roles and policy management across diverse domains, ultimately boosting companies' return on investment.

Current Status of Farming Succession to Young Farmers and Major Policy Tasks (청년농 영농승계 실태와 주요 정책과제)

  • This study analyzes the current status of farming succession among young farmers and reviews policy measures to revitalize farming succession. In order to analyze the current status of farming succession to young farmers, a survey was conducted on 186 graduates of Korea National University of Agriculture and Fisheries who are engaged in farming. According to the analysis results, the respondents' farming succession method had a high proportion of intra-family gift and inheritance (56.5%), and the reason for farming succession was mainly due to lack of farming ability due to aging of parents or grandparents (87.6%). Among the difficulties faced by young farmers in the process of farming succession, it was found that the degree of difficulty was high in securing farmland, lack of investment in facilities and operating funds, lack of legal information on gifts and inheritance, and communication problems with parents. A plan to revitalize farming succession for sustainable agriculture is presented as follows. First of all, we are seeking a way to stably hand over the agricultural base of older farmers to young farmers. Second, it is necessary to seek alternatives for the succession of agricultural assets. Third, policy support is needed to solve the difficulties of farming succession. For example, expanding retirement income support for transferred farmers or strengthening support to promote succession to young farmers. Fourth, it is necessary to build a foundation such as consulting and information provision to solve problems that arise in farming succession within the family. Fifth, there is a need to review an effective farming succession plan by converting the management body into a corporation and distributing decision-making rights.
