Where a paper document, a manual signature, or negotiability is required in statute, then solutions must be found through a change in the law. However, where the problem originates in commercial usage, then the solution can be easier, and speedy. Certainly, nearly all of the functions that paper document provides can be equally, or better, satisfied by electronic means. That is, Electronic Commerce(EC), which has been increasing rapidly and is a new type of transaction, may be hindered by legal obstacles to use of Electronic Message, or by uncertainty to its legal effect and validity. Therefore, it is important to sustain legal effect to Electronic Message for the prosperity of EC The one of solutions is to use reliable Electronic signature system by Certification Authority to verify the authenticity of Electronic Message.

정보기술의 발달은 상거래 분야에서 인간이 아닌 기계 장치 소프트웨어 간의 거래가 이루어지도록 하였다. 이는 자율성이나 대화성 등의 능력을 갖추고 대리인의 기능을 하고 있다. 또한 기술이 발달함에 따라 이의 역할은 더욱더 확대될 것으로 예측된다. 그러나 그럼에도 불구하고 전자대리인에 대한 법적 지위에 대해서는 지금까지도 논란이 지속되고 있다. 특히 상거래에 있어서는 계약의 유효성과 귀속의 문제 등이 발생한다. 따라서 본 논문은 이러한 문제를 해결하기 위해 두 가지 제안을 하고 있다. 첫째, 법규의 제정과 보완이다. 전자대리인에 의해 이루어지는 전자적 의사표시의 성립과 효력 등의 내용을 민법에 수용하여 이에 대한 규정을 두고 귀속의 문제에 대해 전자대리인을 장기적으로 대리법적 접근 방법을 취하여 이에 대한 책임문제를 본인에게 귀속시켜야 한다. 둘째, 실무적 측면에서 쇼핑몰과 같은 웹사이트를 운영하는데 있어 거래와 계약의 효력에 대해 일반 협정조건을 제공하여 사용자로 하여금 계약에 구속됨을 명시할 수 있어야 한다.

본 논문에서는 날로 정보화 되는 사회 환경 하에서 다수의 계약자가 계약올 처리할 수 있는 전자계약시스템 에서의 위험요소를 분석하고 그에 따르는 디지털 다중 서명의 요구조건을 제시하였으며 지금까지 개발된 기존의 디지털 다중 서명 방식들을 전자계약시스템에 효율적으로 적용하고 새로운 다중 서명 방식을 제안하 였다 또한 제안 방식의 실제 예를 통해 전자 계약 시스템에 적용시켜 보았고, 각 방식별 요구조건 만족도를 검토하여 그 적용성과 효율성을 비교평가 하였다.

현대사회 최근 정보통신기술의 비약적인 발전과 인터넷 이용의 폭발적인 증가에 따라, 인터넷을 이용한 전자상거래(Electronic Commerce)가 새로운 경제활동의 영역으로 정착되어 가고 있다. 시대의 흐름에 따른 전자거래는 새로운 형태의 거래라는 점에서 법률적인 문제도 많이 야기되고 있는 상황이다. 그러나 전자거래를 규율할 수 있는 법제도적인 정비의 구축과 전자거래의 이용관행이 아직 확립되지 못한 실정이다. 인터넷 전자거래에 있어서 구매계약의 체결은 전자문서교환(EDI)방식에 의하여 체결된다 할지라도 그 성질상 당사자간의 교환약정이 불특정 다수인을 상대로 하는 인터넷 전자거래에 그대로 적용될 수는 없을 것이다. 이러한 인터넷 전자거래계약의 주된 법적 문제 중 하나가 계약의 성립을 들 수 있다. 전자거래기본법에서 송신시기와 수신시기를 논한다는 것은 이미 전자거래가 격지자간의 거래로 볼 필요성이 있음을 전제로 한 것이므로 격지자간의 계약으로 보아야 하기 때문이다. 우리민법은 대화자간의 계약과 격지자간의 계약으로 구분하여 계약의 성립시기를 달리 정하고 있는 민법의 규정은 불합리하다고 할 수 있기 때문에 양자 모두 동일하게 도달주의의 원칙으로 정하여야 할 것이다.

Legal rules applying to the commerce and international commerce in particular contracts, proper law, jurisdiction and so on, have improved with time and experience. Engaging in e-commerce on the World Wide Web may expose the company to the risk of being sued in any foreign country where Internet user can establish a legal claim. The modem law of contracts is highly sophisticated and difficult to understand. With contracts created in cyberspace, the basic rules are no difference that we can find. However, there are situations in e-commerce that are altogether new and to which the existing rules cannot apply. Here uncertainty and business risk is too high for trading partners to deal with certainty. Therefore existing law must change to e-commerce law so that it provides certainty and enforceability over e-commerce. UNCITRAL Working Group on Electronic Commerce prepared the Preliminary Draft Convention on [International] Contracts Concluded or Evidenced by Data Message from the thirty-ninth session in 2002 which applies to international contracts concluded or evidenced by means of data messages. An electronic contract is concluded when the acceptance of an offer becomes effective, and an offer becomes effective when it is received by the offeree, and an acceptance of an offer becomes effective when the indication of assent is received by the offeror according to this Convention. Electronic contract may be concluded by the interaction of an automated computer system and natural person or by the interaction of automated computer systems, and a contract formed by a natural person that accesses an automated computer system of another person has no legal effect in case the neutral person made a material error in a data message.

네트워크의 성장은 전자상거래의 중요성을 증대시켰다. 그리고 공정교환 프로토콜은 전자상거래의 중요한 부분을 차지하므로 공정교환 프로토콜에 관련된 많은 연구들이 이루어졌다. 계약서 서명 프로토콜은 공정 교환 프로토콜의 일부로서 많은 연구가 이루어졌지만 대부분은 양자간 프로토콜에 집중되었다. 그리고 다자간의 계약서 서명 프로토콜에 대한 연구는 부족하였다. Baum-Waidner가 제시한 다자간 계약서 서명 프로토콜이 지금까지 알려진 가장 적은 수의 라운드를 가지는 비동기방식의 낙관적인 다자간의 계약서 서명 프로토콜이다[4]. 하지만, 낙관적인 다자간의 계약서 서명 프로토콜이 필요로 하는 라운드수의 하한은 알려지지 않았다. 본 논문에서는 낙관적인 다자간의 계약서 서명 프로토콜이 필요한 라운드수의 밀착 하한을 제시한다.

There are situations in e-commerce that are altogether new and to which the existing rules cannot apply. The uncertainty and business risk is too high for trading partners to deal with certainty. Therefore existing law must be changed to e-commerce law so that it provides certainty and enforceability in the e-commerce. Legal rules applying to the commerce and international commerce, in particular, contracts, proper law, jurisdiction and so on, have improved with time and experience. It has been found that the problems arising in the context of e-contracting were due to the absence of experience in electronic contracting and an absence of knowledge on how best to solve the problems. Thus, UNCITRAL Working Group on Electronic Commerce held an extensive discussion on issues related to electronic contracting and prepared and revised the Preliminary Draft Convention on International Contracts Concluded or Evidenced by Data Message from the thirty-ninth session in 2002 and prepared the Draft Convention from forty-first session which applies to international contracts concluded or evidenced by means of data messages. An electronic contract is concluded when the acceptance of an offer becomes effective, and an offer becomes effective when it is received by the offeree, and an acceptance of an offer becomes effective when the indication of assent is received by the offeror according to this Convention. Electronic contract may be concluded by the interaction of an automated computer system and natural person or by the interaction of automated computer systems, and a contract formed by a natural person that accesses an automated computer system of another person has no legal effect in case the neutral person made a material error in a data message. The purpose of this paper is to raise the understanding of the Convention on the Electronic Contracting by studying the contents of Draft Convention on Electronic Contracting and comparing Draft Convention with preliminary Draft Convention and finding the difference, characteristics and problem.

The area of business applications in the internet are extended enormously in result of fast development of computing and communication technologies, increase of internet use, and use of intranet/extranet in enterprise information system. Widely spread the use of the internet, there are various applications for Business to Business (B to B) or Business to Customer(B to C) model that are based on the intranet or extranet. This paper designed and implemented the Web-based Electronic Bidding System for Business to Business (B to B) model. The technical issues of electronic bidding system in the internet are involved in the connection between web client and server, electronic data interchange for the contract document, and security solution during the bidding and contracting processes. The web-based electronic bidding system in this paper is implemented using Java applet and servlet as a connection interface for web client and server, XML/EDI-based documents for a bid and a contract, and bidding server and notary server for enhancing the security using PKI(Public Key Infrastructure)-based public key cryptography, digital signature and Certification Authority(CA).

최근 블록체인 기반의 어플리케이션이 증가하고 이들을 위한 스마트 컨트랙트가 설계상 오류로 부적절하게 사용될 가능성이 증대되고 있다. 따라서 스마트 컨트랙트의 설계를 보다 안전하게 지원할 수 있는 방안이 필요한 실정이다. 본 논문에서는 State machine을 이용하여 이더리움 스마트 컨트랙트의 기능사용을 보다 안전하게 지원하기 위한 기법을 제안한다. 제안된 기법은 전체 동작의 흐름의 제어하기 위한 Transition Contract와 각각 상태에 대한 스마트 컨트랙트인 State Contract를 이용하여 스마트 컨트랙트의 동작과정을 제어한다.

현대에 거래되는 재화의 종류는 소비형태의 변화에 의해 급속도로 많아지고 있다. 그러나, 거래되는 재화의 종류가 많아진 만큼 이에 대한 정확한 가치판단이 흐려지는 경우가 발생한다. 미술품, 창작물 등의 재화는 소비자가 올바른 가치를 판단하기 어렵다는 단점이 크게 부각되고, 거래 형태 또한 다양하여 이에 대한 신뢰성을 보장받기 힘들다는 문제가 발생한다. 다양한 재화에 대한 접근성이 확대된 현재, 이러한 단점들은 공유경제 시장의 안정성을 저해하는 요인으로 꼽힌다. 본 논문에서는 이러한 문제점을 해결하기 위하여 신뢰성 있는 중개인을 통한 블록체인 기반의 재화 계약 서비스를 제안한다. 제안한 서비스는 이더리움 블록체인에서 동작하는 스마트 컨트랙트를 사용하여 신뢰성 있는 중개인을 등록하고 재화의 가치검증 및 계약 과정에 사용한다. 또한 재화의 등록 내용, 제안 및 계약 과정을 블록체인에 등록하여 계약 과정의 신뢰성을 보장한다. 모든 동작 과정은 스마트 컨트랙트에 등록되고, 이더리움 블록체인의 트랜잭션 히스토리에 저장되므로, 등록된 데이터의 신뢰성을 보장할 수 있다. 또한 등록, 제안 및 계약의 전 과정이 스테이트 머신 기반의 스마트 컨트랙트에 의해 동작하기 때문에 사용자는 계약 과정을 보다 안전하게 제어할 수 있다.
