한국에서의 신의성실 원칙에 관한 연구: 개념 및 적용 (A Study on the Principle of Good Faith in Korea : Concept and Application)

  • Good faith is difficult to define due to the facts that there is not an objective and concrete concept of good faith, and good faith in contracts for the international sale of goods is a principle that parties to the contract must act with sincerity as members of a social community. The Korean Supreme Court shall pay attention to setting the applicable standards that can be universally applied to good faith based on the self-established criteria. Through such effort, it is possible not only to realize the value of concrete validity pursued by the general clause of good faith but also to realize the value of legal stability by assuring the predictability of results when applying good faith. In the modern sense, it can be said that the arbitrary application of general rules rather than the escape and general clauses is a problematic situation in the application of good faith, but this problem can be solved by setting a reasonable standard of good faith. This paper studies good faith in the view of Korean law, international laws, and related cases in contract law. The purpose of this paper is to find the problems and solutions of the practical application of good faith by analyzing the Korean case (2009Da86000), which undermined the legal stability of good faith in Korea.

A Study on the Role of Third Party in Import and Export Management

  • Purpose - This paper is to examine the work of a third party in the process of import and export management. In other words, the purpose of this paper is investigate the status and functional role of a third party in relation to each terms of the trade contract. Research design, data, methodology - This study consists of 5 chapters through literature survey. It will examine the involvement of the third party through each terms. Chapter 1 introduction, Chapter 2 deals with trade contracts, Chapter 3 investigates the shipping terms, payment terms, and insurance terms, and Chapter 4 reviews with commercial arbitration. And in Chapter 5, it looks at the conclusion and implications. Results - The relevant party in the import and export management process may be a third party through outsourcing, not the principal. At this time, in fulfilling each condition of trade, it can be seen that the implementation of tasks through the participation of a third party with high expertise can more smoothly and productively implement the overall import and export management. Therefore, it can be seen that the implementation of the trade business in which the third party participated can be interpreted in terms of derivative effects and at the same time can be a way to improve the principal's competitiveness procedurally. Conclusions -Through this study, in the import and export management, the performance of the work through the agent makes the entire process more smooth and efficient. Outsourcing of roles using the expertise of a third party, a subcontractor rather than a principal, is desirable and important.

프로세스 마이닝을 이용한 군수품 계약업무 분석 : 공군 군수사 계약업무를 중심으로 (Analysis of Munitions Contract Work Using Process Mining)

  • 군수물자의 적기 조달은 군의 작전능력 유지를 위해서 필수적이며, 계약업무는 적기 조달을 위한 첫 단추라고 할 수 있다. 또한 신속한 계약체결은 수요자의 여유로운 납기설정을 가능케 하며, 예산 집행의 가능성을 높여주기 때문에 예산의 조기집행과 이·불용 방지를 위해서도 계약 프로세스 개선이 필수적이다. 최근 빅데이터를 이용한 연구가 여러 분야에서 활발히 진행되고 있으며, 빅데이터를 이용한 프로세스 분석 및 개선 기법인 프로세스 마이닝 역시 민간에서 널리 활용되고 있다. 하지만 군 내 계약업무에 대한 분석은 업무 담당자의 경험과 단편적인 정보를 활용한 이·불용 문제사례별 원인 파악 및 대응적 모색과 같은 개별적 분석수준에 그치고 있다. 본 연구는 계약 프로세스 개선을 위해 공군 군수사령부 재정처가 2019년 11월부터 약 1년간 직접 계약한 총 560건의 계약업무에 관한 데이터를 가지고 프로세스 마이닝 기법을 이용하여 분석하였다. 분산된 데이터를 종합하여 프로세스 맵을 도출하고, 프로세스의 흐름, 수행시간 분석, 병목 분석 및 추가 세부분석을 실시했다. 분석결과 다수 계약 건에서 의뢰 후 재검토/수정이 반복 발생하고 있음을 발견할 수 있었다. 반복적인 재검토/수정은 원가계산 완료까지의 소요일수 지연에 크게 영향을 미치고 있으며, 이는 병목 지점 시각화를 통해서도 명확하게 드러났다. 재검토/수정은 계약의뢰가 많은 상위 5개 부서에서 60% 이상 발생하고, 의뢰가 집중되는 상반기에 주로 발생하는데 이는 소요부서의 계약의뢰 전 면밀한 사전검토가 필요함을 의미한다. 그리고 재정처의 계약업무는 법령에 따른 절차대로 수행되고 있었으나, 일부 업무의 순서조정이 필요함을 알 수 있었다. 본 연구는 군 내 계약업무 분석에 프로세스 마이닝을 이용한 첫 사례이다. 이를 기반으로 프로세스 마이닝을 군대 내 다양한 업무에 적용하기 위한 연구가 더욱 수행된다면, 각종 업무의 효율화를 이끌어 낼 수 있을 것으로 기대한다.

  • The medium and small logistic companies that have an outsourcing contract from the large corporation are encountered with a problem to introduce the ERP system to their current business environment due to following risk of change in current business environment, high cost involved in investment, and lack of understanding of business requirement of ERP. Instead of build their own ERP system, the small and medium logistic companies are using the large corporation's ERP system and get the benefit of efficiency in management and control process. Therefore, it is more like the organization hierarchy, not collaboration between the medium and small companies with the large corporation. In this study, the survey method to find out how the medium and small logistic companies understand the importance of ERP system on continuous growth of business by AHP. as result, they are recognized. The benefit of the ERP system as having much effect on business competitiveness.

A Study on the Institutional Improvements in the Operation and Management of Underground Shopping Malls

  • Purpose: The purpose of this study is to analyze the method of calculating the usage fee, rent, and lease rights of public goods necessary for the operation and management of the underground shopping mall, and to suggest systematic improvement points for the operation of the underground shopping mall. Data and Methodology: First, ordinances and regulations related to common property were investigated. Second, previous studies were analyzed. A survey was conducted with five questions that conflict with the interests of underground shopping mall merchants among the ordinances and operating systems related to the current underground shopping malls' common property. Results: Underpass merchants wanted monthly payment for the use of common property, and merchant organizations wanted to limit the increase rate with the right to use. They asked for the property value due to donation to be excluded from the loan fee, they wanted to revise the Common Property Act on the transfer of lease rights, and they wanted to revise the loan contract renewal period. Conclusion: There is a need to improve the laws and systems for underground shopping malls, and it will have to be negotiated according to the opinions of the merchants gathered among them, and it will have to be implemented in stages in the long term.

항만공사와 터미널운영사간 최적임대계약 결정에 관한 모형 (A Study on the Optimal Concession Contract Decision Model between Port Authority and Terminal Operators)

  • 오늘날 선사 간 제휴 및 기술진보 등 세계 해운환경의 급격한 변화로 항만 간 경쟁이 더욱 치열해지고 있으며, 이에 따라 항만물류서비스를 제공하는 항만공사와 터미널 운영사 간의 협력이 매우 중요하다 하겠다. 항만들은 터미널운영사와 다양한 방식으로 임대 계약을 체결하고 있으며, 터미널 운영사는 산정된 임대료 하에서 최적 운임을 결정하여 수익을 창출하고 있다. 이와 같은 상황에서 본 연구는 항만공사와 터미널운영사의 상호 이익을 극대화하는 계약 방식 도출을 목적으로 하고 있다. 즉, 본 연구는 항만공사의 이익 극대화에 초점을 맞춘 기존 연구들과 달리, 항만공사와 터미널 운영사 간의 공유이익 극대화 측면에서 최적화 계약방식을 도출하고자 한다. 이러한 맥락에서 본 연구는 항만공사와 터미널 운영사 간의 네 가지 유형의 계약방식들을 과점시장 모형인 Non-cooperation, Cooperation, Cournot 및 Collusion 모델을 상호 비교하여 각 모형의 균형을 도출하고자 한다. 본 연구의 결과 two-part tariff 계약방식이 fixed contract 및 unit contract 계약방식에 비해 항만공사와 터미널운영사간의 공유이익이 많이 창출되는 것으로 분석되고 있다. 이는 two-part tariff 계약방식의 경우 항만공사와 터미널운영사가 수익과 위험을 상호 공유하므로 터미널 운영사는 보다 많은 물동량 확보를 위해 노력을 하게 됨에 따라 공유 이익이 극대화되는 것으로 사료된다. 본 연구는 향후 항만공사와 터미널운영자 간의 항만임대료 및 운임 결정을 위한 의사결정과정에서 중요한 이론적 토대를 제공할 수 있을 것으로 기대된다.

군직 창정비 수리부속 보급 PBL 사업을 위한 RAM-C 기반 비용 예측 방안 연구 (Research on RAM-C-based Cost Estimation Methods for the Supply of Military Depot Maintenance PBL Project)

  • With the rapid advancement and sophistication of defense weapon systems, the government, military, and the defense industry have conducted various innovative attempts to improve the efficiency of post-logistics support(PLS). The Ministry of Defense has mandated RAM-C(Reliability, Availability, and Maintainability-Cost) analysis as a requirement according to revised Total Life Cycle System Management Code of Practice in May 2022. Especially, for the project budget forecast of new PBL(Performance Based Logistics) business contacts, RAM-C is recognized as an obligatory factor. However, relevant entities have not officially provided guidelines or manuals for RAM-C analysis, and each defense contractor conducts RAM-C analysis with different standards and methods to win PBL-related business contract. Hence, this study aims to contribute to the generalization of the analysis procedure by presenting a cost analysis case based on RAM-C for the supply of military depot maintenance PBL project. This study presents formulas and procedures to determine requirements of military depot maintenance PBL project for repair parts supply. Moreover, a sensitivity analysis was conducted to find the optimal cost/utilization ratio. During the process, a correlation was found between supply delay and total cost of ownership as well as between cost variability and utilization rate. The analysis results are expected to provide an important basis for the conceptualization of the cost analysis for the supply of military depot maintenance PBL project and are capable of proposing the optimal utilization rate in relation to cost.

  • This paper is a development of the integrated system which combined Manure Pallet Pool System(MPPS) and Agricultural products Pallet Pool System(APPS). It is an management tool which helps to reduce logistics costs successfully and Improve pallet availability. Already traditional PPS was implemented by pallet rental company, but it was irrationally. So this paper proposed MPPS-and-APPS describes how to combine MPPS with APPS, operates this system and measure rental pallet rates. Using a newly developed management technique for MPPS-and-APPS, i.e., 2-dimensional contract, this system will needs motivate managers and employees to improve their company's value. And it allows enterprise leaders to create profit through system structure improvement. Furthermore, this paper is useful for performance of measure and application in operational unit.

LCL 화물의 국제 해상운송 운영 개선 방안 제시 (The improvement of the operation for lcl international transportation)

  • Although all costs concerned in transportation be separated by region and each terms and conditions of Incoterms that state cleary them who have to pay the charges. But, almost lcl exporters donot want to pay their charges the carriers at loading port eventhough they make the contracts with the importer as FOB and CFR of Incoterms. And the carrier have been do not bill the FOB charges to the shipper. Now, there are no more Incoterms in LCL transportation. So, the importer have been payed loading port charges twice, first, the contract with the shipper, secondly, through the destination charge. These problems make decreasing of trading volume and increasing of logistics costs. We suggest every traders and carriers separate the costs as per the price terms and conditions of incoterms and bill/receive the costs separated the trader who have to pay the charges as per their price terms. It will bring mutual success in the world and increasing trade.
