인수합병(M&A) 이후 HR 활용: D사의 사례를 중심으로 (A Study on between Human Resource Management and Merger and Acquisition: The case of D company)

  • A company have to grow constantly. If a company does not grow and stagnant, it will be finally out of the market. The contemporary companies fully make use of M&A to search for new growth engines. The reason of companies using M&A as a important tool of a business strategy is the fastest way to achieve technology power, market power, competitiveness. The form of M&A was that leading companies take over smaller companies or merger and acquisition between small companies in the middle of 2000. But now, Mega mergers between industry leading companies often occur and especially domestic of course M&A of foreign companies occurs actively. These days the boom of stock market and the big companies are pouring on sale by restructuring, privatization and the basis of low interest will make the M&A market continuously. In this study, I suggest a solution of actual human resources management by analyzing proven M&A cases and search for various problems of a gap in the leadership and communication in connection with integration of organization culture after M&A. First of all, I arrange the theoretical concept of the subject and analyze the key factors of the success M&A cases, lastly I suggested a HR strategy after M&A. After M&A, HR strategy is ; First, a company have to build a organization culture which is that merger company accommodate a excellent organizational characteristic of predecessor company with consideration of culture difference. Second, M&A must proceed to remove of anxiety about the future and employment stability by excellent leaderships. Third, organization integration after M&A is influenced by the level of integration for that reason it was verified that M&A have to make progress by communication of each 2 organizations.

중소 IT 서비스 기업 소프트웨어 인력의 이직 의도, 직무 배태성 및 직무 만족, 인사관리 프랙티스 간의 관계에 관한 연구 (A Study on the Relationships among Turnover Intention, Job Embeddedness and Job Satisfaction, and Human Resource Management Practices of the Software Personnel in Small and Medium Sized IT Service Firms)

  • This study aims to suggest research implications that may contribute to preventing turnover of personnel in small and medium sized software companies. A research model is developed based on the Bergiel, et al. (2009) and Woo and Hwang (2010). This model describes how human resource management (HRM) practices (compensation, recognition, job autonomy, technical capability development, work-life conflict) affect turnover intention, through the mediating effects of job satisfaction and job embeddedness. 177 questionnaires are collected and analyzed. Validity and reliability of measures, and appropriateness of the structural model are verified. Results of the hypotheses testing are somewhat different from the expected ones: Only compensation and technical capability development are significant, but the remaining variables are not significant in affecting job satisfaction and job embeddedness. As for turnover intention, job embeddedness and job satisfaction are proved to be significant predictors. From the analyses of data, subsequent interview with several respondents and additional data analyses, more research implications are derived. The study has a limitation of not including more diverse variables that might affect job embeddedness and job satisfaction of so called road warriors.

  • Organizational abilities which assure human resource of excellent quality in enterprise and organization, manages human resource effectively and systematically will be depended on the performance and successful or not of enterprise. The organization which readies to accept changes will survive, the organization makes full use of changes to opportunity and strategy will be a winner. Now when the environment of enterprise is uncertain and environment of management changes, organization should manage HRM in strategic point of view to maintain persistent competition superiority. We investigated how outsourcing affected on organizational performance perception according to inducting BSC from the employees of metro. As a result of the investigation, outsourcing is perceived importantly in study, growth, internal process point of view, but didn't perceived in finance and customer. We guessed that outsourcing would be perceived importantly in financial point of view as a cost reduction. In 5 years from the beginning of metro, it seemed to be perceived importantly, as organizations grow older, perceptions of outsourcing are perceived low because of stabilization of organization and labor's resistance. It is why that the more outsourcing is performed, the more reduction of organization and decrease of employees is expected as much as cost reduction.

CSR and Firm Reputation from Employee Perspective

  • This research focuses on the importance of corporate social responsibility in building the company's reputation. Experts have studied CSR as an antecedent of a company's reputation, but the mechanisms underlying this process are rarely explored. Therefore, to fill this research gap, we demonstrate CSR's implementation combined with organizational justice based on discrepancy and equity theory. This study involved 210 employees in a family company. The study's analysis method uses Structural Equation Model (SEM), SmartPLS, with a five-step measurement and analysis procedure. The variables in this study are CSR implementation, organizational justice, employee trust, firm reputation, organizational objectiveness, organizational commitment, job satisfaction, and job performance. The results found that some of the direct relationships stated were not significant, but all demonstrations of indirect links were substantial. Besides, optimal CSR and organizational justice provide a reliable and positive domino effect in increasing the role and consequences of employee trust and firm reputation. The findings in this study confirm that upstream-downstream job performance causality can be successfully achieved if job satisfaction has been realized, job satisfaction can be achieved if organizational commitment can also be recognized, and organizational commitment can be developed. Reflection and influence, rather than organizational attractiveness becomes essential.

How Firms Transfer Financial Risks to Employees: Stock Price Volatility and CEO Power

  • Purpose - We investigate how firms transfer financial risks to employees in a form of flexible employment contracts and layoffs. Design/methodology/approach - Based on the literature on the prevalence of shareholder value ideology and the associated 'risk shift', we examined how stock price volatility is associated with a firm's use and hiring of nonstandard employees, and the number of employees lay-offed. We test our hypotheses using a longitudinal, multi-source, dataset of Korean firms from 2003 to 2011. Findings - We found support for the relationship between stock price volatility and flexible employment contracts and layoffs after controlling for actual risks such as increased debt or decreased sales. However, we found that the relationship is moderated by the power of professional CEOs relative to that of shareholders, in that powerful CEOs are more likely to transfer the external risks, i.e. stock price volatility, to employees. Research implications or Originality - This study contributes the emerging stream of literature that explore the effect of stock market pressures and governance structures on human resource management.

How to Enhance an Employee's Organizational Citizenship Behavior (OCB) as a Corporate Strategy

  • Purpose: This study is to explore how to enhance an organizational citizenship behavior (OCB) for private companies, boosting their employees; performance. With OCB in place, businesses won't have to worry about employees engaging in harmful or counterproductive actions. Better coordination will benefit employees' skill sets and the company's overall performance. Research design, data and methodology: We used a data extraction form and present it as an appendix. These forms could demonstrate to the reader what the present authors looked for and how they found it. We also investigated to obtain text datasets whether any extractions were carried out in duplicate, and, if so, whether duplicate abstraction was carried out independently. Results: There are four solutions to boost employees' OCB for HR practitioners: 'Creating an Environment that Supports Constructive OCB', 'Encouraging Productive Behavior in the Workplace and Reward properly, 'Integrating Corporate Citizenship into Performance Evaluations', and 'Training to Use OCB and Educating on its Benefits'. Conclusions: Based on the research findings of the current study, this study strongly concludes that OCB should be encouraged, and employers and employees should collaborate on efforts to boost morale and increase productivity. As a direct result of their efforts, their firms enjoy improved earnings while experiencing reduced overhead costs.

인수.합병 이후 성공적인 정보시스템 통합 결정요인에 대한 통합적 모델 연구: 국내 금융기관 비교사례분석 중심으로 (An Integrated Model on the Determinants of Successful Post-M&A Information Systems Integration: A Comparative Case Study of Two Financial Firms in Korea)

  • 수 많은 기업들이 기업 성장 및 생존 전략의 일환으로 인수 합병 (M&A, merger and acquisition)을 선택하고 있다. 그러나 상당수의 기업들이 본래 의도했던 시너지 효과를 창출하지 못하고 인수 합병 실패로 인해 생산성 저하, 시장 점유율 하락, 수익 감소, 유능한 직원의 이직 등 많은 부작용을 경험하고 있다. 이에 따라 인수 합병 성공 및 실패 원인을 분석하고자 하는 많은 연구가 진행되었고, 정보시스템에 대한 기업들의 의존도 증가와 더불어 인수 합병 이후 정보시스템 통합(post-M&A information systems integration)이 인수 합병 성공에 결정적인 영향을 미치는 것으로 확인되었다. 그러나 인수 합병 이후 정보시스템 통합 성공에 대한 연구가 매우 부족하며, 대부분의 선행연구가 정보시스템 조직 통합 또는 물리적인 정보시스템의 통합 등과 같이 단편적으로 이루어져 왔다. 본 연구에서는 인수 합병 이후 정보시스템 통합 성공에 영향을 미치는 요인들에 대한 포괄적인 연구를 위하여 정보시스템뿐만 아니라 전략 경영, 경제학, 재무학, 인사관리, 조직관리 분야의 선행연구를 조사하였다 이를 기반으로 인수 합병 이후 정보시스템 통합 영향요인에 대한 통합 모델을 제시하였다. 제시된 모형에서는 영향요인들을 인수 합병 관점, 전략 관점, 조직 관점, 인사관리 관점, 정보시스템 관점으로 재 분류하고, 사례연구를 통하여 각 요인들이 정보시스템 통합 성공에 미치는 영향을 실증적으로 검증하였다.

이중몰입유형별 직무태도와 성격 및 인구통계학적 특성의 융복합적 관계성 연구 (A Study on the Relationship among Job Attitude, Personality and Demographic Characteristics based on the Types of Dual Commitment)

  • 노동조합의 영향력이 강한 기업 내 구성원들이 조직과 조합에 몰입하는 여러 형태에 따라 어떤 직무태도를 가지는지에 대한 연구는 실무적으로도 중요한 의의를 가진다. 본 논문은 노동조합과 조직에 대한 구성원의 융복합적 몰입 관점에서 몰입유형군별 직무태도와 성격을 포함한 인구통계학적 특성의 차이를 확인하였다. 실증연구를 위해 현대기아자동차 388명의 응답을 활용하였고, 조직과 노조에 모두 몰입하는 '고도 이중몰입군', '보통의 이중몰입군', 양 집단에 모두 몰입하지 않는 '몰입거부군', 조직에만 몰입하는 '조직몰입군', 노조에만 몰입하는 '노조몰입군'의 5가지 유형 중 '고도 이중몰입군'과 '조직몰입군'이 '몰입거부군'이나 '노조몰입군'에 비해 직무만족과 직무몰입이 가장 높음을 밝혀내었다. 조직몰입과 노조몰입의 하위개념까지 고려하여 군집을 세분화한 본 연구는 이중몰입유형에 따른 성격과 인구통계학적 특성까지 고려하여, 회사와의 거래적 관계 인식이 강화되는 분위기 가운데 인적자원 관리 방향 등 시사점을 제안하고자 하였다.
