Government-Controlled Companies and Audit Committee Effectiveness: An Empirical Study on Saudi Stock Exchange

  • This study attempts to examine whether ownership of government-controlled corporations and audit committee effectiveness are related. The population of this study is 431 listed manufactured firms in the Saudi Stock Exchange (Tadawul) for the period 2012-2019 that published their financial and annual reports for the period 2012-2019. This population criterion is based on considerations that manufacturing companies listed on Tadawul have publicly accessible data and they have greater obligations to implement corporate governance code. Using the complementary hypothesis, this study predicts that there is a positive relationship between the ownership of government-controlled companies and audit committee effectiveness. The Pooled OLS regression shows that government-controlled companies' ownership is positively associated with audit committee effectiveness. Our study also indicates that ownership of government-controlled companies as a governance monitoring mechanism becomes more effective as it is combined with audit committee effectiveness which is another governance monitoring mechanism. The results of this study provide insightful evidence to policymakers at the company and country levels on the relationship of government-corporate ownership and audit committee effectiveness.

중국의 정부감사와 기업의 관리효율성 : 중국 중앙기업 상장자회사 분석 (China's Government Audit and Governance Efficiency of Companies: Analyses of Listed Companies Controlled By China's Central State-Owned Enterprises)

  • 중국은 국민 경제 주력인 중앙기업이 일반 국유기업이나 민영기업과 달리 대부분 국가 정책적 영향을 받는 산업의 기업이다. 국유기업 시장화 개혁과정 중 중앙기업의 지주회사는 대부분 국가 경제발전과 안전보장에 대한 영역에 집중되어 있다. 이에 따라 중앙기업 지주회사의 경영성과는 국유자본 분포, 자본의 규범적 운행, 높은 수익과 자본안전의 유지 등에 막대한 영향을 미치고 있으며 정부 감사가 중앙기업의 지주 상장회사에 대한 관리와 감사를 강화시켜 국유자산 유출을 방지하고 국유자산의 가치를 증가 지킬 수 있다. 정부감사는 부패 척결, 재정적 금융안전유지 등에 중요한 역할을 할 수 있을 뿐만 아니라, 상장기업의 회계 안전성 및 회계투명성 등을 개선 할 수 있다. 정부감사는 중앙상장기업의 경영 성과를 향상시킬 수 있고 국유자본 안전의 보장, 국유자산 유출 방지, 국유 자산의 가치를 증가 시킬 수 있을 것으로 기대되나, 기존연구는 중국의 정부감사와 중앙상장기업의 경영성과나 관리효율 간의 관계에 대한 분석이 부족한 상황이다. 본 논문은 2010~2017 년 중앙상장기업을 표본으로 회사관리이론과 공공수탁경제책임이론을 사용하여 정부감사가 중앙상장기업의 관리효율에 미치는 영향을 분석하였다. 연구결과 중앙상장기업의 경영성과가 나쁠수록 정부감사를 받을 가능성이 커지며 정부감사가 중앙기업의 관리 효율을 향상시킬 수 있는 것으로 나타났다. 이는 중국의 정부감사가 중앙상장기업의 경영목표를 달성하고, 경영효율을 제고하는 수단으로서 의미있는 역할을 수행하고 있음을 시사한다.

경쟁체제 하에서의 발전소 건설 시스템 다이내믹스 모델 개발 (Development of System Dynamics model for Electric Power Plant Construction in a Competitive Market)

  • This paper describes the forecast of power plant construction in a competitive korean electricity market. In Korea, KEPCO (Korea Electric Power Corporation, fully controlled by government) was responsible for from the production of the electricity to the sale of electricity to customer. However, the generation part is separated from KEPCO and six generation companies were established for whole sale competition from April 1st, 2001. The generation companies consist of five fossil power companies and one nuclear power company in Korea at present time. Fossil power companies are scheduled to be sold to private companies including foreign investors. Nuclear power company is owned and controlled by government. The competition in generation market will start from 2003. ISO (Independence System Operator will purchase the electricity from the power exchange market. The market price is determined by the SMP(System Marginal Price) which is decided by the balance between demand and supply of electricity in power exchange market. Under this uncertain circumstance, the energy policy planners such as government are interested to the construction of the power plant in the future. These interests are accelerated due to the recent shortage of electricity supply in California. In the competitive market, investors are no longer interested in the investment for the capital intensive, long lead time generating technologies such as nuclear and coal plants. Large unclear and coal plants were no longer the top choices. Instead, investors in the competitive market are interested in smaller, more efficient, cheaper, cleaner technologies such as CCGT(Combined Cycle Gas Turbine). Electricity is treated as commodity in the competitive market. The investors behavior in the commodity market shows that the new investment decision is made when the market price exceeds the sum of capital cost and variable cost of the new facility and the existing facility utilization depends on the marginal cost of the facility. This investors behavior can be applied to the new investments for the power plant. Under these postulations, there is the potential for power plant construction to appear in waves causing alternating periods of over and under supply of electricity like commodity production or real estate production. A computer model was developed to sturdy the possibility that construction will appear in waves of boom and bust in Korean electricity market. This model was constructed using System Dynamics method pioneered by Forrester(MIT, 1961) and explained in recent text by Sternman (Business Dynamics, MIT, 2000) and the recent work by Andrew Ford(Energy Policy, 1999). This model was designed based on the Energy Policy results(Ford, 1999) with parameters for loads and resources in Korea. This Korea Market Model was developed and tested in a small scale project to demonstrate the usefulness of the System Dynamics approach. Korea electricity market is isolated and not allowed to import electricity from outsides. In this model, the base load such as unclear and large coal power plant are assumed to be user specified investment and only CCGT is selected for new investment by investors in the market. This model may be used to learn if government investment in new unclear plants could compensate for the unstable actions of private developers. This model can be used to test the policy focused on the role of unclear investments over time. This model also can be used to test whether the future power plant construction can meet the government targets for the mix of generating resources and to test whether to maintain stable price in the spot market.

  • The Korea electricity wholesale market is operated under the cost-based-pool system and the government regulation to the new generation capacities in order to insure the resource adequacy. The goal of government's regulation is the electricity market stability by attracting proper generation investment while keeping the reliability of system. Generation companies must mandatory observe that government plan by now. But if the restructuring is to be complete, generation companies should not bear any obligation to invest unless their profitability is guaranteed. Namely the investors' behavior will be affected by the market prices. In this paper, the system dynamics model for Korea wholesale electricity market to examine whether competitive market can help to stabilize is developed and analyzes the investors behavior. The simulation results show that market controlled by government will be operated stable without resulting in price spike but there is no lower price because of maintaining the reasonable reserve margin. However, if the competition is introduced and the new investment is determined by the investor's decision without government intervention, the benefits from lower wholesale price are expected. Nevertheless, the volatility in the wholesale market increases, which increases the investment risks.

  • Due to the development of information technology, IT industry has become the core factor of a country competence. So we recognized the importance of information network technology as a basis of IT industry. The infrastructure and service in domestic super-highway information networks show the rapid growth both in quantity and quality because of the government programs. However, foreign information network equipment companies have most of the domestic market-share and have controlled core part of the industry, thus national companies are having a difficulty in penetrating the industry market. In this paper, we will analyze domestic super-highway information network equipment industry and make its activating plan using competitive strategy model.

  • Air quality monitoring is a primary activity for industrial and social environment. The government identifies the pollutants that each industry must monitor. Especially, the VOCs (Volatile Organic Compounds), which are very harmful to human body and environment atmosphere, should be controlled under the government policy. However, the VOCs, which have not been confirmed in emission sources are very difficult to monitor. It is needed to develop the monitoring system that allow the continuous and in situ measurement of VOCs mixture in different environmental matrices. Gas chromatography and mass spectrometry are the most prevalent current techniques among those available for the analysis of VOCs. But, they need a large size analytical instrument, which costs a great deal for purchase and operation. In addition, it has some limitations for realtime environmental monitoring such as location problems and slow processing time. Recently, several companies have commercialized a portable VOCs measurement systems, which cannot classify various kinds of VOCs but total quantities. We have developed a VOCs measurement system, which recognizes various kinds and quantities of VOCs, such as benzene, toluene, and xylene (BTX). Also, it can be used as a stand- alone type and/or fixed type in the vehicle with rack for real -time environmental monitoring.

대규모 기업집단의 순환출자 해소를 위한 최적화 모형 (An Optimization Model for Resolving Circular Shareholdings of Korean Large Business Groups)

  • Circular shareholdings among three companies are formed when company A owns stock in company B, company B owns stock in company C, and company C owns stock in company A. Since circular shareholdings among large family-controlled firms are used to give the controlling shareholder greater control or more opportunities to expropriate minority investors, the government has encouraged large business groups to gradually remove their circular shareholdings. In this paper, we propose a combinatorial optimization model that can answer the question, which equity investments among complicated investment relationships of one large business group should be removed to resolve its circular shareholdings. To the best knowledge of the authors, our research is the first one that has approached the circular shareholding problem in respect of management science. The proposed combinatorial optimization model are formulated into integer programming problem and applied to some Korean major business groups.

유통시장 개방에 따른 패션 유통업의 현황과 대응방안에 관한 연구 (An Exploratory Study on Apparel Distribution system and its Countermeasure in the view of Market Liberalization)

  • The channel of distribution exists for the purpose of moving product from the manufactuerer to the final consumer. In order to satisfy consumer needs, channels provide for the those products to arrive at the right place, at the right time and in the quantity, quality and price desired. Currently, there has been an emerging interest in the improvement of distribution system in many areas of industries and Korean government because of a market liberalizatiion begun at 1989 and still has processed step by step. In the wave of market liberalization, an understanding of the channel of distribution and structure would be very crucial when developing the opportunities of competitive advantages in Korean apparel industry. The purposes of this study were to investigate the determinants of the distribution channel and to identify how to respond to the market liberalization for developing the possible future strategies in the apparel industry. Data for this study were obtained from interviews with managers in apparel company in addition to a questionnaire mailed to over 106 middle management position of apparel company. Data were analyzed by using descriptive statistics. The results of this study were summarized as follows. 1. In the distribution channel of the apparel industry, a vertical marketing system, comprising producer, apparel company, retailer, prevailed without intermediaries such as wholesalers or vendors. Especially, the apparel company controlled marketing channel members. This type of system may reflect added product cost and may be not advantageous to retailers and consumers because most apparel companies are responsible for its own transfortation, storage and stocks after season. 2. In the view of market liberalization, most apparrel companies showed double-edged viewpoints. In terms of positive aspect, it would give stimulus to broaden variety of fashion merchandise and to improve product quality of fashion merchanise which were the most disadvantageous factors in competing with oversea's brands. In terms of negative aspect, it would bring the bankruptcy of small or medium sized apparel firms and the foreign products' penetration in domestic market. From this study, severel recommedations were suggested forward to improve the present condition in apparel industry. They included eliminating the power of apparel company and reinforcing middlemen for more efficient distribution system and for satisfying consumer needs in rapidly changing environment. Also it included government supports, reinforcement of information system, improvement in channel structure, and career development program in conjunction with apparel companies and academic society for improving scientific management and future potential strategies in Korean apparal industry.

석유자주개발 목표율 달성을 위한 정부지원금의 적정 규모 연구 (A Study on the Optimal Size of Government Subsidies to Accomplish the Target Rate for Self-development of Crude Oil)

  • 현 정부 출범 이후 에너지 자원 확보를 최우선 국정과제로 설정하고 과감한 투자와 함께 범정부적인 차원의 노력을 기울인 결과, 최근 들어 석유 가스 자주개발률이 큰 폭으로 증가하는 성과를 거두고 있다. 정부는 이러한 모멘텀을 이어갈 수 있도록 석유 자주개발률을 2019년에 25%까지 높여 석유자원의 안정적 공급 능력을 획기적으로 향상시킨다는 목표하에 다양한 지원 방안을 계획하고 있다. 이에 대해 본 연구에서는 정부가 설정한 자주개발률 목표를 달성하기 위한 정부지원금의 규모에 관심을 갖고 이를 계측할 수 있는 경제학적 모형을 설정하고, 이의 실증분석을 통해 개발목표율 설정에 따른 정부지원금의 크기를 추정하였다. 그 결과 2010년의 경우, 자주개발률 7.4% 달성을 위한 정부지원금의 규모는 약 2.68억 달러로 추정되었다. 그러나 국내 원유수요량이 증가해 10.2억 배럴 정도 전망되는 2019년의 경우, 정부지원금은 약 12.47억 달러로 추정되어 현재 수준의 4.7배 증가하는 것으로 나타난다. 그러므로 2019년까지 자주개발 25%의 목표달성을 위해 정부는 해외 석유개발사업에 대한 지원 규모를 대폭 확대하는 방안을 조속히 확정하고, 아울러 자금조달을 위한 단계별 계획을 구체적으로 설정함과 동시에 정부지원의 효율성을 높이기 위하여 현행 지원제도를 검토해 이를 재정비할 필요가 있다. 이를 위해 본 연구에서 사후지원제도(事後支援制度)의 하나로 예시하고 있는 자주개발물량에 대해 수입부과금 징수를 유예하는 방안도 고려해 볼 수 있을 것으로 생각된다.

제약유통채널에서 영업사원에 대한 통제시스템이 고객지향적 판매와 영업성과에 미치는 영향 (The Effect of Salesperson Control System on Customer-oriented Selling Behaviors and Sales Performance in Pharmaceutical Distribution Channel)

  • Purpose - Recently, domestic pharmaceutical market is growing steadily, but top-tier companies are concentrating on sales growth. In this market, SMEs, which account for more than 80% of the entire market, suffer from the problem of lower margins and increasing inventory costs. According to the government's policy changes related to pharmaceuticals, it is pointed out that the management of existing customers and the control of salespeople are important issues for pharmaceutical companies. This study investigates the effect of the control system on the salesperson in domestic pharmaceutical distribution channel on customer-oriented selling behaviors and sales performance. Research design, data, and methodology - To verify the proposed research model and test hypotheses, the authors selected 244 MR(medical representatives)'s responses which have currently relationship with doctors or pharmacists. This study carefully investigated the reliability, content validity, convergent validity, and discriminant validity of the proposed model. Results - The authors find out the following results: capacity control, activity control, and self control have positive effects on customer-oriented selling behaviors and customer-oriented selling behaviors have a positive effect on sales performance. In addition, we present alternative model to check the direct effect between the control systems and the sales performance, but control system factors except self control have no direct influence. Conclusions - First of all, competency control and activity control increases the customer-oriented selling behavior of the salesperson. This means that the salesperson's sales skill, negotiation skill, customer access skill, presentation ability, monitoring, direction and evaluation are important and it is also important to control activities to check the number of visits to customers, report preparation, and customer service etiquette. Second, the fact that self-control of salesperson affects the customer-oriented selling behavior suggests that self-control is not controlled by external factors but rather establishes short/long-term goals. Therefore, it is important for sales organization to create an environment in which members can induce persistent incentives for self-control. Finally, output control did not affect customer-oriented sales behavior, which is less likely to form confidence or motivation to MRs when output control is perceived as a means of monitoring, supervising, or controlling rather than providing information to salespeople.
