국제거래에서 독립적 은행보증서에 대한 담보장치로서의 수출보증보험에 관한 연구 (A Study on Export Bond Insurance as a Security for Independent Bank Guarantee in International Transactions)

  • An independent bank guarantee(aka an independent guarantee) is provided as an security on a principal obligor's performance of his obligation, and a guarantor should pay the guaranteed amount only upon a beneficiary's written demand. A standby letter of credit has been used in the United States, since it was construed that a bank should not issue a guarantee. There was wide misunderstanding that a standby letter of credit differs from an independent bank guarantee. However, a standby letter of credit is the same security as an independent bank guarantee, and in international business a standby letter of credit is not differentiated from a independent bank guarantee. An independent bank guarantee are independent from the underlying contract, unconditional, and irrevocable. And a guarantor should pay upon written demand without proving a principal obligor breaches the underlying contract. These features of an independent bank guarantee has been abused in international transactions. Thus it has been proposed that some exceptions to the features of an independent bank guarantee should be allowed. United Nations Convention on Independent Guarantees and Standby Letter of Credit(1995) stipulates some exceptions to payment obligation. Export bond insurance, a part of export insurances, operated by the Korea Export Insurance Corporation under the Export Insurance Act, is used as a security for unfair calling by a beneficiary under an independent bank guarantee. Most of the export subsides by the government are prohibited under WTO's Agreement on Subsidies and Countervailing Measures. However, as export insurance is allowed under the WTO, it operates a significant role in enhancing the export. In the event that export bond insurance is provided for a guarantor, an obligor who is subject to recourse by a guarantor, can be exempt from the recourse in case of unfair calling. The Korea Export Insurance Corporation, an insurer, bears unfair calling risk by a beneficiary. Generally it is understood that a demand shall be made before the expiry of an independent bank guarantee. However this is not absolutely true, it shall be decided by URDG, ISP98, the governing law.

국제계약에서 전자통신의 이용에 관한 협약의 채택과 중재합의에의 적용에 관한 연구 (A Study on the Adoption of Convention on the Use of Electronic Communications in International Contracts and its Application to the Arbitration Agreement)

  • The purpose of this paper is to make research on the method of arbitration agreement, the adoption and contents of the Convention on the Use of Electronic Communications in International Contracts, and the standpoint and problem with reference to the new Convention's application to the method of arbitration agreement in New York Convention. Last year the UN General Assembly and UNCITRAL adopted a new Convention on the Use of Electronic Communications in International Contracts that makes agreements by electronic communications enforceable, including arbitration agreements under the Convention on the Recognition and Enforcement of Foreign Arbitral A wards (New York Convention). Aimed at enhancing legal certainty and commercial predictability where electronic communications are used in relation to international contracts, the provisions of the Convention deal with, among other things, determining a party's location in an electronic environment; the time and place of dispatch and receipt of electronic communications; and the use of automated message systems for contract formation. Under the New York Convention, arbitration agreements in international contracts must be reduced to writing before they can be enforced. But under the new Convention, an arbitration agreement made entirely in electronic form would be enforceable. The working group expressed overall support in favor of the inclusion of a reference to the New York Convention in the new Convention. However, one proposal was that the exclusions provided under article 2 of the new Convention might be too broadly worded to adequately accommodate the New York Convention. In conclusion, Korea's government authorities should take prompt measures to sign and ratify the new Convention, and declare on the scope of its application. Also Korea's arbitration institute should make preparation for the amendment of the arbitration act and arbitration rules in accordance with the new Convention.

  • 본 논문에서는 지금까지 대부분의 지방재정 논의가 중앙정부를 중심축으로 하는 지방재정의 재정분권과 형평화 효과를 중심으로 이루어지고 있다고 보고 대안적으로 수도권과 비수도권의 상생발전을 위한 수평적 형평화 기금 조성방안을 제시한다. 먼저 지역 간 재정기반의 불균등을 분석하고, 형평화 기금 조성을 위한 부동산관련 조세적 방법, 개발이익 및 개발부담금 등을 활용하는 비조세적 방법, 공동세 방법, 수도권 규제조정 및 용도지역 변경에 따른 이익활용방법을 분석한다. 마지막으로 형평화 기금의 운용을 위한 사회적 협약과 계약이론에 기반 하는 거버넌스 전략을 제시한다.

  • 건설사업에서 클레임은 필수적으로 발생하는 요소이다. 1998년까지 우리나라에서 건설클레임이 체계적으로 제기되거나 해결되었다고 소개된 바는 없으나, 1998년을 기점으로 하여 IMF환란 등을 겪으면서 건설업체들은 원가관리의 중요성을 인식하여 계약에서 주어진 자신의 권리를 찾고자 하는 노력을 경주해 오고 있다. 그러나 건설클레임이 활성화됨으로 인해 기술자의 전문업역탄생, 책임시공으로 인한 부실공사예방, 불필요한 예산낭비억제, 중복업무의 감소 및 규제개선 등의 기대효과가 장단기적으로 예상됨에도 불구하고 아직도 건설현장에서는 클레임을 제기하는 것에 대하여 막연한 두려움이나 경계심을 갖는 분위기가 팽배하였다. 따라서 본 논문은 1998년부터 공공건설사업현장에서 제기된 클레임사례를 분석한 후, 시공자가 건설현장에서 체계적으로 건설클레임을 제기할 수 있는 방법과 절차를 제시하고자 한다.

ICT융합에 따른 방송통신 이용자보호 법제의 합리적 개선방안 (Measurements on Legislation of User-Protection Act in the Era of ICT-Convergence)

  • 본 논문에서는 종래의 방송통신 구획별 이용자보호 제도를 통합하여 하나의 통합 이용자보호법을 제정하기 위한 목적에서 현황과 문제점 및 개선방안으로 통합법 제정의 방향을 모색하는 것을 내용으로 작성되었다. 종래 방송과 통신은 완전히 구별된 영역으로 칸막이화 되어 생성 및 발전해온 결과 서로 현격히 다른 사상과 내용으로 구축되어 체계화되어 왔다. 이렇듯 상이한 모습에 기초하여 각각의 서비스 사용자에 대한 보호도, '시청자'와 '이용자'라는 명칭으로 방송과 통신의 각각의 영역에서 별개의 제도를 구축해왔다. 그러나 현대에 이르러 ICT 기술의 발전, 특히 네트워크의 확장과 스마트 기기의 등장으로 기존의 방송 통신의 체계가 흔들릴만한 변화가 이루어지고 있다. 방송 통신의 융합현상이 가속화됨에 따라 기존의 법제도가 예상하지 못했던 결합서비스와 신규서비스가 등장하게 되었고, 방송통신시장이 날로 복잡해지고 있는 것이 현실이다. 이러한 방송 통신시장의 변화는 이용자로 하여금 합리적인 선택을 어렵게 하고, 이에 따라 이용자의 권익침해가 지속적으로 증가하고 있는 추세이다. 방송과 통신의 융합 환경에 따라 미디어나 통신을 둘러싼 패러다임이 점차 이용자 중심으로 변화하고 있다는 점도 특징으로 볼 수 있다. 이에 따라 전통적으로 공급자 중심으로 이루어지던 지원 및 규제 행정 역시 변화의 필요성이 있는 것이다. 오늘날 이용자보호는 법익의 침해 후 사후적 권리구제절차를 강구하는 것보다 사전적으로 이용자권익저해행위가 발생하지 않도록 하는 것이 중요하다 할 것이다. 이를 위해서는 우선적으로 이용자보호계획의 수립 시행이 중요하고 이용자의 높은 권리의식에 상응한 이용자 교육이 이루어져야 할 것이다. 이는 실질적 법치주의에 부합하는 이용자보호 제도로 의미가 있다고 볼 것이다. 방송 통신 분야에 다양하게 존재하는 피해구제절차를 통일성 있게 법제화하는 것이 필요할 것이며, 복잡하고 다양하게 등장하는 이용자에 대한 피해를 최소화하고 실효적인 권리구제가 가능하도록 하기 위해 기존의 규제기관과 분리되어 전문성을 발휘할 수 있는 민원처리 분쟁조정 전담기구의 설치를 고려해볼 수 있을 것이다.

북한의 외국인투자법과 대외경제중재법의 적용범위 (The Scope of Application of North Korea's Foreign Economic Arbitration Act and Foreign Investment Act)

  • The Scope of Application of North Korea's Foreign Economic Arbitration Act and Foreign Investment Act This article examines whether the Foreign Economic Arbitration Act and the Foreign Investment Act of North Korea apply to South Korean parties or companies. This article analyzes laws and agreements related to economic cooperation between South Korea and North Korea. Furthermore, this article compares and evaluates laws related to foreign investment and enacted in North Korea. Now, North Korea's door is closed due to economic sanctions against it, but it will be opened soon. Thus, this article prepares for the future opening of North Korea's markets. Is there a rule of laws in North Korea or just a ruler? Are there laws in North Korea? North Korea has enacted a number of legislation to attract foreign investors, referring to those Chinese laws. For example, North Korea enacted the Foreigner Investment Act, the Foreigner Company Act, the Foreign Investment Bank Act, the Foreign Economic Arbitration Act, the Foreign Economic Contract Act, the International Trade Act, and the Free Economy and Trade Zone Act, among others. Article 2 (2) of the Foreign Investment Law of North Korea states, "Foreign investors are corporations and individuals from other countries investing in our country." It is interpreted that South Korea is not included in the "other countries" of this definition. According to many mutual agreements signed by South Korea and North Korea, the relationship between the two Koreas is a special relation inside the Korean ethnic group. An arbitration between a South Korean party and a North Korean party has the characteristics of both domestic arbitrations and international arbitrations. If the South Korea and North Korea Commercial Arbitration Commission or the Kaesong Industrial Complex Arbitration Commission is not established, the possibility of arbitration by the Chosun International Trade Arbitration Commission, established under North Korea's Foreign Economic Arbitration Act, should be examined. There have been no cases where the Foreign Economic Arbitration Act is applied to disputes between parties of South Korea and North Korea. It might be possible to apply the Foreign Economic Arbitration Act by recognizing the "foreign factor" of a dispute between the South Korean party and North Korean party. It is necessary to raise legislative clarifications by revising the North Korea's Foreign Economic Arbitration Act as to whether Korean parties or companies are included in the scope of this Act's application. Even if it is interpreted that South Korean parties or companies are not included in the scope of North Korea's Foreign Economic Arbitration Act, disputes between South Korean companies and North Korean companies can be resolved by foreign arbitration institutes such as CIETAC in China, HKIAC in Hong Kong, or SIAC in Singapore. Such arbitration awards could be enforced in North Korea pursuant to Article 64 of North Korea's Foreign Economic Arbitration Act. This is because the arbitration awards of foreign arbitration institutes are included in the scope of North Korea's Foreign Economic Arbitration Act. The matter is how to enforce the North Korean laws when a North Korean party or North Korean government does not abide by the laws or their contracts. It is essential for North Korea to join the New York Convention (Convention on the Recognition and Enforcement of Foreign Arbitral Awards) and the ICSID Convention (Convention on the Settlement of Investment Disputes Between States and Nationals of Other States).

대학급식 영양정보 표시에 관한 대학생의 인식 조사 (College Students' Perception toward Nutrition Information at University Dining Services)

  • The purpose of menu labeling is to offer eating environments with improved healthy food selection. Similar to U.S. policies, the Korea government enforces the Special Act on Children's Food Safety and Nutrition for provision of nutritional labeling in chain restaurants. Considering the importance of dining services for college students and their interests in health, this study examined college students' perception toward nutrition information provided by university dining services. A survey was conducted for university students. Students' recognition of nutrition information for university dining services was lower than recognition of nutrition information for commercial food services. The most common reason cited by students for considering nutrition information of university dining services was customer rights, followed by health maintenance. Students showed a high tendency to use nutrition information of university dining services. College students' motivation for knowing nutrition information of university dining services included health and value interests. Students' knowledge of nutrition had a positive effect on their intention to know nutrition information. The findings of this study offer university administrators and contract food service management companies directions for developing menu labeling for university dining services.

The Main Contents and Task in Future for the Air Transport Law Established Newly in the Korean Revised Commercial Law

  • As the Reublic of Korea revised the Commercial Code including 40 articles of air transport enacted newly on May 23, 2011, so Korea became first legislative examples in the Commercial Code of the developed and developing countries. I would like to explain briefly the main contents of my paper such as (1) history of enacting newly Part VI (air transport) in the Korea's revised commercial law, (2) legal background enacting newly Part VI (air transport) in the Korea's revised commercial law and the problems on the conditions of air transport, (3) every countries' legislative examples on the civil liability of aircraft's operator, (4) unlawful Interference Convention and general risk convention of 2009, (5) main contents and prospects of the revised Commercial Code for the liability of aircraft's operator etc as the followings. Meanwhile as the Aviation Act, Commercial Code and Civil Code in Korea and Japan did not regulated at all the legal basis of solution on the disputes between victims and offender for the amount of compensation for damage due to personal or property damage caused by aircraft accidents in Korea and Japan, so it has been raised many legal problems such as protection of victims, standard of decision in trial in the event of aircraft accident's lawsuit case. But the Korean Revised Commercial Code including Part VI, air transport regulations was passed by the majority resolution of the Korean National Assembly on April 29, 2011 and then the South Korean government proclaimed it on May 23 same year. The Revised Commercial Code enforced into tothe territory of the South Korea from November 24, 2011 after six month of the proclaimed date by the Korean Government. Thus, though Korean Commercial Code regulated concretely and respectively the legal relations on the liability of compensation for damage in the contract of transport by land in it's Part II (commercial activities) and in the contract of transport by sea in its Part V (marine commerce), but the Amended Commercial Act regulated newly 40 articles in it's Part VI (air transport) relating to the air carrier's contract liability on the compensation for damage caused by aircraft accidents in the air passengers and goods transport and aircraft operator's tort liability on compensation for damage caused by the sudden falling or collision of aircraft to third parties on the surface and so it was equipped with reasonable and unified system among the transport by land, marine and air. The ICAO adopted two new air law conventions setting out international compensation and liability rules for damage caused by aircraft to third parties at a diplomatic conference hosted by it from April 20 to May 2, 2009. The fight against the effects of terrorism and the improvement of the status of victims in the event of damage to third parties that may result either from acts of unlawful interference involving aircraft or caused by ordinary operation of aircraft, forms the cornerstone of the two conventions. One legal instrument adopted by the Conference is "the Convention on Compensation for Damage to Third Parties, Resulting from Acts of Unlawful Interference Involving Aircraft" (Unlawful Interference Convention). The other instrument, "the Convention on Compensation for Damage Caused by Aircraft to Third Parties" (General Risk Convention), modernizes the current legal framework provided for under the 1952 Rome Convention and related Protocol of 1978. It is desirable for us to ratify quickly the abovementioned two conventions such as Unlawful Interference Convention and General Risk Convention in order to settle reasonably and justly as well as the protection of the South Korean peoples.

일본 공립도서관 지정관리자제도 연구 (A Study on the Designated Manager System of Public Libraries in Japan)

  • 일본 공립도서관의 정체성은 「사회교육법」과 「도서관법」에 따른 사회교육기관이다. 이에 따라 지방자치단체의 교육위원회가 직영하는 가운데 공공적 단체로 한정한 관리위탁을 병행하여 왔다. 그러다가 2003년 「지방자치법」을 개정하여 행정처분 형식과 민간사업자로 확대한 지정관리자제도를 전격 도입하였다. 2018년 말을 기준으로 공립도서관 18.0%가 지정관리자제도를 도입하고 있으나, 찬성론과 반대론이 첨예하게 대립하고 있다. 이에 본 연구는 '공설민영'을 표방하는 지정관리자제도의 전모와 공립도서관 도입현황을 개관하고, 주요 쟁점을 비판적으로 검토하였다. 그 결과, DMS를 도입할 경우에 기대되는 비용 절감, 서비스 향상, 직원의 전문성 강화, 업무의 연속성 및 협력네트워크 구축 등은 논란의 여지가 많았다. 다운사이징 위주의 인사관리, 계약직 위주의 고용정책, 지정기간의 단기성, 복수 경쟁시장의 부재, 비정규직의 지식정보서비스 역량 등에서 기인한다. 공공도서관은 충실한 장서와 적극적인 서비스를 기반으로 인문적 가치와 사회적 품격을 높이는 지식문화 기반시설인 동시에 비배제성과 비경합성을 강조하는 지방공공재다. 최근 국내에서 공공도서관을 문화재단 등에 위탁되는 사례가 증가하는 상황을 감안하면 지정관리자제도는 강 건너 불이 아니다. 일본의 참을 수 없는 제도적 가벼움이 국내 공공도서관에 적용될 가능성을 경계해야 한다.

BTL사업의 사업시행자 선정 평가기준개선에 관한 연구 (Improvement of Concessionaire Designation Evaluation Criteria for Build-Transfer-Lease Private Participation in Infrastructure Projects)

  • 2005년 1월 사회기반시설에 대한 민간투자법 개정으로 공공서비스시설을 국민들에게 제공할 수 있는 새로운 민간투자방식인 BTL민간투자사업(Build-Transfer-Lease)이 국내건설시장에 도입하게 되었다. BTL사업은 설계, 시공, 운영 및 유지관리까지 포함하여 최장 30여년 이상의 프로젝트 수명주기 전 과정을 대상으로 하는 포괄적인 형태의 사업방식으로 사업자의 역할과 수행능력 여하에 따라 사업의 성패가 좌우됨으로 최적 사업시행자의 선정이 중요하다 그러나 BTL사업의 사업시행자 선정시 가격평가점수에 따라 많은 영향을 받아 최저가 투찰로 인하여 우수한 기술능력을 갖춘 사업시행자보다 최저가격을 제안한 사업시행자가 선정 될 수 있는 가능성이 높아 건설계획 운영계획 유지관리측면 등에서 품질수준이 저하될 우려가 있는 것으로 조사되었다. 따라서 본 연구는 BTL사업의 사업시행자 선정을 위한 평가기준의 문제점을 분석하고 전문가 설문조사를 통하여 개선방향을 모색하여 평가기준 개선방안을 제안하였다.
