A Study on the Improvement of the Lien System in Real Estate Auction - Focused on the Procedural Law - (부동산경매에서 유치권 제도 개선에 관한 연구 - 절차법을 중심으로 -)

  • This study was intended to identify the problem of the lien in relation to the real estate auction and present its improvements in terms of procedural laws. To resolve the problem of the lien in the real estate auction, it is valid that the Vollstreckungsgericht needs to set the certain standard in relation to the possession of real estate and notify it at the first date of sale by judging whether the lien can be established. And the institutional improvement is required to obligate one to report the lien in the procedures of the real estate auction and reinforce the survey of the present condition of the lien. And it is necessary to impose the more public confidence on the statement of sale by including the matter of the lien in it. In addition, it is necessary to reinforce legal punishment to the false and fictitious lienholder and establish the legal stability of the lien in the process of the real estate auction.

  • Negotiation has been an important topic of M&A within entertainment industry. This research is aimed to investigate the process of M&A and related negotiation theories review and to analyze the Nexon sales failure case. M&A is a significant strategic decision-making made to ensure the sustainable competitiveness of Nexon. Nexon is generally more competitive action in negotiation context than rival game corporations. As a result, the negotiation about M&A is not completely succeeded. Nexon need to overcome the distributive strategy based on high anchoring (sales price). Also, Nexon need to be aware that negotiators who focus on the BATNA are more effective in claiming resources. Netmarble have low status and so is expected to be poor negotiation result. Because Nexon is perceived to be of higher status than Netmarble in an M&A process, Nexon is given the power to propose agreements. The practical and academic lessons of the present study are discussed.

경쟁입찰방식을 이용한 최초공모주의 발행가격결정에 관한 연구

  • 기존의 최초공모주 발행제도하에서는 일반투자자의 공모주식수요에 대한 의사가 공모가 결정과정에 반영될 수 있는 기회가 없음으로 인해 최초공모주의 심각한 저가발행 현상이 나타나고 있다. 이에 대한 문제점을 보완 개선하기 위하여 본 연구는 기업공개시 주식매각의 한 방안으로 경쟁입찰방식을 제시하였으며, 우리 나라 실정에 맞는 입찰모형의 설정을 위한 제반요인들을 조사 분석하였다. 또한, 경쟁입찰방식을 통한 최초공모주 발행의 장점과 경쟁입찰방식과 관련하여 예상되는 경제적 제 문제들을 공개입찰을 통한 장외등록기업 사레와 공기업민영화 사례를 통해 간접적으로 유추 검토하였다. 경쟁입찰방식하에서는 발행기업의 진실된 가치와 시장투자자들의 최초공모주에 대한 수요의사가 입찰과정을 통해 최적공모가격 결정에 적절히 반영되어 기존의 발행방식과 비교해 저평가율도 낮아질 것으로 기대되며, 심각한 문제가 없을 것이라는 판단하에 본 논문은 경쟁입찰방식을 통한 최초공모주발행이 기존의 발행방식에 대한 하나의 경제적 대안으로 선호될 수 있음을 보여 주었다.

  • 현재, 한.미 ROU 협상당시 의도했던 목적은 이미 달성되었다. 우리나라는 WTO 정부조달협정에 가입하여 협정을 준수하고 있으며, WTO 정신에 입각하여 통신장비 조달도 공개, 공정, 비차별 원칙에 따라 운영하고 있다. 양허대상 통신사업자인 한국통신의 경우, 1997년 10월부터 출자전환과 함께 조달시장이 전면 개방됨에 따라 전세계 모든 공급업체에 비차별, 내국민대우를 보장하고 있다. 또한 한.미 ROU에 명시된 바와 같이 한국이 WTO 정부조달협정에 가입함으로서 한.미 ROU에서 배제조건을 충족시키고 있다. 더불어 현재 KT의 정부지분은 100% 민간에 매각되어 완전하게 민영화되었다. 그럼에도 불구하고 한.미 ROU는 WTO 정부조달협정으로 대체되거나 종료되지 않고 있어 양허대상인 통신사업자는 한.미 ROU의 본래의 취지와는 달리 경영의 자율성 침해와 조달의 비효율성 증가로 인하여 많은 추가비용을 지불하고 있다. 따라서 본 고는 국내통신사업의 발전과 규제완화라는 측면에서 정부조달협정 중에서 가장 파급효과가 큰 한.미 ROU의 개정협상을 위한 방향을 모색해 보았다.

  • 소연방해체이후 구소련의 해운회사는 각 해당 공화국에 소속되어 운영되기 시작하였다. 흑해해운회사는 우크라이나에 소속되어 우크라이나 경제의 민영화과정과 재정비 계획에 따라 콘쩨른 형태의 기업으로 바뀌었다. 이 회사는 1993년에 민영화과정의 첫 번째 단계인 법인화 형태의 과정을 완료하였으나, 민영화과정의 두 번째 단계인 주식매각의 과정은 1994년 3월 우크라이나 의회가 민영화 계획의 인준을 거부함에 따라 중단되었다. 이 연구는 이러한 상황하에서 흑해해운회사가 당면하고 있는 주요한 문제를 파악하고 그 문제를 해결하기 위한 몇가지의 제안을 한 뒤, 그 회사의 전망을 살펴보고자 한다. 이 연구는 사실발견법과 현장조사와 면접법을 통하여 수행되었다.

A Study on the Improving Fiscal Capability of Local Government -Focusing on the case of zeroing debt policy in Yong-in city (지방정부 재정역량 제고에 관한 사례 연구 -용인시 채무제로화 정책을 중심으로)

  • The purpose of this study is to analyze debt zeroing policy process of Yong-in city based on the Kingdon's Multiple Stream Framework in order to contribute to strengthening financial capacity and competitiveness of local governments. This study focused on the Yong-in case because the city had a local debt of about KRW 800 billion as of 2012, but it completed the debt repayment in early 2017. The results are as follows. First, policy problem streams are the perception of Yongin City's debt indicator, the failure of the LRT project, and the failure of sale of buildinglots of Yukbuk district. Second, in the political stream, there have been the election of new governors, cooperation of local administration and citizens like budget cut. Third, policy alternative streams are the reduction of large-scale investment projects, the expansion of revenues through the sale of idle shared properties, the increase of tax revenues, and the activation of light rail. As the each streams flowed independently, the window of policy change opened by the revitalization of the real estate market and the sale of buildinglots of Yukbuk distric and combined with other policy factors such as the activation of the light rail. In this process, the role of the policy entrepreneurs such as negotiation and persuasion of the related institutions influenced achieving tight fiscal policy. As a result of this policy output, Yongin City achieved zero debt. This study suggests that it is necessary not only the importance of the role of policy entrepreneurs but also of the administrative and citizen cooperation and the institutional complement such as a large scale of the investment review system.

Implementation of the Urban Development Projects in Ulaanbaatar (도시개발 여건을 고려한 울란바타르 건설사업 참여방안)

  • The efficient business scheme were suggested with the consideration of the local development condition at Ulaanbaatar. Major findings of the study were presented as follows. First, high level of education and the underground resources are presented as the merits of Mongolia. On the other side, the defects are limited domestic demands of 2.6 millions of population and the insufficiency of the infrastructure. The improvement of the infrastructures like roads, water & sewage, electric power, and heating is urgent while the development pressure of Ulaanbaatar is expected to be high due to the continuous inflow of population. Secondly, the Mongolian land system consists of the right of ownership, lease and use, therefore there are some differences among the right of land. Thirdly, definite business scheme to sell land in lots and to sell buildings in lots are suggested which are actual methods to participate in the development project in Ulaanbaatar. Moreover, enhancing the possibility to sell the lands, fixing the proper sale price to secure the profit, finding the proper buyer for the profitable lands, investing of quota and guaranteeing of granting the principal and interest by the Mongolian government, etc. are presented as consideration when participate in projects.

A Building of Investment Decision Model for Improving Profitabilty of Tramper Shipping Business (해운산업 수익성 제고 투자의사결정 모델구축에 관한 연구 - 부정기선 영업을 중심으로 -)

  • This paper deals with a strategic investment decision model for improving investment profit in shipping industry. Despite the quantitative expansion of Korean shipping business, many shipping firms have suffered financial difficulties due to financial and operating risks that result from the characteristics of capital-intensive business as well as of volatility of shipping markets. As a result, managers in charge of making an investment decision, particularly in tramper business sector, are required to take both financial and operating risk factors into consideration. Put it differently, managers are strongly recommended to avoid these risks by ship asset play; buy-low and sell-high, which results in considerable capital gain and cost reduction. In addition, managers in shipping industry are also recommended to consider the ship chartering investment alternative when the freight markets show extreme volatility as the case of 2008 triggered by sub-prime mortgage financial crisis in USA. For example, the BDI suffered plunging down from 1000 in 2008 to 100 in 2010. Consequently, the 4th largest shipping company in Korea, DAEHAN Shipping Co., has collapsed primarily due to excessive tonnage expansion during the peak time of bulk market. In sum, the strategic investment decision model, suggested in this paper, is designed to include such factors as capital gain by asset play, timely chartering for alternative shipping service, and optimization of operating profit by tonnage adjustment in accordance with change in the shipping markets concerned.

Ownership Disperses When a Venture Firm Its Initial Public Offerings (신규공모주의 저가발행과 벤처기업의 소유분산)

  • This paper empirically examines whether ownership disperses when a venture firm its IPO (initial public offerings). The data for this study were collected from 91 firms that were initially listed on KOSDAQ between January 1, 2004 and December 31, 2007. We explored the influence of the underpricing of IPO on the change of large shareholders. The first finding of this investigation is that the number of shareholders of the venture firms who underpriced IPOs still increased after the closing of lockup. This is consistent with the findings of Booth and Chua(1996) and Brennan and Franks(1997). Second, the share of the large stockholders of the venture firms that a venture capital company invested decreased significantly after the end of lockup. Third, the venture businesses with higher ratio of flotation showed a significant decreasing of shareholders after the closing of lockup.
